While this entry focuses primarily on bidding consortia in the context of public procurement, one should note that consortia can take various forms and exist in different industries, each with its own specific regulatory considerations.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-117912 texte surlignable"><p>Consortia can be formed for various purposes, such as research and development, production, or service provision. For example, in the shipping industry, liner shipping consortia are subject to a block exemption under EU competition law. The Consortia Block Exemption Regulation allows shipping lines to cooperate in consortia to provide joint cargo transport services, subject to certain conditions. This type of consortium is distinct from bidding consortia and highlights the diverse applications of consortia across different sectors.</p> <p>Joint bidding and consortia have garnered increased scrutiny within competition law, with ongoing debates centering on how such collaborations might constitute anti-competitive practices, especially in the context of bidding processes. This complexity calls for meticulous procedural design by procurement entities and rigorous oversight by competition law regulators. Not all consortia are collusive by nature, prompting the necessity for detailed, situation-specific analysis. This level of examination is further influenced by the applicable public procurement laws of each jurisdiction.</p> <p>Under the framework of the European Union (EU) Competition Law, consortia are subject to evaluation in accordance with Article 101 of the Treaty on the Functioning of the European Union (TFEU). According to the Guidelines on the applicability of Article 101(1) of the Treaty on the Functioning of the European Union to horizontal co-operation agreements of 2023, it is stated that a bidding consortium agreement does not impede competition “if it allows the parties to participate in projects that they would not be able to undertake individually”. This includes scenarios where companies offer services that complement each other, as well as instances involving major or intricate projects (§352). The factors used to evaluate the potential of individual parties to compete include: the requirements included in the tender rules; and a realistic assessment if each party would concretely be able to pursue the contract on its own (§ 353).</p> <p>As outlined in paragraph 358 of the 2023 Guidelines on the applicability of Article 101 of the Treaty on the Functioning of the European Union to horizontal cooperation agreements, a tendering consortium agreement among competitors, subject to Article 101(1), may satisfy the provisions of Article 101(3). Such cooperation may result in efficiencies, including lower costs, better quality, a wider selection, or quicker availability of the products or services that are the subject of the tender.</p> <p>Fulfilling these efficiencies requires adherence to the additional conditions of Article 101(3), such as being indispensable, benefiting consumers, and not eliminating competition. In tender procedures, these conditions typically interrelate, enabling efficiencies from a joint bid to be transferred to consumers through lower prices or improved quality, as long as competitive dynamics for the contract award are preserved with the participation of other effective competitors. Even though companies can bid individually or participate in the tender in a consortium with fewer parties, the agreement could also fall under the exceptions of Article 101(3) TFEU.</p> <p>The European Commission’s Notice regarding measures to deter collusion in public tenders provides guidance on scrutinizing procurement consortia, which might suggest collusive behavior, as detailed on page 26.</p> <p>Authorities across European states, particularly within the European Economic Area, consider such consortia as potential manifestations of bid-rigging and market allocation cartels. The EFTA Court’s decision in the case involving joint tender submission by two rival Norwegian taxi firms, which had agreed on a price to the procurement entity, was adjudged to have an anti-competitive objective. (Ski Taxi/Follo Taxi) Denmark and Sweden’s competition authorities have similarly enforced stringent measures, judging consortia on whether the involved parties could feasibly submit separate bids. A positive determination led to the classification of the consortium as anti-competitive, foregoing any need for further analysis of how such actions affected the overall competitiveness of the bidding process.</p> <p>Beyond the EEA, consortium activities within bidding frameworks have not escaped the vigilant eyes of European competition bodies, as they aim to protect the integrity of competitive practices. The French competition overseers, for instance, censured a group of public transport enterprises in 2016. This collective, which had joined forces to tender for educational transport contracts, was declared superfluous, given the individual competitive capabilities of the companies. The French regulator identified this as a direct constraint on competition, observing that the consortium’s creation not only diminished the pool of bids but also carved up the market amongst the consortium members.</p> <p>In a similar vein, Italy’s antitrust authority imposed sanctions on a consortium comprising the top five urban waste management companies in 2015, who together controlled a majority of the market. The punitive measures were a response to evidence suggesting that the firms’ collaborative pattern throughout multiple bids amounted to a segmentation of the market and impeded free competition. The consortium’s rationale, which was based on the distribution of financial risks, did not hold up against the regulatory framework, affirming that such risks, whether intrinsic, regulatory, or due to demand variability, do not justify breaches of competition law.</p> <p>Conversely, in 2018, the Italian antitrust body concluded an investigation into a supposed cartelization attempt by Kedrion and Grifols, both contenders for a national plasma-based pharmaceutical contract. Notwithstanding preliminary doubts and the fact that both firms could have pursued solo bids, the authority concluded that being individually equipped to satisfy tender stipulations does not inherently disqualify a collaborative bid as being anti-competitive. <br class='autobr' /> In the United States, the situation is less definitive as the Antitrust Guidelines for Collaborations Among Competitors stop short of explicitly addressing consortia. The legal framework for assessing joint bids remains ambiguous, with uncertainty prevailing over whether they should be considered through the rule of reason or inherently illegal due to the scarcity of guiding literature. Within the realm of corporate takeovers, joint bidding has come under the microscope for potential antitrust violations.</p> <p>There are some cases where U.S. courts have discussed whether consortia could be renderd illegal under the Section 1 o f the Sherman Act. In the rule of reason or considered per se illegal. In the context of corporate acquisition, there is evidence that joint bidding practices could raise antitrust scrutiny. (The Court in Dahl v. Bain Capital Partners LLC (No. 07-12388, 2008 WL 5206990 (D.Mass. Dec . 15, 2008) In addition, a decision of the District Court for the Eastern District of California stated that a clause forbidding parties to bid independently, in the context of a joint venture, was per se illegal since it fixed the bid amount. City of Stockton)</p> <p>In Brazil, the competition authority (Portuguese Acronym CADE) has established that such consortia should undergo a rule of reason analysis. In scrutinizing a consortium involving prominent telecommunications firms, CADE’s stringent approach was evident. It posited that the consortium’s legitimacy hinged on two factors: the operational synergies between the companies or their collective inability to fulfill contractual obligations individually. (PA Teles) In a more recent case, however, CADE has considered additional economic grounds in assessing a consortium created by fuel distributors for port area auctions. It took into account the tender’s stipulations for a minimum cargo threshold, which was beyond the capabilities of the companies on their own. This case reflects an effects-based analytical methodology akin to that of the European Guidelines.
