user adoption and shifts from a market with many suppliers to a market with one or few suppliers. Tipping is a phenomenon that most frequently occurs in markets with strong network effects, especially multi-sided platforms. Tipping happens when a product/service becomes more valuable as more users coalesce around it (network effects) and eventually the product/service becomes so popular that it gains an advantage that may make it difficult for other suppliers to compete. Therefore, tipping is frequently used to describe the convergence toward a product standard or category.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-117781 texte surlignable"><p>Competition authorities are increasingly concerned that certain markets, particularly digital platform markets, are especially prone to tipping. There is a concern that once a market has tipped there is a “winner-takes-all” phenomenon that inevitably leads to market failure. There is still no established and objective test to identify markets prone to tipping, features that strengthen or mitigate tipping, or whether or not a market has reached a tipping point.</p> <p>Tipping is most common in markets where there are strong network effects. Network effects exist where the inherent value of a product or service increases as the number of people using the same product or service increases. Those could be direct network effects, when having more consumers within the same category (or market side) creates more value to the same group or indirect network effects – particularly on multi-sided platforms – where increases in usage in one side of the platform reflects in increased value to the other side, or across the platform (cross-platform network effects). Several factors may contribute to these network effects, including positive feedback loops and switching costs. For example, a company can use the data of its existing users to identify and address gaps in its services in order to attract even more users. Similarly, subscription costs and the hassle of moving between different accounts may also make users reluctant to switch between services. As a result, a company that gains an early lead in adoption may corner the market.</p> <p>While regulators are interested in stopping a market from tipping before it occurs, the reality is that it is immensely difficult to predict who the incumbent will be in any given market, when tipping will occur, or if it will be short-lived and temporary or withstand long-term effects. Moreover, tipping may reflect a capture of value of investments in new technology and innovation, as well as the inauguration of new, previously unexplored, markets for products and services. Constant innovation, as well as distinct dimensions of competition within and between digital platforms ought to inform policy and enforcement actions related to market tipping.</p> <p>Tipping markets may still be contestable markets. Market contestability depends on several factors, including the level of maturity (e.g., if a market is expanding, stable or declining); product/service-level preferences and room for innovation; and the characteristics of network effects (e.g., if they are local; if they affect national or international audiences, if they are age or demographic-specific etc.). If markets are expanding (e.g., increasing users or subscribers), competitors or entrants may capture new groups of consumers. When a product/service can be provided in different means, bundles, conformations or arrangements, competitors or entrants may direct innovative efforts to launch alternative modes of consumption. In markets that tipped because of specific network effects, tipping is unlikely to be prolonged; also, tipping might occur within local markets or internal divisions within a relevant market, and it might not constraint some level of competitive pressure or contestability.</p> <p>It is relevant to differentiate market tipping and anticompetitive market entrenchment. While tipping is mostly related to structural features, and thus regarded as a possible market failure, anticompetitive entrenchment derives from a dominant firm’s illegal strategy to artificially maintain its market power and obstruct competition. That is the case, for example, of a dominant firm that adopts cross-market exclusivity dealings that effectively lock-in substantial groups of consumers, cancelling any remaining contestability (as per above); or that of a dominant platform that introduces default rules that unduly benefit its own products/services and move users away from other competitor-users of the platform. Market entrenchment or entrenched (e.g., incontestable) market power is not per se illegal in virtually all jurisdictions. Entrenchment theories of competitive harm are subject to a rule of reason (or effects-based) assessment, that confronts possible constraints to competition to efficiencies deriving from said conduct.</p> <p>Therefore, a tipping market may be prone to anticompetitive behaviour but does not necessarily result in anticompetitive conduct. Tipping may be used as an indication of strengthened dominance, reinforcing a plaintiff’s abuse of dominance claim, but is far from sufficient as legal basis for conviction. Indeed, the United States’ Sherman Act (15 U.S.C. Section 2) prohibits monopolization, but only if monopoly power is acquired or maintained through unlawful means. Likewise, Article 102 of the Treaty on the Functioning of the European Union makes it illegal to abuse an already-existent dominant position. For example: in <i>Microsoft</i> (2008) the European Commission condemned the company’s tipping of the media player market because it was only possible given that Microsoft leveraged its dominant position in PC operating systems and tied Windows to Windows Media Players.</p> <p>Following this trend, the Brazilian Competition Authority (CADE) has been referencing market tipping precisely as an indicator of great market power in cases involving digital platforms, highlighting that the companies subject to investigation enjoyed “winner-takes-all benefits”, as stated in the <i>iFood </i> (2023) and<i> Gympass</i> (2022) cases, but applied traditional theories of harm to assess the anticompetitive effects of exclusivity agreements in both cases (both closed after settlement agreements).</p> <p>Ongoing policy discussions suggest <i>ex ante </i> intervention could be used to prevent market tipping. German legislators have introduced recent changes to the country’s Competition Act, which provides a standing to sue dominant platforms in digital markets against abusive tipping that, e.g., prevents competitors to capture network effects, creating serious competitive harm to the market.
