class="definition-section-title">Definition</h3> <div class="crayon article-chapo-117879 apercu surlignable"><p>“<strong>Ecosystem failures</strong>” are situations in which individual actions of a platform ecosystem’s members undermine the effectiveness or functioning of the entire ecosystem. <i>Functional</i> failures occur when ecosystem members fail to create and deliver joint value to the final customer. Given the capabilities and resources available among the ecosystem actors, less joint value and/or an inferior joint (system-level) innovation or solution is created than otherwise could be. Distributional failures are associated with participants’ inability to capture value proportional to their contribution. <i>Distributional </i> failures occur either when the platform ecosystem design allows some members to abuse the system to capture disproportionate value, or when the ecosystem orchestrators abuse their dominance.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-117879 texte surlignable"><p>Ecosystem failures capture new inefficiencies related to competitive <i>and</i> cooperative dynamics that are distinct from the competitive behaviour in the subject of competition law. These consist of instances where an inferior product is supplied due to a misalignment in the incentives of ecosystem participants or when the value generated is distributed in a way that fails to sufficiently compensate one or many ecosystem participants. Analysis of such ecosystem failures takes an ecosystem-wide approach and considers the aggregate of the various complementary products and associated firms as the relevant domain of competition analysis; it incorporates the analysis of complementarities between interconnected products rather than just focusing on product substitution; it integrates the impact of interdependencies across markets rather than concentrate on a single “relevant” product market. Although the recent Digital Markets Act by the EU regulating digital platforms does not explicitly refer to ecosystem failures, it includes several pointers throughout the text to new types of ecosystem harms. To the extent that these introduce inefficiencies, they refer to situations that could be assimilated to ecosystem failure problems. The DMA refers, for instance, to “control over whole platform ecosystems” (a gatekeeping position) as a possibly inefficient structural barrier to entry for other players; or the ability of gatekeepers to leverage their dominant position in the ecosystem to create unequal and possibly inefficient conditions of access for some third-party members of the ecosystem to the core and ancillary platform services. More specifically, Articles 5 and 6 of the DMA identify potentially harmful conduct of the gatekeeper, thus imposing obligations to gatekeepers to refrain from these activities or remove such obstacles. To the extent that the gatekeeper’s conduct leads to a distortion of business users’ incentives or ability to contribute to the ecosystem and to the extent that such distortion decreases the overall value provided by the ecosystem, identified conduct could represent an ecosystem failure.</p> <p>In the <i>Google Android</i> case (2018), the <i>EU Commission </i> established that Google abused its dominant position in the worldwide market for Android app stores by, among other things, “making the licensing of the Play Store and the Google Search app conditional on the anti-fragmentation obligations in the anti-fragmentation agreements.” The Commission referred to potential issues of distributional failures by arguing that Google exploited is in a dominant position over the Android ecosystem to its own advantage and to the detriment of other members of the ecosystem. The theory of ecosystem failures points to ecosystem fragmention, including forking and incompatibility, as potential issues leading to functional failures. Google submitted that “anti-fragmentation obligations are necessary to protect the Android ecosystem,” […] “to ensure the interoperability of the Android ecosystem,” […] and “to prevent fragmentation that would be detrimental to the Android ecosystem.” The Commission, however, concluded that Google did not provide evidence in support of those arguments.</p> <p>In the <i>AGCM vs Amazon Italia case </i> (2021), the Italian Antitrust authority fined Amazon Italia €1.13bn for treating preferentially Amazon Marketplace third-party sellers who used its logistics and delivery services, FBA (Fulfilled by Amazon) – i.e., “Prime” affiliated sellers, at the detriment of “non-prime” sellers. The AGCM argued that Amazon Italia applied more stringent rules to “non-prime” sellers. This made it more difficult and costly for them to comply with the quality standards related to delivery and, as a result, less likely for their products to be displayed among the top choices in customer searches compared to products by “prime” sellers, independently of product or seller quality differences. The AGCM argued that “Prime” sellers were more discoverable and so more likely to secure demand from customers, benefiting systematically from a competitive advantage compared to non-prime sellers. This competitive advantage was artificially created by Amazon Italia’s differential treatment. The AGCM did not take issue with the fact that Amazon Italia had a business model built around a “complete ecosystem” integrating multiple services, whereby Amazon plays multiple roles. However, the AGCM argued that Amazon Italia had “artificially tied two separate services”, Prime Seller benefits and FBA service, to “create an illegitimate incentive” to buy FBA services. This strategy was deemed to “falsify” competition between Amazon Italia’s logistics service and its competitors. While the AGCM did not provide systematic empirical evidence of this issue, under an ecosystem failures framework, this logic would refer primarily to preferential treatment of “Prime” sellers as a possible manifestation of distributional ecosystem failures (“Prime” sellers capturing higher value (compared to “non-Prime” sellers) as result of the platform ecosystem design). Ultimately this would lead to functional ecosystem failures to the extent that this preferential treatment was leading to reduced participation of sellers, as well as a reduced variety and quality of offerings and higher price of offerings for customers.</p> <p>In the recent decision by the EU Commission to block the proposed acquisition of Flugo Group <i>Holdings AB (‘’eTraveli’) by Booking Holdings (‘’Booking’)</i> (2023), the Commission referred to the strengthening of Booking’s “travel services ecosystem” as problematic. Albeit not explicit in the motivation, the Commission pointed to possible ecosystem failures, both functional and distributional. Post-merger, Booking would enjoy an increased bargaining position in the ecosystem towards hotels (in this case, the ecosystem complementors), which it could exploit to possibly divert demand from cheaper sales channels to Booking and charge higher commission fees to hotels (a distributional failure), eventually leading to higher prices for customers or reduced booking options (a functional failure). However, the Commission did not point to specific conditions of the post-merger ecosystem structure that would cause an ecosystem failure, referring instead more generically to network effects and customer inertia as factors reinforcing, in fact, the enlarged ecosystem of Booking, making it harder for rival platforms to compete. Hence, it seems that the Commission considered the merger problematic because it created greater ecosystem efficiencies (rather than failures).</p> <p>In the CMA’s final report (2023) on the proposed acquisition of <i>Activision by Microsoft</i>, the agency contended that, “Microsoft has a multi-product ecosystem that places it in a very strong position relative to most or all rivals in the growing market for cloud gaming services”, which Microsoft could leverage “to engage in a foreclosure strategy using Activision’s content”. Thus, the CMA’s logic identified possible risks of functional failures of the emerging cloud gaming services ecosystem due to the incentives that the post-merger ecosystem structure would grant to Microsoft to abuse its central position in its ecosystem and extract rents from ecosystem participants (while potentially excluding rivals from participanting). It is interesting to note that, in its response, Microsoft submitted an opposite view: that the current ecosystem design, centered around the mobile OS ecosystem, was undermining the effectiveness of the cloud gaming services by limiting customer experience and “discoverability on mobile due to app store restrictions.” Microsoft thus saw the merger as a way to change the design of the existing ecosystem and address these shortcomings to facilitate the growth of cloud gaming services.</p> <p>Overall, the agencies tend to be concerned more with potential distributional failures that might originate from ecosystem orchestrators abusing their central position in the ecosystem and less with other potential inefficiencies leading to functional failures.
