more firms) that involve parties actually or potentially active in different relevant markets, which do not exert direct competitive pressure on one another. Such mergers do not increase market concentration in any given relevant market. The literature discusses two known types of non-horizontal mergers. Vertical mergers involve parties operating in vertically related markets, i.e., in different stages of the same supply chain. Conglomerate mergers take place when there are no horizontal or vertical relations between parties, although there may be some degree of complementarity between their products or services.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-116671 texte surlignable"><p>NHMs typically implicate complementary lines of business – often vertically linked in the same supply chain (e.g., mergers between supplier/customer or manufacturer/distributor) –, which is why they tend to generate noticeable efficiencies. NHMs are deemed to be mostly pro-competitive. Under certain circumstances, however, scholars and competition authorities note that such transactions may pose concerns to competition.</p> <p>In the U.S., NHMs have been subject to merger control since the 1950 Clayton Act amendments to Section 7. Upon reviewing the legislative history of such amendments, the Supreme Court concluded that “§ 7 applie[s] not only to mergers between actual competitors, but also to vertical and conglomerate mergers whose effect may tend to lessen competition (…)” – <i>Brown Shoe Co., Inc. v. United States, 370 U.S. 294, 317 (1962)</i>.</p> <p>The focus on the consumer welfare standard since the 1970s placed an emphasis on the desirable efficiencies commonly arising from NHMs. Over the following decade, economic scholarship consistently advocated a more favourable substantive assessment of such transactions. The 1984 U.S. DOJ <i>Non-Horizontal Merger Guidelines</i>’ language translated this stance vis-à-vis vertical mergers: “<i>Although non-horizontal mergers are less likely than horizontal mergers to create competitive problems, they are not invariably innocuous</i>”.</p> <p>Since the 1990s, the assessment of NHMs has become more nuanced, with the development and application of more sophisticated theories of harm, especially those related to the raising of rivals’ costs, exclusion, entry deterrence, and market foreclosure. For a recent example, see the FTC’s attempt to block AT&T/Time Warner, a rare example of vertical merger enforcement in the U.S. and the first trial in over 40 years (<i>United States v. AT&T Inc., 310 F. Supp. 3d 161 D.D.C. 2018</i>).</p> <p>In Europe, the general principles on the assessment of NHMs can be traced back to the 2004 Commission v. Tetra Laval judgment by the the European Court of Justice (“ECJ”). The ECJ established that, for the European Commission (“Commission”) to oppose a vertical or conglomerate merger, it must provide strong evidence that a significant damage to competition is likely to occur. One year later (2005), the then Court of First Instance (“CFI”) ruling on <i>General Electric v. Commission</i> made these principles operational by setting out three steps for the Commission to follow in its analyses.</p> <p>These steps were incorporated to the Commission’s 2008 <i>Guidelines on the assessment of non-horizontal mergers</i>, which also outlined the theories of harm and countervailing efficiencies that ought to be assessed in the merger control of NHMs. Essentially, the Commission must present proof of (i) ability to foreclose a relevant market (that the merged firm would have market power and be positioned to limit competitors’ access to a certain stage of the production chain, such as inputs, distribution channels or customer bases, in a way that negatively affects the vertically related markets in terms of price and quality), (ii) likelihood and incentive to implement a foreclosure strategy (e.g., that the merged firm would have the incentive to do so, usually by an assessment of the extent to which it would be more profitable to obtain higher profit gain expanding sales downstream in comparison to the profit loss upstream by restricting access of input to competitors), and, finally, (iii) whether a foreclosure strategy would create or strengthen a dominant position (harming competition up- or downstream). Therefore, assessing the unilateral effects of vertical mergers usually requires demonstrating that the merged entity would have an incentive and capacity to foreclose, leading to exclusionary effects on competition.</p> <p>Besides unilateral effects, NHMs may also raise concerns regarding coordinated effects. In this realm, authorities’ main concern is that NHMs may alter market structures in ways that make them more conducive to collusion. A merger may facilitate coordination when it increases the level of market transparency and makes monitoring easier for a cartel to be implemented. For example, vertical integration between producers and distributors, may facilitate monitoring prices in a market prone to collusive arrangements.</p> <p>In contrast to the negative effects, there is a broad consensus that vertical mergers often bring about relevant efficiencies. It is worth mentioning a few: economies of scope, reduced (transaction) costs, improved product quality resulting from the transfer of knowledge or coordination in production and distribution (optimized value chain in the design of goods, customer experience or logistics), higher responsivity to fluctuations in demand, internalized double mark-ups (generating incentives to decrease prices and increase output), facilitated one-stop-shopping, among others.<br class='autobr' /> Conglomerate mergers, which occur between parties active in closely but not vertically related markets (e.g. complementary products), have attracted increasing attention over the last few years, after a period of complete oblivion. Indeed, NHMs in digital markets mergers led to the development of novel theories of harm concerned with conglomerate effects (e.g., <i>Google/Fitbit</i> in 2020,<i> Meta/Within</i> in 2023). Although there is still a general perception of limited harm and potential efficiencies generated in conglomerate mergers, authorities are more attentive to some potential negative effects coming from these transactions.</p> <p>In a similar way to the assessment of vertical mergers, theories of harm commonly associated with conglomerate effects concern unilateral (e.g. market foreclosure) and coordinated effects but would point out tying and bundling as aspects of potential concern in discussions of foreclosure. In the digital sector, mergers are often used as a strategy for expansion and product development, through which the parties seek combination of complementary products, interoperability and/or innovation. The elimination of actual or potential emerging competition is also a growing concern among authorities, as conglomerate mergers may strengthen a platform’s (or ecosystem’s) dominance by facilitating a combination (e.g. envelopment) of adjacent markets. Conglomerate transactions may also involve the acquisition of valuable, irreplicable data, providing the acquiring firm a competitive advantage.</p> <p>In sum, authorities’ overall focus on NHMs has been growing since the late 2010’s. Among other reasons, there is a perception that NHMs cleared in several jurisdictions led to consolidation of the digital industries, with entrenchment of market power. In light of this perception, merger control notification thresholds and intervention standards are being called into question, with a growing call to fine-tune current rules to avoid underenforcement (Type 2 errors) in such mergers. Consequently, mergers that used to be cleared with little or no scrutiny are now under significantly more detailed analysis.
