delivered by the European Court of Justice in the case of AKZO Chemie BV and AKZO Chemie U.K. Ltd. v. Commission ([1986] E.C.R., 1965). This ruling compels the European Commission (“EC”) to establish a distinctive set of procedures applicable in instances where a party seeks access to information submitted to the Commission by a third party.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-118050 texte surlignable"><p>This procedural rule established by the European Court of Justice (“ECJ”), which was also inserted into the mandate of the hearing officer, concerns the disclosure of confidential documents or business information by the EC. In accordance with this rule, if the party that submitted the information requests that the information be regarded as commercially important (either as a trade secret or other confidential data), the EC must formally notify the company of its plan to disseminate information and the rationale for such action. Seen as a proactive step, this notification provides the submitting party with an opportunity to express any objections regarding the proposed disclosure.</p> <p>In this sense, if the EC determines that the information is not protected and can be shared despite the company’s objections, it is obliged to provide a rational conclusion. The company concerned is notified of this decision and has the option to contest the Commission’s assessment by initiating legal proceedings before the European Court of First Instance.</p> <p>The applicants (AKZO Chemie BV and AKZO Chemie UK Ltd, part of the AKZO Group) argued that before proceedings were concluded there should be a right of action for annulment against such a measure. The process could take a while, and it might even conclude without a decision on the grounds of the case (Her, 1987, p. 273). Therefore, where the parties’ right to protection of their business secrets had been wilfully violated, they should have been able to pursue their claim to legal recourse (AKZO Opinion, paragraph 1). [ this previous sentence is very wordy and thus not clear- needs to be rewritten] They invoked a breach of the obligation of professional secrecy laid down in Article 214 of the European Economic Community Treaty (“EEC Treaty”) [Article 339 of the Treaty on the Functioning of the European Union (“TFEU”)], Article 20 (2) of Regulation No. 17 First Regulation implementing Articles 85 and 86 of the Treaty (Article 28 of Regulation 1/2003 on the implementation of the rules on competition laid down in Articles 101 and 102 of the TFEU) and Article 20 (1) of Regulation 17 (Article 27 of Regulation 1/2003) (Whish & Bailey, 2018, p. 85). In essence, the primary challenge resided in the necessity of balancing confidentiality and business secret protection with file access. In this regard, Article 27 of Regulation No. 1/2003 is meant to prevent any abuse on the part of a party hiding under the guise of confidentiality stating that “nothing... shall prevent the Commission from disclosing and using information necessary to prove an infringement”.</p> <p>In delivering his opinion, Mr. Advocate General Lenz stated that if the application had been declared admissible, it would have created confusion between the administrative procedure and the judicial proceedings taking into consideration that the applicants’ arguments in regard to admissibility were closely related to the question whether the documents were or not covered by the obligation of professional secrecy (Lenaerts, 2006. p.1475-1477; Coutrelis & Giaccob, 2006). In that sense, he noted that it would have been premature to undertake a judicial review in that respect as the administrative procedure was still in progress creating a case of incompatibility with the division of powers between the EC and CJEU. From a legal point of view, he emphasized that the EC had weighed various interests of the two parties concerning “the protection of professional secrecy, the applicants’ interest in protecting their business secrets, the intervener’s need for information for the purposes of the hearing and the duty of effective supervision to ensure compliance with the competition rules of the EEC Treaty” (AKZO Opinion, paragraph 2).</p> <p>Considering it a “pure factual step”, and not a special procedure, AG Lenz underlined that the EC established the legal boundary between the applicants’ right to confidentiality of their business documents and the intervener’s (Engineering & Chemical Supplies – ECS) right to information underlining that “the transmission of the relevant documents to ECS and the latter’s observations thereon had advanced and accelerated the investigation of the case”. This rule says that where the Commission intends to disclose information which the company providing it wants to be treated as business secret or confidential, it shall inform that company in writing of its intention and the reasons for it. Where the company concerned objects to the disclosure of this information, but the Commission finds that the information is not protected and may therefore be disclosed, that finding shall be stated in a reasoned decision. This decision has to be notified to the company concerned, which has to be given the opportunity to bring an action before the European Court of First Instance with a view to having the Commission’s assessments reviewed.
