Rooted in economics, it presumes that conduct by a dominant firm is anticompetitive only if it leads to the exclusion of a hypothetical, equally efficient competitor. AEC tests are mathematical abstractions of the principle, tailored to the specific conduct under consideration.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-115882 texte surlignable"><p>The “as-efficient competitor” (AEC) principle is an analytical framework that may be employed in competition law to distinguish exclusionary abuse of dominance from competition on the merits. Rooted in economics, the principle presumes that conduct by a dominant firm is anticompetitive only if it leads to the exclusion of an imaginary, equally efficient competitor.</p> <p>Within the EU, the principle got introduced in the 2009 European Commission Guidance on enforcement priorities in applying Article 102 of the EU Treaty to exclusionary abuse of dominance (European Commission, 2009). The objective at the time was to shift the focus of EU competition policy away from protecting competitors per se and towards the protection of competition in general (Whish and Bailey, 2015, section 5.2). This shift recognised that competition on the merits may lead to the exclusion of competitors that are less efficient. By nevertheless protecting those less efficient competitors, EU competition policy risks undermining the incentives of dominant firms to reduce costs, invest, and innovate—effectively stifling the competitive process and eventually harming consumers.</p> <p>In addition to avoiding the protection of competitors per se, a key advantage of the AEC principle is that it promotes the predictability of competition law enforcement and facilitates compliance by providing a practical analytical framework for self-assessment. In particular, dominant firms would need to consider the consequences of their conduct only on a hypothetical, equally efficient competitor, rather than their actual competitors, of which they are unlikely to know the cost structures and demand.</p> <p>In practice, AEC tests have been developed to translate the AEC principle into mathematical abstractions that aid in the assessment of the principle in specific cases. Exactly how the principle is applied—and hence how an AEC test looks like—depends on the specific conduct under consideration.</p> <p>For example, in predatory pricing cases (e.g. Post Danmark), the AEC principle and test simply ask whether the prices set by the dominant firm are indeed lower than its marginal costs—with much of the discussion then focussed on exactly which prices and marginal costs to consider, over which time frame, and with what possible counterbalancing rationales for any below-cost pricing. <br class='autobr' /> In margin squeeze cases (e.g. Slovak Telekom), the AEC principle and test instead ask whether the upstream wholesale prices and downstream retail prices of a vertically integrated dominant firm are such that a hypothetical downstream competitor with the same downstream marginal cost can still make a profit if it were to buy at that wholesale price and sell at the same retail price. Again, much of the discussion is then focussed on exactly which costs to consider.</p> <p>In loyalty rebate cases (e.g. Intel), the AEC principle and test instead ask whether the difference between the undiscounted and discounted price of the dominant firm is such that a hypothetical competitor with the same marginal cost can still profitably compensate customers for the loss in discount that they experience on the share of demand that they unavoidably need to buy from the dominant firm (the so -called uncontestable share of demand). In such cases much of the discussion is then focussed on which costs to consider, but also on how the rebates are exactly structured and what the uncontestable share of demand would be (Oxera, 2022).</p> <p>Finally, the AEC principle (and potentially test) may also be applied in non-pricing conduct, such as bundling and tying or self-preferencing. For example, in self-preferencing cases (e.g. Google Shopping), the AEC principle asks whether the reduction in demand of a hypothetical competitor with the same marginal cost still allows it to operate profitably. A further development of this (including a suggestion on how the AEC test would look like in self-preferencing cases) is provided by Gaudin and Mantzari (2022).</p> <p>While the AEC principle promotes an important focus on the protection of competition (as opposed to competitors per se) as well as predictability and compliance, it does come with its shortcomings. In particular—as also recognised in a policy brief reflecting on the 2009 Guidance ahead of drafting guidelines on exclusionary abuse of dominance (McCallum et. al, 2023)—protecting new entrants and not-yet as-efficient competitors may be vital for fostering dynamic competition in emerging markets or nascent industries.</p> <p>Moreover, it is well-recognised within economic theory that even from a static perspective (e.g. ignoring changes in costs or innovation), structurally less efficient competitors can still impose an important competitive constraint on dominant firms.
