Used in EU Competition Policy Antitrust and Control of Concentrations (2002), a downstream market means "a market at the next stage of the production/distribution chain, for example, the distribution and sale of motor vehicles would be a downstream market in relation to the production of motor vehicles."</p> <p>A downstream firm purchases outputs of an upstream firm, utilizing them as inputs to manufacture products or provide services for sale in the downstream market. The market where transactions take place for a firm to sell its products or services to its customers is referred to as the "downstream market". The customers (buyers) of the goods or services (inputs) provided or sold by firms or input suppliers are situated in the downstream market.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-117431 texte surlignable"><p>The downstream market refers to the market where buyers of a firm’s goods or services reside. During merger reviews, competition authorities assess the impact of the merger on relevant markets, including both upstream and downstream markets, or related markets. Relevant markets can be upstream or downstream. A focus of vertical merger review is whether the merger may diminish the competitive constraint the merged entity faces from rivals in the downstream market due to unilateral foreclosure or raising a rival’s costs. For instance, the European Union’s Guidelines on the Assessment of Non-Horizontal Mergers demonstrate that the European Commission will examine whether the merged entity, post-merger, would have the ability and incentive to significantly foreclose access to inputs and whether such a foreclosure strategy would have a substantial anticompetitive effect on competition in the downstream market. For input foreclosure to be a concern, the merged firm, significantly powerful in the upstream market, must be anticipated to negatively influence prices and supply conditions in the downstream market by restricting access to its own upstream products or services.</p> <p>The merged entity may aim to diminish the competitive constraint from downstream rivals by increasing their costs. Input foreclosure resulting from a vertical merger could lead to higher prices in the downstream market and may hinder effective competition by raising barriers for potential downstream entrants. Moreover, the European Commission will assess the likelihood of anticompetitive customer foreclosure from a vertical merger that involves integration with an important customer in the downstream market, including the merged entity’s ability or incentive to foreclose access to downstream markets after reducing purchases from upstream rivals, and the significant anticompetitive effect this strategy might have on downstream market customers. According to the revised Notice on Simplified Procedure in the Merger Simplification Package adopted by the European Commission in 2023, whether the individual or combined upstream and downstream market shares of the merging parties are below 50% (or 30-35% in a flexibility clause for vertical relationships) is one factor in determining if the case can benefit from simplified treatment. Notably, the latest U.S. Merger Guidelines, jointly issued by the U.S. Department of Justice and the Federal Trade Commission on December 18, 2023, have stated that "the merger may substantially lessen competition or tend to create a monopoly in upstream markets, that loss of competition is not offset by purported benefits in a separate downstream product market."</p> <p>As for the application of the essential facilities doctrine and imposing liability on a monopolist for its refusal to deal with its competitor, both an upstream market and a downstream market are required, and the essential facility is an input into the downstream market. The United States Court of Appeals for the Ninth Circuit in Alaska Airlines, Inc. v. United Airlines, Inc. (1991) and Aerotec Int’l, Inc. v. Honeywell Int’l, Inc. (2016) opined that a facility controlled by the monopolist is essential “only if control of the facility carries with it the power to eliminate competition in the downstream market.” Guidance on the European Commission’s enforcement priorities in abusive exclusionary conduct by dominant undertakings indicates that a downstream market is necessary for applying Article 102 of the Treaty on the Functioning of the European Union (TFEU) to refusal-to-supply cases.</p> <p>The European Commission will consider imposing an obligation to supply on the dominant undertaking if the refused product or service is objectively necessary for effective competition in a downstream market, and if such refusal is likely to eliminate effective competition in the downstream market, resulting in consumer harm. Margin squeeze is another form of abuse by a dominant undertaking. In this scenario, a vertically integrated firm operating in both the upstream and downstream markets may engage in practices that increase the price of products or services in the upstream market, thereby elevating the costs for downstream market competitors to acquire essential input. This tactic is designed to hinder downstream competition, as it prevents even equally efficient competitors from trading profitably in the downstream market.</p> <p>Subparagraph (c) of the second paragraph of Article 102 TFEU prohibits a dominant undertaking from distorting competition on an upstream or a downstream market by discriminatory conduct. In MEO vs Autoridade da Concorrência (2018), the Court of Justice of the EU (CJEU) held that where a dominant undertaking applies discriminatory prices to trade partners on the downstream market, and this behavior is capable of distorting competition between those trade partners, a finding of ’competitive disadvantage’ described in subparagraph (c) of the second paragraph of Article 102 TFEU could be established without proof of actual quantifiable deterioration in the competitive situation. In 2014, the Taiwan Fair Trade Commission made a decision that the Taiwan International Ports Corporation, while charging ’building rent’ at Taichung port, engaged in discriminatory treatment of essential facilities (namely warehouses) for downstream cargo handling contractors without proper justification. Such behaviour was deemed abusive conduct using a monopolist’s market power, violating Paragraph 4, Article 10 (now Article 9), of the Fair Trade Act.</p> <p>Specific vertical restraints or collaboration among competitors often require an assessment of their procompetitive and anticompetitive effects on the downstream market to determine their reasonableness or legitimacy. For example, while resale price maintenance might reduce competition in the downstream market and homogenous competition within brands, thus potentially serving as a tool for concerted action among firms, under exceptional circumstances resale price restrictions might have more pro-competitive effects compared with free pricing.
