potential entrants from entering a market. It is considered anticompetitive when it is used to maintain or strengthen <a href="https://www.concurrences.com/en/dictionary/market-power">market power</a>. Foreclosure is not anticompetitive when it is the result of a firm’s superior performance (e.g. greater efficiency). The conduct also encompasses restrictions that do not force rivals to exit the market but that may cause them significant disadvantages, for example, by impeding their expansion.</p> <p>Synonyms: exclusionary acts, exclusionary behaviour, exclusionary conduct.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-112159 texte surlignable"><p>The term “exclusionary practices” is usually not found in competition laws. Instead, the term is used in case law and textbooks to refer to different types of behaviour that forecloses rivals and potential competitors with the objective of maintaining or strengthening a dominant position. Such practices include strategies that force competitors to exit markets, limit their possibility of expansion, and/or that deter new companies from entering a market.</p> <p>The exclusionary acts may cause horizontal foreclosure (e.g. dominant firm acts against competitors in the market in which it is dominant) and vertical foreclosure (e.g. vertically integrated dominant firm acts against a downstream rival). Exclusionary methods may consist of single-firm behaviour such as the imposition of constraints on rival conduct (e.g. raising rivals’ costs), <a href="https://www.concurrences.com/en/dictionary/predatory-pricing">predatory pricing</a>, <a href="https://www.concurrences.com/en/dictionary/margin-squeeze">margin squeezing</a>, <abbr title='Dead link'>tying</abbr> and <a href="https://www.concurrences.com/en/dictionary/bundling">bundling</a>, <a href="https://www.concurrences.com/en/dictionary/price-discrimination-occurs-when-customers-in">price discrimination</a>, exclusive dealing, <a href="https://www.concurrences.com/en/dictionary/fidelity-rebates">fidelity discounts and rebates</a>, <a href="https://www.concurrences.com/en/dictionary/refusal-to-deal">refusing to sell or supply</a>, refusing to provide interoperability information and refusing to licence <a href="https://www.concurrences.com/en/dictionary/Intellectual-property-right-IPR">intellectual property rights</a>, among others. Exclusionary practices may also take the form of collective <a href="https://www.concurrences.com/en/dictionary/boycott">boycotts</a>.</p> <p>There is a significant variation among jurisdictions on the legality of specific conducts, the elements of each type of exclusionary conduct, the <a href="https://www.concurrences.com/en/dictionary/burden-of-proof">burden of proof</a>, and enforcement practices in general. To illustrate these nuances, the rest of the entry presents leading cases of exclusionary practices from the European Union (EU), United States, and emerging markets. Three types of exclusionary conducts are exemplified through case law: discounts and rebates, refusal to supply (as a horizontal foreclosure), and degrading the quality of an input provided to rivals.</p> <p><strong> <i>Case 1 - fidelity discounts</i> </strong>. In <i>British Airways v Commission</i>, the Court of First Instance (CFI) of the EU confirmed the European Commission’s decision, which was that target incentives offered to travel agents by British Airways amounted to an abuse of the company’s dominant position. The Commission concluded that the reward schemes implemented by British Airways generated an exclusionary effect due to their “fidelity-building nature.” The Commission also found that these fidelity rebates affected competitor airlines and were not based on an economically justified consideration. The CFI judged that “for the purposes of establishing an infringement of Article 82 EC [currently 102] it is not necessary to demonstrate that the abuse in question had a concrete effect on the markets concerned”.</p> <p><strong> <i>Case 2 - bundled discounts.</i> </strong> In <i>Cascade Health Solutions v PeaceHalth</i>, the US Court of Appeals for the Ninth Circuit addressed a case between two providers of hospital care in Lane County, Oregon. In the first instance proceedings before the district court, the plaintiff accused the defendant of engaging in “anticompetitive conduct by offering insurers ‘bundled’ or ‘package’ discounts.” The US Court of Appeals vacated both the district court’s summary judgement and the jury’s verdict, and “dismissed appeal as moot”. The US Court of Appeals summarized its reasoning on bundled discounts and their potential exclusionary effects in the following terms: “the primary anticompetitive danger posed by a multi-product bundled discount is that such a discount can exclude a rival is who is equally efficient at producing the competitive product simply because the rival does not sell as many products as the bundled discounter. Thus, a plaintiff who challenges a package discount as anticompetitive must prove that, when the full amount of the discounts given by the defendant is allocated to the competitive product or products, the resulting <a href="https://www.concurrences.com/en/dictionary/price">price</a> of the competitive product or products is below the defendant’s incremental cost to produce them. This requirement ensures that the only bundled discounts condemned as exclusionary are those that would exclude an equally efficient producer of the competitive product or products.”</p> <p><i> <strong>Case 3 - refusal to supply</strong> </i>. In <i>United Brands v Commission</i>, the Court of Justice of the EU decided a horizontal foreclosure case in which a dominant firm (<i>United Brands - UBC</i>) had refused to supply an input (bananas) to a distributor that also sold competitors’ products. More specifically, UBC had attempted to punish its distributor for participating in the advertising campaign of one of UBC;’s competitors. The European Commission decided that <i>UBC</i> infringed article 102 TFEU through different forms of abuse of its dominant position, including price discrimination, refusal to supply, and imposing excessive prices. The Court of Justice affirmed the Commission’s findings with regard to the two first types of conduct and rejected the Commission’s conclusion regarding the third. With regard to the unilateral refusal to supply, the Court of Justice held that “an undertaking in a dominant position for the purpose of marketing a product…cannot stop supplying a long standing customer who abides by regular commercial practice, if the orders placed by that customer are in no way out of the ordinary” (paragraph 182). The Court of Justice stated that <i>UBC</i> did not “put forward any relevant argument to justify the refusal of supplies”. Finally, the Court stated that while dominant firms have the right to take action to protect their commercial interests, such strategy cannot be tolerated when “its actual purpose is to strengthen this <a href="https://www.concurrences.com/en/dictionary/abuse-of-a-dominant-position">dominant position and abuse</a> it” (paragraph 189).</p> <p><i> <strong>Case 4 - refusal to supply a key input</strong> </i>. In <i>Aspen Skiing Co. v Aspen Highlands Skiing Corp</i> the US Supreme Court decided a case in which a company that owned three mountain facilities for downhill skiing at Aspen was accused by a company that owned another mountain resort of excluding it from the market for downhill skiing services in violation of § 2 of the Sherman Act. The conduct consisted of refraining from cooperating by excluding it from a multi-area ski ticket scheme. The Supreme Court held that while “a firm with monopoly power has no general duty to engage in a joint marketing program with a competitor”, but that the “high value that we have placed on the right to refuse to deal with other firms does not mean that the right is unqualified” (page 601). Drawing from previous case law, the Supreme Court argued that refusal to deal is prohibited by the Sherman Act when it is used as a “purposeful means of monopolizing interstate commerce” (page 602). Additionally, the Supreme Court held that to characterize the conduct as “exclusionary” it was not enough to consider its effect on the dominant firm’s competitor and that “it is relevant to consider its impact on consumers and whether it has impaired competition in an unnecessarily restrictive way” (page 605).</p> <p><strong> <i>Case 5 - degrading the quality of an input provided to rivals</i> </strong>. Article 50 (6) of the Colombian competition law (Decree 2153 of 1992) explicitly lists the following exclusionary conduct as a type of abuse of dominant position: “obstructing or impeding third parties from accessing markets or commercialization channels”. In the <i>Bulk Water case</i> (Resolution 14305/2018), for example, the Colombian competition agency sanctioned Bogota city’s water state-owned company for installing a flow restrictor valve and affecting a small company that delivered potable water in the north of the city and nearby towns. The valve reduced the water’s pressure by 33%, limiting the capacity of its downstream rival to operate, and negatively impacted the end-users of the small company. The competition agency concluded that the obstruction took place in the bulk water market, in which the state-owned company had a dominant position, but affected the “market for aqueduct services”.
