where they showcase superior expertise. Unilateral specialization agreements involve one party ceasing or reducing the production of a specific product, while the other party takes over its supply. Reciprocal specialization agreements entail both parties stopping the production of their respective products and relying on each other for procurement. Given the intricate nature of contemporary industrial processes, encompassing multiple stages and resulting in various intermediate and final products, specialization agreements fall under the umbrella of horizontal production agreements. This category also encompasses joint ventures and subcontracting arrangements.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-117835 texte surlignable"><p>Specialization agreements give rise to three primary horizontal anticompetitive effects, as the parties cease competition in the production of one or more products. First, these agreements strip the parties of their autonomy in determining offers, especially in adapting to changes in market demand. Second, they induce cost-sharing among the parties, thereby facilitating price collusion. Notably, the likelihood of collusion increases with the extent of shared costs. Lastly, specialization agreements can serve as veils to conceal explicit agreements to limit output, whereby the parties decide to restrict the quantity of goods produced, subsequently raising market prices.</p> <p>Moreover, specialization agreements can result in foreclosure effects. If a specialization agreement causes the price of the jointly produced product to rise and if such a product is crucial for the production of downstream firms, then the specialization agreement may lead to the exit of downstream firms from the market when they can no longer afford the higher price.</p> <p>As is often the case, the significance of these coordinated and unilateral anticompetitive effects increases with higher joint market shares, a higher concentration ratio in the relevant market, market maturity, and static conditions, as well as the production capacity of other firms in the market and the structural bounds among rivals.</p> <p>On the other hand, specialization agreements can yield procompetitive effects by allowing firms to reduce costs that would otherwise be duplicated. This cost-saving may result from economies of scale, where marginal costs decrease with increased output, or from economies of scope if the agreement enables the parties to diversify the range of products they manufacture. Additionally, specialization agreements have the potential to enhance various aspects: (i) product quality: collaborating firms can improve product quality by leveraging complementary skills and know-how; (ii) product variety: the agreements may lead to an increased product variety that the parties might not have been able to afford or achieve independently; and (iii) technological advancements: collaboration can foster advancements in production technologies or facilitate the launch of new products, endeavors that the parties might not have undertaken individually, possibly due to limited technical capabilities. In essence, specialization agreements offer the potential for positive outcomes, fostering efficiency and innovation in various dimensions.</p> <p>Hence, under Section 1 of the Sherman Act, specialization agreements do not constitute naked restraints on competition, unless they involve concealing price-fixing agreements. In other words, if they represent genuine (market- or product- division) ancillary restraints, they are subject to the rule of reason analysis; and this clearly necessitates an examination of the power of the parties and the competitive impact of the agreement.</p> <p>In particular, the Federal Trade Commission and the Department of Justice, in their 2000 Guidelines on Collaboration Agreements, highlighted instances where competitor collaborations, like specialization agreements, could yield effects akin to those of a partial or complete merger and thus should be subject to analysis based on the Horizontal Merger Guidelines. This scenario arises when the agreement extends over several years, featuring an efficiency-driven integration of economic activities and the cessation of competition among the parties.</p> <p>Similarly, under Article 101 of the Treaty on the Functioning of the European Union, specialization agreements cannot be classified as restrictions by object because they admit various procompetitive justifications. Therefore, unless they are intended to conceal cartels, specialization agreements amount to restrictions by effect that must be prohibited if they entail significant anticompetitive effects without satisfying the four conditions listed in Article 101(3).</p> <p>In particular, to facilitate the self-assessment of specialization agreements, the European Commission (EC) adopted Regulation (EU) 2023/1067 on June 1, 2023. This regulation outlines the conditions under which specialization agreements are block-exempted from the prohibition included in Article 101(1).
