href="https://www.solarbe.com/topic/show-htm-itemid-641.html" target="_blank" style="color:#1780C4">天合光能</a>公告其与FREYR Battery, Inc.（以下简称“FREYR”）达成资产置换和经营合作，FREYR通过支付现金和现金等价物和股权置换等一揽子资产置换交易，获得Trina Solar US Manufacturing Module 1, LLC（以下简称“TUM1”） 100%的股权。</p><p>根据公告，天合光能将获得1亿美元现金、面值为1.5亿美元的优先票据、FREYR公司的19.08%股权，分两阶段获得，第一阶段获得FREYR公司的9.9%股权，第二阶段将在有关审批通过后，获得增发股份30,440,113股，届时将合计持有FREYR股比约19.08%。如果审批未通过，该部分将获得FREYR 约8000万美元的优先票据作为补偿。</p><p>天合光能在公告中表示，其与FREYR将共同执行多阶段战略合作计划，FREYR产出的组件仍将使用天合光能品牌并和天合光能合作对外销售，以确保美国本土制造产品供给，进一步提升天合光能在美国市场的产品竞争力和影响力。具体相关的合作细节双方仍在洽谈中，包括但不限于技术合作、运营合作、销售合作等。</p><p>据公告显示，FREYR在美国、挪威和全球提供电池解决方案。该公司开发电池生产设施，其产品主要用于能源存储系统和商业移动领域，包括船舶应用和商用车市场。FREYR第一大股东为Encompass Capital Advisors LLC持股16.8%，第二大股东为Koch,Inc持股8.2%。</p><p>TUM1的底层资产为天合光能在美国建设完成并即将投产的5GW组件工厂，其一年一期的合并报表显示，TUM1总资产约为50.82亿元人民币，负债总额约为45.82亿元人民币，净资产约为5亿元人民币。</p><p>根据公告显示，天合光能在TUM1项目上的注册资本金为1亿美元，短期来看，天合光能获得了丰厚的投资收益，对其2024年的经营业绩构成重大利好；且减少了约45亿元的资产负债。此外，天合光能还将获得FREYR的一个董事会席位，并委派人员担任FREYR的首席运营官、首席战略官。通过自身持有的股份和上述人员委派，天合光能将能够深入参与FREYR的经营管理。</p><p>长期来看，由于天合光能持有FREYR的股权，并能够深入参与FREYR的经营，将通过提供上游供应链服务、下游客户服务、上市公司分红等多个环节持续分享FREYR的经营成果。经过资产置换后的TUM1将成为本土化企业，其在当地市场经营的政策、环境风险将降至最低。天合光能在与FREYR分享一部分利润的同时，也获得了美国市场长期稳定的“通行证”，可谓是将风险与收益的平衡做到了极致。</p><p>天合光能于2006年即在纽交所挂牌上市，是最早在美国上市的中国民营<a href="https://www.solarbe.com/topic/show-htm-itemid-559.html" target="_blank" style="color:#1780C4">光伏企业</a>之一。长期以来，天合光能在美国<a href="https://www.solarbe.com/topic/show-htm-itemid-571.html" target="_blank" style="color:#1780C4">光伏组件</a>市场一直保持着领先地位，其2023年光伏组件出货量排名美国市场非美企业第一位。论及对于美国市场的了解，在光伏龙头中无人能出其右。天合光能与美国上市公司开展深入经营合作，体现出FREYR对天合光能在美国品牌和知名度的高度认可。而对于天合光能来说，深度融入和嫁接美国本土资源，既能够进一步提升其在美国市场的品牌知名度和市场占有率，同时也符合美国政府倡导的制造业本土化大趋势。本次合作开创了光伏行业全新的国际合作模式，对中国企业“出海”或将起到示范效应。</p><p>尤其在当下，特朗普赢得美国大选就任美国第60届总统后，大概率将通过降低企业所得税及提高关税，进一步保护美国本土光伏制造业，特朗普的“美国优先”政策可能会倾向于支持美国本土公司。特朗普在今年9月电视辩论中明确表示自己是“太阳能的忠实支持者”，从目前宣布投产的新能源项目来看，大约三分之二都位于共和党州，截至2024年3月，IRA已累计拉动的清洁能源和工业生产投资86.5%集中于红州和摇摆州，实现资本本土化后，天合光能通过与FREYR的深度合作，将更好的符合当地的政策导向，有效烫平政策波动带来的影响。</p><p>已经屡次穿越周期的天合光能又给了光伏行业和资本市场一点小小的震撼。在最具全球化优势的龙头企业光环加持下，天合光能或将再次证明自身前瞻性的战略眼光和强大的经营韧性。</p><p><br/></p>
