apercu surlignable"><p>A statement of objections is an essential step in any proceeding that leads to an act or decision by a competition authority with adverse effects on a natural or legal person. It forms an integral part of any defendant’s right to be heard in order to exercise their right to an effective defense. The statement of objections informs the defendants of all objections raised against them, including the relevant facts and evidence an intended decision or charge is based on, the legal provisions the authority relies on, its legal assessment and the envisaged consequences.</p></div> </div> <div class="definition-section"> <h3 id="part-texte" class="definition-section-title">Commentary</h3> <div class="crayon article-texte-117553 texte surlignable"><p>The term “statement of objections” is commonly used in the European Union´s enforcement context, but the concept as such is universal. It is anchored in the right to defense, which is a basic principle in any jurisdiction adhering to the rule of law and guaranteeing its subjects due process rights. In this context, the statement of objections is an essential procedural safeguard to ensure that a person or an undertaking accused of a legal violation can exercise their right to be heard, as part of an effective defense. This will further include rights of access to file in some form and at some stage before a final decision is taken, and the opportunity to present arguments in the person’s or undertaking’s defense.</p> <p>In the European Union, the right to be heard and the subsequent obligation to issue a statement of objections is established in Art. 41 of the Charter of Fundamental Rights of the European Union – the Right to Good Administration – with a pre-dating history in the relevant case law. In the US, such a right goes back to the Fifth Amendment to the U.S. Constitution. As expressed in Mullane v. Cent. Hanover Bank Tr. Co., “An elementary and fundamental requirement of due process in any proceeding which is to be accorded finality is notice reasonably calculated, under all the circumstances, to apprise interested parties of the pendency of the action and afford them an opportunity to present their objections.” Most jurisdictions’ laws will reflect in some way this fundamental legal principle also known as “audi alteram partem” - “listen to the other side” or “let the other side be heard as well”, meaning that each party is entitled to a fair hearing and given the opportunity to respond to evidence presented against them.</p> <p>The indispensable nature of a statement of objections as part of the due process requirements of both administrative and criminal competition enforcement proceedings is further evidenced by two rather recent global initiatives to which major jurisdictions have subscribed: the 2021 OECD Recommendation on Transparency and Procedural Fairness in Competition Law Enforcement and the 2020 ICN Framework for Competition Agency Procedures (CAP). Art. 5 of the OECD Recommendation asks to “inform parties and offer them opportunities to engage meaningfully in the competition law enforcement process, with due regard to the effectiveness of the investigation”. Similarly, the ICN CAP includes as principle (h) the “notice and opportunity to defend”.</p> <p>The European Union´s approach and principles relating to a statement of objections can serve as a good example for its integration and practical implementation in an adversarial competition enforcement procedure. Art. 27 of EU Regulation 1/2003 stipulates the “Hearing of Parties, Complainants and Others” and requires that “The Commission shall base its decisions only on objections on which the parties concerned have been able to comment”. In practice, a statement of objections needs to inform the undertakings concerned of all the facts and documents on which the Commission intends to rely in its final decision. It must further set out the legal assessment clearly, providing the undertakings concerned with the opportunity to contest the legal conclusions concerning the alleged infringements, and identify all documents used as evidence in support of the objections. Finally, the statement of objections needs to indicate all intended consequences of the envisaged enforcement action, for example the intended fines, periodic penalty payments or remedies. Regarding the fines, it has to indicate the essential facts and matters of law which may result in the imposition of a fine. Regarding remedies, the statement of objections has to be sufficiently detailed to allow the parties to defend themselves as to the necessity and proportionality of the remedies envisaged. Art. 18 of the EU Merger Regulation (Reg. 139/2004) imposes equivalent obligations on the European Commission in merger cases.</p> <p>For the right to be heard to be exercised effectively, the statement of objections needs to be sent in a timely manner, allowing for sufficient time for the parties to review allegations and evidence and to respond. In turn, the competition authority should also have sufficient time to consider arguments and objections by the parties properly before issuing a final decision. If the arguments brought in the parties’ defense trigger additional investigations and adjustments of the evidence being used and the legal conclusions drawn, a new/updated statement of objections will have to be issued in case the objections are changed but would still result in an adverse decision.</p> <p>In line with the fundamental nature of this due process step, the omission of a statement of objections or its improper or incomplete nature can lead to the invalidity of the decision at hand, regardless of its substantive merits.</p> <p>From an enforcement practitioner´s perspective, the statement of objections should be embraced as an opportunity to further test and improve an authority´s envisaged decision and course of action. It is not to be seen as a “necessary evil” or additional burden in an already fraught procedure. If used properly, the statement of objections will elicit a meaningful response by the affected parties, which allows the competition authority to correct factual mistakes or erroneous legal assessments before it may have to defend its decision in court. This obligation of the Commission flows from the addressee’s rights of defence which require that they be given the opportunity to make their point of view known on any objection the Commission may wish to make in a decision. The SO must contain all objections on which the Commission intends to rely upon in its final decision. The SO is an important procedural step foreseen in all competition procedures in which the Commission has the right to adopt negative decisions.</p> <p><strong>©</strong> <a
