使用任何漫游器、抓取工具、插件、外挂、或非经授权的第三方工具或服务非法获取存储数据或通过任何方式获取原始地图数据或其他数据，对本服务运行过程中释放出的任何地图数据或其他数据进         行包括但不限于删除、修改、爬取、截图、存储、缓存、下载或镜像等操作； </p><p>     (iii) 出于任何未经授权的目的收集关于用户的信息；约束或限制其他用户使用或享用本平台或本服务； </p><p>3.3.3 违反<a rel="nofollow" target="_blank" class="external text" href="http://www.scio.gov.cn/xwfbh/xwbfbh/wqfbh/37601/39164/xgzc39170/Document/1639912/1639912.htm">《中华人民共和国测绘法》</a>等相关法律法规的规定，未经行政主管部门审批、许可或备案，擅自脱离本服务单独使用或展示相关内容或通过对本服务的使用使得您或任何其他人可以预读取、缓存、下载、复制、存储或修改任何服务相关内容； </p><p>3.3.4复制、翻译、修改或创造相关内容的衍生品（包括生成或用于数据库），或公开展示相关内容的全部或任何一部分；为本服务创造或提供封装，例如，在您向其他人提供的任何应用接口中使用或提供本服务或相关内容的任何部分，或创造一个产品以重现或复制本服务或本平台；为了销售拓展的目的，印刷包含相关内容截图的销售附属材料，或为了再销售的目的将相关内容作为核心内容整合到印刷品（如印刷地图或使用指南）中； </p><p>3.3.5 违反本协议第6.5条或第6.6条约定的行为； </p><p>3.3.6 提交错误地明示或暗示您的产品或服务为本平台所属、赞助或认可的内容；  </p><p>3.3.7 宣扬或提供关于非法行为的说明信息、宣扬针对任何团体或个人的人身伤害； </p><p>3.3.8 制作或传播任何病毒、蠕虫、缺陷、特洛伊木马或其他具有破坏性的内容；  </p><p>3.3.9 利用本平台分享地理位置信息的接口，发送任何违反本协议的内容； </p><p>3.3.10以任何不合法的方式或为任何不合法的目的使用本服务（包括但不限于利用本服务制作、发布或传播用于追踪或跟踪他人的产品或服务）。 </p><p>3.4 您不得利用本服务上传、上载、发布、发表、传播任何违法内容，包括但不限于以下内容和行为：  </p><p>    3.4.1 上载、展示、张贴、传播、利用短信接口发送或以其它任何方式传送含有下列内容之一的信息：  </p><p>    3.4.2 反对宪法所确定的基本原则的；  </p><p>    3.4.3 危害国家安全，泄露国家秘密，颠覆国家政权，破坏国家统一的；  </p><p>    3.4.4 损害国家荣誉和利益的；  </p><p>    3.4.5 煽动民族仇恨、民族歧视、破坏民族团结的；  </p><p>    3.4.6 破坏国家宗教政策，宣扬邪教和封建迷信的；  </p><p>    3.4.7 散布谣言，扰乱社会秩序，破坏社会稳定的；  </p><p>    3.4.8 散布淫秽、色情、赌博、暴力、凶杀、恐怖或者教唆犯罪的；  </p><p>    3.4.9 侮辱或者诽谤他人，侵害他人合法权利的；  </p><p>    3.4.10 含有虚假、有害、胁迫、侵害他人隐私、骚扰、侵害、中伤、粗俗、猥亵、或其它道德上令人反感的内容；  </p><p>    3.4.11 含有中国法律、法规、规章、条例以及任何具有法律效力之规范所限制或禁止的其它内容的；  </p><p>    3.4.12 不得为任何非法目的而使用网络服务系统；  </p><p>3.5 如果您违反了法律法规或本条款规定，百度有权随时停止向您提供本服务并无需承担任何责任。除此之外，您还可能承担民事、刑事、行政责任以及其它法律后果。百度有权（但无义务）调查您对本服务的使用情况，以便判断是否存在违反本条款的问题，以及是否遵守所有适用法律法规或政府行政命令。  </p><p>3.6 在您的产品或服务使用本服务之前，百度有权要求您提交您的产品或服务的相关证明资料，并有权对您使用本服务的使用范围、使用方式等予以审核。本平台有权依据自身判断决定是否同意您的产品或服务使用本服务。百度有权依据自身运营选择而拒绝您要求使用本服务的申请，并且百度不对其拒绝该等申请的决定而需向您承担责任。在您的产品或服务发布后，百度仍有权根据本协议对您的产品或服务进行审核并根据情况要求您补充提交证明资料或采取相应限制措施。  </p><p>4.2 您保证您是您的产品或服务的合法所有者、开发者、运营者或已经取得相关权利人，并原始权利人合法授权，并百度有权要求您提交有关证明资料以辅助审核，但您对您提交的证明资料的真实性与合法性负责，百度仅对有关证明资料做形式审核。  </p><p>4.3 在百度对您的产品或服务审核过程中或在您使用本服务过程中，如发现您违反本协议约定、任何法律法规或本平台根据自己的独立判断认为应用不符合本平台要求或用户的需求的，百度有权在不通知的情况下暂停或终止对您提供本服务。  </p><p>4.4 您根据本协议第2.3条获得商业性使用本平台相关服务的许可后，百度将可根据您的要求向您发放商用授权书以确权。商用授权书一经发放即在其授权期限内具有法律效力。未经本平台事先书面同意，您不得将商用授权书和/或商用授权服务的部分或全部转让、转借、转授权给其他任何第三方，否则，百度有权单方面随时终止向您提供商用授权服务以及暂停或终止为您提供平台其他产品和服务，无需提前通知您，也并不退还您已经支付的服务费用（无论是否已经消耗完毕）。商用授权证明文件仅供证明授权方购买了商用服务，可以根据我们的授权按使用百度地图开放平台商用服务所包含的相应产品和服务，但是不代表您可以使用百度提供的其他任何服务。您应以合法、正当目的使用商用授权证明文件，不得使人误以为您获得百度的其他授权或是百度的代理人或经销商，亦不得超越范围或期限使用。您理解并同意，不论您是自行购买或委托其他方代您购买了商用授权，您在以商业目的使用本服务过程中应当并应确保您的业主单位（如有）遵守本协议和《百度地图开放平台商用授权协议》。如您符合商业性使用但未购买商用授权服务，则平台方有权单方面随时暂停或终止为您提供平台的部分或全部产品和服务，且无需因此向您和任何方承担责任，因此造成的一切不利后果，均应由您自行承担，同时，平台方保留法律追究权利和采取进一步相应措施的权利。 </p><p>4.5 您应保证您的应用及行为真实、准确、完整、安全，不含有任何欺诈成份，不侵犯任何第三方的合法权益，不违反任何法律法规、条例或规章。您违反上述保证所引发的全部责任，由您独立承担。给百度带来损失或负面影响的，您应负责赔偿百度所有损失，并恢复百度声誉，此情况下百度有权单方终止本协议。  </p><p>4.6 百度有权以任何理由随时单方面拒绝要求使用服务的任何申请，而该等拒绝将使您与百度之间达成的本协议无效。百度不对其拒绝该等申请的决定所造成的任何种类的损害而向您承担责任。  </p> <h2><span class="mw-headline" id="5._.E5.B9.BF.E5.91.8A">5. 广告</span></h2> <p>5.1 您使用本服务时不得以任何形式在本平台或本服务相关数据的展示结果中关联或展示广告。  </p><p>5.2 百度保留通过“服务”在本平台及本服务的相关数据中关联广告或展示广告的权利，并对广告投放行为不承担通知义务。根据本协议，您必须完整展现这些广告，不得以任何方式改变、移除或遮蔽这些广告。  </p><p>5.3 如您的产品或服务的宣传推广资料涉及本平台、本服务、百度地图或百度的任何内容，则宣传推广资料等应经百度事先书面确认后再发布，您不得擅自推广涉及本平台、本服务、百度地图或百度的内容，更不得利用百度名称或者公司数据（包括但不限于地址及电话等）进行不实夸大之宣传和误导用户及其他损害用户利益的行为。您违反本条约定所引发的全部责任，由您独立承担。给百度带来损失或负面影响的，您应负责赔偿百度所有损失，并恢复百度声誉，此情况下百度有权单方终止向您提供服务。 </p> <h2><span class="mw-headline" id="6._.E7.9F.A5.E8.AF.86.E4.BA.A7.E6.9D.83">6. 知识产权</span></h2> <p>6.1 百度是本平台及本服务的知识产权的权利人。您仅拥有依照本协议约定合法使用本平台及本服务的权利，与本平台和本服务相关的一切著作权、商标权、专利权、商业秘密等知识产权均受中华人民共和国法律法规和相应的国际条约保护，百度享有上述知识产权及合作过程中产生的衍生品的全部知识产权和所有权，但相关权利人依照法律规定应享有的权利除外。  </p><p>6.2 如您在应用的开发、制作中，经百度书面许可后使用了百度的知识产权，则所涉及内容的所有权及知识产权仍归属于百度所有，并且百度有权以自己的名义就已经开发完成的内容独立进行相关权利归属的保护申请。  </p><p>6.3 本服务所涉及的运营数据的全部权利，均归属百度所有，未经百度事先书面同意，您不得为任何目的使用。  </p><p>6.4 为宣传或广而告知您对本服务的使用并履行本条款所规定的义务，百度在此授予您不可转让、不可转授、非专有的许可，在符合本协议要求的情况下，您可在使用本服务的过程中在本服务内容中使用百度地图标志用以宣传或说明在您的产品或服务中使用了百度地图开放平台服务。除此之外，您不得以任何方式使用百度或百度地图的商业名称、商标、服务标记、徽标、域名，以及其他明显的标志。  </p><p>您在按照上款约定使用百度地图标志时，您不得：  </p><p>    a.显示百度地图标志时除了表示您与“服务”的关联，还以任何形式暗示：  </p><p>    b.与百度地图有关联或隶属关系、由百度地图赞助、经百度地图认可，或者可被合理推断为所编辑的内容由百度地图或百度地图成员创作、代表百度地图或百度地图成员的观点或意见； </p><p>    f.以误导、诽谤、侵犯、中伤、诋毁、猥亵等性质的方式，或其他百度地图不能接受的方式显示百度地图标志；  </p><p>    g.在违反任何法律或法规的网站上显示百度地图标志；您理解并同意百度可自行判定您对百度地图标志的使用是否违犯上述限制。  </p><p>6.6 通过本服务提供给您的地图图片、搜索结果中可能包含法律法规要求标明的审图号、出版号、增值电信业务经营许可号等信息，以及百度其关联公司及其合作伙伴的任何版权标识、商标、服务标记、标识、商号、企业名称、域名及其他明显的标志，您不得以任何方式进行删除、掩藏、修改或替换本服务及相关内容中所附的或包含的任何专有权利声明（包含但不限于著作权、商标权、专利权、所有权声明等）、其他任何链接或公告。 您理解并同意，因您违反本协议的规定，导致或产生第三方主张的任何索赔、要求或损失，您应当独立承担责任；百度因此遭受损失的，您也应当一并赔偿。您同意百度及其分支机构、关联公司、联属机构、管理人员、代理机构、员工、广告客户、许可证颁发机构、供应商或合作伙伴免受任何第三方由于您使用本服务、违反本协议或与使用本服务相关的任何其他行为而导致或在任何方面与之相关的索赔，您承担全部的责任并赔偿百度一切种类与性质的费用，包括所有索赔、损失、损害（实际和继发损害）、诉讼、判决、诉讼费和律师费。在此情况下，百度会向您提供有关此类索赔要求或诉讼的书面通知。 </p><p>9.3您和百度都可以不需任何理由终止本协议。如果您要终止本协议，您必须先将本服务从您的网站或应用中移除，并删除本平台提供的一切数据（包括但不限于所有地图图片、数据、百度地图标志及其他服务相关内容）。 如本协议或本服务因为任何原因终止的，您应自行处理好关于数据等信息的备份以及与您的最终用户之间的相关事项的处理等，否则由此造成百度损失的，您应负责赔偿。  </p><p>9.4 在本条款由于任何原因终止的情况下，关于知识产权、隐私保护、赔偿责任、免责及责任限制、法律适用和争议解决的条款将继续有效。除法律法规明确规定要求百度承担责任之外，百度无需因本条款或本服务的终止而需向您或任何第三方承担责任。  </p><p>9.5 </p><p>11.4 除非事先以书面通知更改，所有通知及函件均发往您向本平台提供或预留之通讯地址（包括但不限于联系人、电话号码、短信、电子邮件或其他联系方式）。若通知及函件以电子邮件形式发送，则通知收件日期以邮件进入收件方指定的电子邮件系统时间为准；以多种方式通知收件方的，收件日期以最早的收件日期为准。如果您取消本服务或不再同意本平台向您发送有关通知或函件，请您以退订短信、电子邮件等方式或其他书面方式明确告知本平台。
