sm-m_b-xl "/><div class="rich_text"><h2 id="manychat-ai-supplementary-terms" tabindex="-1">Manychat AI Supplementary Terms</h2> <p>These Manychat AI Product Terms (“<strong>AI Terms</strong>”) form a part of the Manychat, Inc. Terms of Service and any master services agreement, as applicable, between you and Manychat (the “<strong>Agreement</strong>”). These AI Terms apply to your access and use of any AI Feature(s) and, if applicable, your Manychat AI Add-On Subscription. By using the AI Features, you hereby accept and agree to be bound by these AI Terms. Any terms used but not defined herein have the same meaning as in the Agreement.</p> <h3 id="1.-definitions" tabindex="-1">1. Definitions</h3> <p>“<strong>AI Features</strong>” means features, functionality and capabilities offered as part of the Services that utilize artificial intelligence, machine learning or similar technologies developed by Manychat and/or Manychat’s third-party providers (the “AI Providers”). Such AI Features are identified as part of the Add-On Subscription, in the applicable documentation, or on our website.</p> <p>“<strong>Input</strong>” means User Generated Content that you provide for use with the AI Features.</p> <p>“<strong>Output</strong>” means any response generated by the AI Features in response to the Input.</p> <h3 id="2.-intellectual-property" tabindex="-1">2. Intellectual Property</h3> <p>Manychat and the AI Providers, as applicable, exclusively own all right, title, and interest in and to the AI Features, including all associated intellectual property rights, and except for the rights to use provided in the Agreement, no other rights or permissions to any of the AI Features is granted.</p> <h3 id="3.-inputs-and-outputs" tabindex="-1">3. Inputs and Outputs</h3> <p>You may provide Input to be processed by the AI Features and receive Output in connection with your use of the AI Features. When you use the AI Features, Input and Output are your User Generated Content. You are solely responsible for the development, content, operation, maintenance, and use of your User Generated Content. In addition to the provisions of the Terms of Service with respect to User Generated Content, you will ensure that your Input and use of Output will not (i) violate any applicable law; (ii) violate these AI Terms or the Agreement; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party. You acknowledge that due to the nature of machine learning and the technology powering AI Features, Output may not be unique and the AI Features may generate the same or similar output to Manychat or a third party (“<strong>Other Results</strong>”), and you acknowledge that you have no right, title, or interest in or to any Other Results.</p> <h3 id="4.-providing-the-ai-features" tabindex="-1">4. Providing the AI Features</h3> <ol> <li>Notwithstanding anything to the contrary in any applicable agreement between you and Manychat, Manychat may collect and use data of your interaction with, or use of the AI Features, including Input and/or Output in order to: (i) provide you with the AI Features’ functionalities; (ii) maintain, improve, modify, and develop the AI Features; (iii) comply with applicable laws and regulations; and (iv) enforce the respective policies applicable thereto.</li> <li>Notwithstanding the foregoing, Manychat contractually restricts the AI Providers from using User Generated Content for training or otherwise improving such AI Provider's services for general use.</li> <li><strong>Use Restrictions.</strong> You may not use the AI Features or Output (i) to develop foundation models or other large scale models that compete with Manychat or the AI Features; (ii) to mislead any person that Output from the Services was solely human generated; (iii) to generate spam or content for dissemination in electoral campaigns, or (iv) in a manner that violates the Agreement or any technical documentation and usage guidelines.</li> </ol> <h3 id="5.-accuracy" tabindex="-1">5. Accuracy</h3> <p>Manychat does not make any representation, warranty or indemnity as to the results that may be obtained from the use of the AI Features, the Outputs or the accuracy, currency or completeness of any other information obtained through the AI Features. You understand and agree that any material and/or data obtained through the use of any AI Features is done at your sole risk. You should not rely on factual assertions in Output without independently fact checking their accuracy. Output that appears accurate because of the detail of specificity may still contain material inaccuracies. The AI Features cannot dynamically retrieve information, and Output may not account for events or changes to underlying facts occurring after the applicable model was trained. No information or advice, whether oral or written, obtained by you from Manychat or through the AI Features shall create any warranty not expressly made herein.</p> <h3 id="6.-availability" tabindex="-1">6. Availability</h3> <p>Notwithstanding anything to the contrary in your Agreement or Manychat’s Service Level Agreement, downtime of the AI Features that results from a failure of a third-party service will not be included in Uptime calculations pursuant to the Service Level Agreement.</p> <h3 id="7.-usage-limits" tabindex="-1">7. Usage Limits</h3> <p>Manychat may monitor and limit or suspend your usage of the AI Features if Manychat believes your usage may bypass or circumvent any rate limits, negatively affect the security, operability, or integrity of any Services, violate the Agreement or otherwise impose liability on Manychat.</p> <h3 id="8.-third-party-provider-policies" tabindex="-1">8. Third Party Provider Policies</h3> <p>If you choose to use the AI Features, you may not use the AI Features in a manner that violates the Agreement, OpenAI’s <a href="https://openai.com/api/policies/sharing-publication/">Sharing and Publication Policy</a> and <a href="https://openai.com/api/policies/community-guidelines/">Community Guidelines</a>, the <a href="https://learn.microsoft.com/en-us/legal/cognitive-services/openai/code-of-conduct">Code of Conduct</a> for Azure OpenAI Service, or any other terms applicable to the use of the services provided by the AI Providers.</p> <h3 id="9.-miscellaneous" tabindex="-1">9. Miscellaneous</h3> <p>At its sole discretion, Manychat may modify or replace any of the AI Terms or change, suspend, or discontinue the AI Features (including without limitation, the availability of any feature) at any time by posting a notice on the Manychat websites or Service or by sending you an email. It is your responsibility to check the AI Terms periodically for changes. Your continued use of the AI Features following the posting of any changes to the AI Terms constitutes acceptance of those changes. You acknowledge that continued access and use of the AI Features, or certain features therein, may be subject to your agreement to pay additional fees. By using the AI Features, you hereby accept and agree to be bound by these AI Terms. Definitions\u003c/h3\u003e\n\u003cp\u003e“\u003cstrong\u003eAI Features\u003c/strong\u003e” means features, functionality and capabilities offered as part of the Services that utilize artificial intelligence, machine learning or similar technologies developed by Manychat and/or Manychat’s third-party providers (the “AI Providers”). Such AI Features are identified as part of the Add-On Subscription, in the applicable documentation, or on our website.\u003c/p\u003e\n\u003cp\u003e“\u003cstrong\u003eInput\u003c/strong\u003e” means User Generated Content that you provide for use with the AI Features.\u003c/p\u003e\n\u003cp\u003e“\u003cstrong\u003eOutput\u003c/strong\u003e” means any response generated by the AI Features in response to the Input.\u003c/p\u003e\n\u003ch3 id=\"2.-intellectual-property\" tabindex=\"-1\"\u003e2. Intellectual Property\u003c/h3\u003e\n\u003cp\u003eManychat and the AI Providers, as applicable, exclusively own all right, title, and interest in and to the AI Features, including all associated intellectual property rights, and except for the rights to use provided in the Agreement, no other rights or permissions to any of the AI Features is granted.\u003c/p\u003e\n\u003ch3 id=\"3.-inputs-and-outputs\" tabindex=\"-1\"\u003e3. Inputs and Outputs\u003c/h3\u003e\n\u003cp\u003eYou may provide Input to be processed by the AI Features and receive Output in connection with your use of the AI Features. When you use the AI Features, Input and Output are your User Generated Content. You are solely responsible for the development, content, operation, maintenance, and use of your User Generated Content. In addition to the provisions of the Terms of Service with respect to User Generated Content, you will ensure that your Input and use of Output will not (i) violate any applicable law; (ii) violate these AI Terms or the Agreement; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party. You acknowledge that due to the nature of machine learning and the technology powering AI Features, Output may not be unique and the AI Features may generate the same or similar output to Manychat or a third party (“\u003cstrong\u003eOther Results\u003c/strong\u003e”), and you acknowledge that you have no right, title, or interest in or to any Other Results.\u003c/p\u003e\n\u003ch3 id=\"4.-providing-the-ai-features\" tabindex=\"-1\"\u003e4. Providing the AI Features\u003c/h3\u003e\n\u003col\u003e\n\u003cli\u003eNotwithstanding anything to the contrary in any applicable agreement between you and Manychat, Manychat may collect and use data of your interaction with, or use of the AI Features, including Input and/or Output in order to: (i) provide you with the AI Features’ functionalities; (ii) maintain, improve, modify, and develop the AI Features; (iii) comply with applicable laws and regulations; and (iv) enforce the respective policies applicable thereto.\u003c/li\u003e\n\u003cli\u003eNotwithstanding the foregoing, Manychat contractually restricts the AI Providers from using User Generated Content for training or otherwise improving such AI Provider's services for general use.\u003c/li\u003e\n\u003cli\u003e\u003cstrong\u003eUse Restrictions.\u003c/strong\u003e You may not use the AI Features or Output (i) to develop foundation models or other large scale models that compete with Manychat or the AI Features; (ii) to mislead any person that Output from the Services was solely human generated; (iii) to generate spam or content for dissemination in electoral campaigns, or (iv) in a manner that violates the Agreement or any technical documentation and usage guidelines.\u003c/li\u003e\n\u003c/ol\u003e\n\u003ch3 id=\"5.-accuracy\" tabindex=\"-1\"\u003e5. Accuracy\u003c/h3\u003e\n\u003cp\u003eManychat does not make any representation, warranty or indemnity as to the results that may be obtained from the use of the AI Features, the Outputs or the accuracy, currency or completeness of any other information obtained through the AI Features. You understand and agree that any material and/or data obtained through the use of any AI Features is done at your sole risk. You should not rely on factual assertions in Output without independently fact checking their accuracy. Output that appears accurate because of the detail of specificity may still contain material inaccuracies. The AI Features cannot dynamically retrieve information, and Output may not account for events or changes to underlying facts occurring after the applicable model was trained. No information or advice, whether oral or written, obtained by you from Manychat or through the AI Features shall create any warranty not expressly made herein.\u003c/p\u003e\n\u003ch3 id=\"6.-availability\" tabindex=\"-1\"\u003e6. Availability\u003c/h3\u003e\n\u003cp\u003eNotwithstanding anything to the contrary in your Agreement or Manychat’s Service Level Agreement, downtime of the AI Features that results from a failure of a third-party service will not be included in Uptime calculations pursuant to the Service Level Agreement.\u003c/p\u003e\n\u003ch3 id=\"7.-usage-limits\" tabindex=\"-1\"\u003e7. Usage Limits\u003c/h3\u003e\n\u003cp\u003eManychat may monitor and limit or suspend your usage of the AI Features if Manychat believes your usage may bypass or circumvent any rate limits, negatively affect the security, operability, or integrity of any Services, violate the Agreement or otherwise impose liability on Manychat.\u003c/p\u003e\n\u003ch3 id=\"8.-third-party-provider-policies\" tabindex=\"-1\"\u003e8. Third Party Provider Policies\u003c/h3\u003e\n\u003cp\u003eIf you choose to use the AI Features, you may not use the AI Features in a manner that violates the Agreement, OpenAI’s \u003ca href=\"https://openai.com/api/policies/sharing-publication/\"\u003eSharing and Publication Policy\u003c/a\u003e and \u003ca href=\"https://openai.com/api/policies/community-guidelines/\"\u003eCommunity Guidelines\u003c/a\u003e, the \u003ca href=\"https://learn.microsoft.com/en-us/legal/cognitive-services/openai/code-of-conduct\"\u003eCode of Conduct\u003c/a\u003e for Azure OpenAI Service, or any other terms applicable to the use of the services provided by the AI Providers.\u003c/p\u003e\n\u003ch3 id=\"9.-miscellaneous\" tabindex=\"-1\"\u003e9. Miscellaneous\u003c/h3\u003e\n\u003cp\u003eAt its sole discretion, Manychat may modify or replace any of the AI Terms or change, suspend, or discontinue the AI Features (including without limitation, the availability of any feature) at any time by posting a notice on the Manychat websites or Service or by sending you an email. It is your responsibility to check the AI Terms periodically for changes. Your continued use of the AI Features following the posting of any changes to the AI Terms constitutes acceptance of those changes. You acknowledge that continued access and use of the AI Features, or certain features therein, may be subject to your agreement to pay additional fees.
