the adopter application process. * Each entity submitting its name and information regarding adoption of DMTF standards, who is accepted by DMTF for the Adopters List (the “Listed Entity”) must agree to the following terms and conditions.</p> <p>I. Listed Entity Responsibilities</p> <p>This is a self-certified list. Representations of any kind, including the nature and scope of any adoption of DMTF standards are those of the Listing Entity, and not DMTF. In addition, by submitting your company or organization name and other information for the DMTF Adopters List you agree that your submission is voluntary and that all representations made by you are accurate, complete, and reliable for the entire period of time that your name and information is displayed on the Adopters List. In addition, it is the sole responsibility of the Listed Entity to ensure its information on the Adopters List is up-to-date at all times. In addition, the Listed Entity agrees to limit its posted information on the Adopters List to categories and word limits as determined by DMTF, in its sole discretion. In turn, a Listed Entity may request DMTF to change, update, or withdraw its name and information on the Adopters List at any time, and DMTF shall comply as soon as practicable.</p> <p>II. DMTF Reservation of Rights and Disclaimer</p> <p>Neither DMTF, its directors, officers, contractors, and agents (the “DMTF Parties”) warrant the accuracy, completeness, timeliness, reliability, suitability or usefulness of any of the information provided by Listed Entities or third parties to DMTF. As a consequence, DMTF is not responsible to audit or confirm the accuracy of the information provided by a Listed Entity or any party on the Adopters List. However, notwithstanding the foregoing, as the sponsor of the Adopters List, DMTF reserves the right to remove any information or refuse to post any information that DMTF, in its sole discretion, deems to be erroneous, misleading, unethical, defamatory, an infringement of third party intellectual property or other rights, or offensive to the public. As a consequence, all Listed Entities hereby grant the DMTF Parties the right to make such changes to Listed Entity information on the Adopters List deemed necessary and reasonable by DMTF. Furthermore, DMTF Parties disclaim any and all representations, warranties, or endorsements regarding a Listed Entity’s adoption of DMTF standards, whether express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, course of dealing, usage of trade, and non-infringement of third party rights, as applicable.</p> <p>Under no circumstances will any of the DMTF Parties be liable for any costs, expenses, loss, or damage caused by any parties’ reliance on a Listed Entity’s information posted on the DMTF Adopters List. Therefore, all Listed Entities agree to indemnify and hold the DMTF Parties harmless for and against any and all costs, expenses, loss, or damage, including bodily injury or death and any property damage to anyone incurred by the DMTF Parties in connection with a Listed Entity’s information posted on the DMTF Adopters List.
