file--jobs_terms jobs_terms _a _jm" data-_tn="static_pages/jobs_terms"><h2> I. INTRODUCTION </h2> <p> The following Jobs Terms (these “Jobs Terms”) modify and supplement our <a href="/terms">General Terms</a>, the terms and conditions of which are hereby expressly incorporated by reference, and together with the General Terms, collectively governs your access and use of our job-posting platform and associated applicant tracking sync functionalities (the “Jobs Service”). Capitalized terms used in these Jobs Terms, but not defined herein have the meanings given to such terms in the General Terms. In the event of any conflict or inconsistency between these Jobs Terms and the General Terms, the applicable terms of these Jobs Terms will control with respect to your use of the Jobs Service. </p> <p> If you are a Candidate then by signing up for an Account and entering your profile information on our Site, you may access and use certain aspects of the Jobs Service as made available through the Site. </p> <p> If you are an Employer, you may access and use the Jobs Service only if you have (i) signed up for an Account and affirmatively opted into the Jobs Service; (ii) we have approved your Account to make use of the Jobs Service (as determined in our sole discretion); and (iii) you are associated with a particular organization and have received the applicable recruiting permissions on your Account authorizing you to use the Jobs Service on the organization’s behalf from the administrative Account of such organization. </p> <h2> II. JOBS SERVICE </h2> <p> <u> Standard Jobs </u> </p> <p> The Jobs Service consists of a web-based platform where Employers can post jobs for which they are currently seeking Candidates (each, a “Job”) and Candidates may filter and search through various Jobs posted on the platform and apply to those Jobs. We also offer Employers the ability to integrate their existing supported internal applicant tracking systems (“Employer ATS”) with the Jobs Service, which allows for the automatic synchronization of an Employer’s Jobs with the Employer ATS. We currently offer this standard functionality of the Jobs Service to both Employers and Candidates on a free basis (“Standard Jobs”). </p> <p> If you are using Standard Jobs, you hereby acknowledge and agree that your use of the Jobs Service is subject to limitations that we may impose from time-to-time in our sole discretion, including, by way of example, limitations on the number of Jobs that you may post, or limitations on your ability to access and use certain features and functionalities of the Jobs Service. We also hereby reserve the right to modify or discontinue your access to Standard Jobs at any time for any reason. </p> <p> <u> Promoted Jobs </u> </p> <p> As part of the Jobs Service, we offer Employers the ability to purchase a “Promoted Job” which means that the applicable Job posted by an Employer will be prioritized within the Jobs Service with respect to search results of relevant Candidates depending on the search terms used and the Candidate’s profile information. </p> <p> <u> Limitations on Employer ATS Synchronization </u> </p> <p> We currently support only the following Employer ATS’s in connection with the Jobs Service: Greenhouse, Lever, Ashby, and Workable. If you are using the Jobs Service, you hereby acknowledge and agree that (i) we do not provide any aspect of your Employer ATS and are not responsible for any compatibility issues, errors or bugs caused in whole or in part by your Employer ATS or any update or upgrade thereto; (ii) you are solely responsible for maintaining your Employer ATS and obtaining any associated licenses and consents necessary for you to utilize the Jobs Service synchronization functionality in connection with your Employer ATS; and (iii) your use of Premium Jobs and the Employer ATS synchronization functionality within Standard Jobs is conditioned on your proper and timely installation and configuration of any updates, application programming interfaces and other software that we deem necessary in order for us to provide the Jobs Service. </p> <h2> III. FEES </h2> <p> <u> Promoted Jobs </u> </p> <p> If you wish to purchase a Promoted Job on the Jobs Service and have not executed a separate written service supplement with us that indicates otherwise, you must first provide us with certain preliminary information about the nature of your requested Promoted Job on the Jobs Service, after which you will receive a quote from us for the monthly price of that Promoted Job (each, a “Promoted Job Quote”). By purchasing any Promoted Job on our Jobs Service, you hereby agree that we may bill you for, and that you will pay us, the amounts set forth on the Promoted Job Quote in accordance with your selected billing option on the first day of your monthly term (the “Promoted Job Fees”). </p> <p> <u> Premium Jobs </u> </p> <p> If you wish to use the Premium Jobs functionality of the Jobs Service and have not executed a separate written service supplement with us that indicates otherwise, you must first provide us with certain preliminary information about the nature and scope of your intended use of the Premium Jobs functionality, after which you will receive a quote from us for the monthly price for a subscription covering your contemplated use of Premium Jobs (each, a “Premium Jobs Quote”). If you accept the Premium Jobs Quote, you hereby agree that we may bill you for, and that you will pay us, the amounts set forth on the Promoted Job Quote in accordance with your selected billing option on the first day of your monthly term (the “Premium Jobs Fees”). </p> <p> <u> Payment Terms </u> </p> <p> Any portion of the Promoted Job Fees or Premium Jobs Fees that is not paid when due shall accrue interest at a rate of 1.5% of the amount owed and interest thereon, or such lesser amount as may be the maximum amount permitted by law, compounded monthly. All Promoted Job Fees and Premium Jobs Fees are non-refundable. </p> <h2> IV. CANDIDATE REFERRALS </h2> <p> To participate and become eligible for a referral award (“Award”), you (the existing user) must refer the new user to Wellfound.com (the “Site”) through the offer links available at https://wellfound.com/jobs. To participate in this Award program, users must agree to these terms and conditions (“Program Terms”), which become part of the Site’s Terms of Service at https://wellfound.com/terms, and your participation in this Referral Program constitutes your consent to these Program Terms. </p> <p> The amount and form of the Award will be posted on the Site and deemed incorporated in these Program Terms effective on the date posted, and will supersede any other amounts and forms. These Program Terms, as may be amended from time to time, supersede any prior terms concerning the same subject matter. </p> <p> In order for you to be eligible for and earn an Award, the potential new candidate referred must: 1) first enter the Site through a referral link created on the Site offer page and provided by the referring Site member, 2) be a new Angel.co individual user who was not previously a member or user and does not have or control any account at the Site whether individual or organizational, and 3) be hired for a job through the Site within one hundred twenty (120) days after becoming an approved Site user. Users are approved at the sole absolute discretion of Angel.co. </p> <p> Subject to the limitations specified above, an Award will be successfully triggered based on any methods described on the Site offer page. You will be notified of a successful Award event after the eligibility criteria have been satisfied in the sole absolute discretion of Angel.co. Only one (1) Award will be paid per new candidate. A maximum of five (5) referral Awards may be granted to any individual existing user, and this limitation may not be circumvented by using more than one user name, alternate email address, or the like, and any attempt to do so may result in disqualification from earning any Award as determined in the sole absolute discretion of Angel.co. You are solely responsible for any tax consequences that may result from receipt of an Award. </p> <p> You will be disqualified from earning an Award on any candidate who at any time prior to your referral had a candidate profile on the Site, including under an alternate email address or other Site identification. The potential new candidate must be a new individual user who a) was not previously a member or user, b) does not have or control any account at the Site whether individual or organizational, and c) has not previously started, owned or controlled a Site account regardless of whether such person completed or submitted a user profile. Though there is no limit to the number of referrals you may submit, you may not use spam and may not send unsolicited emails to persons not personally known to you for purposes of collecting potential award referrals. You may not collect award referrals by posting on message boards or other online venues in violation of such venues’ terms of use. Solicitations for award referrals may not be published or distributed where you have no reasonable basis for believing that all or substantially all of the recipients are your personal friends. You are responsible for your own compliance with applicable laws, rules, regulations and third-party terms, including any CAN SPAM act and regulations regarding paid endorsements. Your violation of applicable laws, rules, regulations, or third-party terms, or of any of the conditions stated above, shall result in disqualification from eligibility for an Award, as determined in the sole absolute discretion of Angel.co. </p> <p> Angel.co reserves the right to cancel any Award upon determination in its sole absolute discretion that a user has violated these terms, including through any fraudulent or misleading referral activity (for example, by referring fake people to users, using false names, using multiple identities, email accounts or email addresses, impersonating another person, or otherwise providing false or misleading information) or if Angel.co terminates or suspends the user’s account for any reason. </p> <p> You may also be liable for civil and/or criminal penalties under applicable law for violations thereof including fraudulent or misleading referral activity. Any other abuse of this offer, as determined by Angel.co in its sole absolute discretion, may result in the rescission of the Award, as well as a determination that existing and/or new users are ineligible to participate in this or future offers. Determination of referral award eligibility, as well as any exceptions, will be at the sole absolute discretion of Angel.co. Angel.co reserves the right to verify eligibility and adjust offers at any time prior to or following posting and/or award. If any provision of these Program Terms is, for any reason, held to be invalid or unenforceable, the other provisions will be unimpaired, and the invalid or unenforceable provision will be deemed automatically modified so that it is valid and enforceable to the maximum extent permitted by applicable law. </p> <p> Angel.co may update, suspend or terminate this Referral Program or any user's ability to participate in this Referral Program at any time for any reason or for no reason at all. If Angel.co modifies any of these terms, a modification will be posted to the Site, which will be effective upon posting. Your continued participation in this Referral Program after any modification constitutes your consent to such modification. </p> <h2> V. TERM AND TERMINATION </h2> <p> Unless terminated by Wellfound, these Jobs Terms will remain in full force and effect while you use the Jobs Service. If you have purchased a Promoted Job or a subscription to Premium Jobs, your subscription will automatically renew at the end of your then-current subscription term for a renewal term equal in length to your prior subscription term, unless you provide us with written notice of cancellation (i) prior to end of your then-current subscription term if you have a monthly subscription term; or (ii) at least thirty (30) days prior to the end of your then-current subscription term if you have an annual subscription term. We may terminate these Jobs Terms at any time, including if you are suspected of violating any provision of these Jobs Terms or the General Terms.
