Google Pay Terms</p></h2> <ul> <h3><a name="SafeHtmlFilter_Intro"></a>1. Introduction</h3> <p>To use Google Pay you must accept (1) the <a href="https://policies.google.com/terms?hl%3Den-US" target="_blank">Google Terms of Service</a>, (2) these Google Pay/Google Payments Additional Terms of Service, and (3) the <a href="https://pay.google.com/about/policy/" target="_blank">Google Payments User Policies</a>. </p> <p>Please read each of these documents carefully. Together, these documents are known as the <strong>&#x201c;Terms&#x201d;</strong>. They establish what you can expect from us as you use our services, and what we expect from you. </p> <p>If these Google Pay/Google Payments Additional Terms of Service conflict with <a href="https://policies.google.com/terms?hl%3Den-US" target="_blank">the Google Terms of Service</a>, these Google Pay/Google Payments Additional Terms of Service will govern. If there is any conflict between the English-language version of the Terms and a version translated into another language, the English-language text shall prevail.</p> <p><a href="https://policies.google.com/privacy?hl%3Den-US" target="_blank">Our Privacy Policy</a> and the <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=privacynotice&amp;ldl=en" target="_blank">Google Payments Privacy Notice</a> describe how Google handles your payments information, and you agree that they apply to your use of our services. Please note that the <a href="https://policies.google.com/terms?hl=en-US" target="_blank">Google Terms of Service</a> applies to storing and using items such as loyalty cards, reward program cards, transit passes, boarding passes, and other non-payment items.</p> <p>Google Pay is a &#39;Service&#39; as defined in the Google ToS. </p> <p>Certain Google Pay features were previously branded &#39;Android Pay&#39;. While you may continue to see legacy references to Android Pay in shops, in apps or on websites, those features are subject to these Terms.</p> <p>Please see the <a href="https://support.google.com/pay" target="_blank">Google Pay Help Center</a> for more information.</p> <h3><a name="SafeHtmlFilter_Basicreq"></a>2. Basic requirements</h3> <p>By agreeing to the Terms, you represent that you are:</p> <ul> <li>At least as old as the age specified <a href="https://support.google.com/accounts/answer/1350409" target="_blank">here</a>; and</li> <li>capable of entering into a legally binding agreement with Google.</li> </ul> <p>You will also need a Google Account; a device that meets the Service&#39;s system and compatibility requirements, which may change from time to time; working Internet access; and compatible software. Your ability to use Google Pay, and Google Pay&#39;s performance, may be affected by these factors. Such system requirements are your responsibility.</p> <p>To protect your Google Account, keep your password confidential and do not share your account details or password with anyone else. You should not reuse your Google Account password on third-party applications. Learn more about <a href="https://support.google.com/accounts/answer/46526" target="_blank">keeping your Google Account secure</a>, including what to do if you learn of any unauthorized use of your password or Google Account.</p> <p><strong>Transaction Security</strong></p> <p>From time to time, Google Pay may provide you with various transaction security features to reduce the risk of unintended or unauthorized transactions involving your Google Account. Regardless of the transaction security features you select, you assume responsibility for all charges made through your Google Account, including unintended or unauthorized purchases made through Google Pay.</p> <h3><a name="SafeHtmlFilter_GeneraldesGP"></a>3. General description of Google Pay</h3> <p>Google Pay saves the things you do in Google Pay (like your transactions and communications), and the things you keep in Google Pay (like your forms of payment), to your Google Account to provide the Google Pay Service to you. Google Pay allows you to manage various kinds of payment methods and transact with Google and third parties using things you keep in Google Pay. </p> <p>We reserve the right to change, suspend or discontinue any aspect of the Google Pay Service at any time, including hours of operation or availability of the Services or any Service feature, without notice and without liability.</p> <ul> <li>Things you can keep in Google Pay include:</li> <ul> <li>Credit cards, debit cards, bank accounts, identifiers (such as your phone number) linked to your bank account, and other kinds of payment methods that you can use to pay in shops, in apps, on the web, and in other ways.</li> </ul> <li>With Google Pay you may also be able to:</li> <ul> <li>Interact and transact with third-party merchants in various ways including on websites, in shops, or in other apps;</li> <li>Activate, use and spend a balance in Google Pay (a <strong>&#x2018;Google Pay Balance&#x2019;</strong> or <strong>&#x2018;Balance&#x2019;</strong>);</li> <li>Link your bank and card accounts to Google Pay so you can see your transactions in one place. You must be eighteen (18) years of age or older to link your bank and card accounts to Google Pay;</li> <li>See financial insights based on your spending (e.g., spending summaries).</li> </ul> <li>If you provide your phone number in Google Pay, you agree that Google may send text messages at that number about Google Pay transactions. Message and data rates may apply. Message frequency varies. Reply HELP for help or STOP to end. Neither we nor your phone carriers are liable for delayed or undelivered messages. </li> </ul> <h3><a name="SafeHtmlFilter_pm"></a>4. Payment methods</h3> <ul> <h4><a name="SafeHtmlFilter_typepm"></a>(a) Types of payment methods</h4> <p>With Google Pay, you can keep and manage various kinds of payment methods in your Google Account (collectively, <strong>&#39;Payment Methods&#39;)</strong>, including:</p> <ul> <li>Payment cards such as credit, debit and prepaid cards (<strong>&#39;Payment Cards&#39;</strong>)</li> <li>Bank-issued virtual account numbers or virtual card numbers representing your Payment Cards (<strong>&#39;Virtual Card Numbers&#39; </strong>or &#39;<strong>Virtual Account Numbers&#39;</strong>)</li> <li>Bank accounts</li> <li>Identifiers linked to your bank account (such as your phone number)</li> <li>Carrier billing accounts</li> <li>Digital wallets or accounts that you have with companies other than Google (<strong>&#39;Linked Third-Party Accounts&#39;</strong>)</li> </ul> <p>Availability of a given Payment Method or its compatibility with Google Pay may depend on your Payment Method and other factors. The compatible Payment Method types, as well as the Payment Method uses and Google Pay features described below may not be available to you, and may change at any time.</p> <h4><a name="SafeHtmlFilter_savingpm"></a>(b) Saving a Payment Method</h4> <p>You may be able to save a Payment Method to your Google Account through a variety of user interfaces. In order to save a Payment Method, you must complete required information on any registration forms presented to you. The information that you provide must be current, complete and accurate, and you must maintain it as such. We may require you to provide additional information as a condition of continued use of Google Pay, or to help us determine whether to permit you to continue using Google Pay.</p> <p>When you save a Payment Method, Google may store information relating to the Payment Method, such as your name and billing address. Google also allows you to save other information to your Google Account that can help speed up transactions, such as a delivery address.</p> <p>You authorize us to confirm that your Payment Method is in good standing with its provider, including, but not limited to, by submitting a request for a payment authorization and/or a low-value credit and/or debit to the Payment Method, in accordance with network rules or other requirements applicable to the Payment Method.</p> <p>You agree that Google Pay is for your personal use, with your own Payment Methods. If you use Google Pay with an eligible corporate card, you agree that you are doing so with your employer&#39;s authorization and with the ability to bind your employer to these Terms.</p> <p>You also agree that Google may update your Payment Method information, including your card name, card art, card number, expiration date, and other card-related information, based on information received from your card issuer and/or the payment networks under certain account update programs. Google may reflect these changes in your stored Payment Method information to help you identify your cards and prevent payment failure or service termination.</p> <h4><a name="SafeHtmlFilter_googlerole"></a>(c) Google&#39;s role</h4> <p>Except where Google or its affiliate is the issuer, neither Google nor its affiliates are a party to your Payment Methods&#39; cardholder agreements, privacy policy or other terms of use. Nothing in these Terms modifies any such issuer terms. In the event of any inconsistency between these Terms and your issuer&#39;s terms or privacy policy, these Terms will govern the relationship between you and Google with respect to Google Pay, and your issuer&#39;s terms will govern the relationship between you and the issuer. Google does not make any representation or verify that any of your Payment Methods is in good standing or that the issuer of your Payment Method will authorize or approve any transaction with a merchant when you use Google Pay for that transaction.</p> <p>Except where Google or its affiliate is the issuer, neither Google nor its affiliates are involved in issuing credit or determining eligibility for credit, nor do they exercise control over: the availability or accuracy of Payment Methods or funds; the provisioning (or addition) of Payment Methods to Google Pay; or addition of funds to Payment Method balances. For any concerns relating to the foregoing, please contact your Payment Method&#39;s issuer.</p> <h4><a name="SafeHtmlFilter_savingvcard"></a>(d) Enabling or Saving a Virtual Card Number, Virtual Account Number, or Linked Third-Party Account</h4> <p>The following additional terms apply when using Google Pay to enable or save a Virtual Card Number, Virtual Account Number, or Linked Third-Party Account to your Google Account.</p> <p>After you have begun to add a Payment Method to Google Pay and provided the information requested by Google and/or your Payment Method issuer, Google Pay will check whether the Payment Method is eligible to be used with Google Pay. All of a participating issuer&#39;s Payment Methods may not be eligible. If your Payment Method&#39;s issuer supports Google Pay and your Payment Method is eligible, when adding it you may see a screen asking you to accept the issuer&#39;s terms and conditions. Once you have done so and successfully added the Payment Method, Google Pay will enable or store a Virtual Card Number (or Virtual Account Number, where applicable) representing your Payment Card&#39;s actual card account number, or associate your Linked Third-Party Account with your Google Account, for use as described in the Terms. When choosing to use a particular Payment Method to complete a purchase, before doing so, you may see a screen(s) from your issuer asking you to accept the issuer&#39;s terms and conditions related to that purchase and any extension of credit from the issuer to finance that purchase.</p> <p>Virtual Card Numbers that you register using Google Pay are distinct from any associated Payment Cards that you save to your Google Account and cannot be used for in-store Near-Field Communication (&#39;NFC&#39;) transactions. However, when you register a Virtual Card Number, Google Pay may also save the associated Payment Card in your Google Account and it may be available for your use for other Google services.</p> <p>You acknowledge that Google Pay may receive transaction information from your Payment Method&#39;s issuer, payment network, or payment service providers to display transaction details and your transaction history in Google Pay.</p> <p>A Payment Method may be removed from Google Pay on a given device and become unusable with the Service if: (i) you delete the Payment Method from Google Pay; (ii) you delete the Payment Method from your Google Account; (iii) you erase your mobile device using Android Device Manager; (iv) you delete your Google Account; (v) your mobile device fails to connect to any Google product or service for 90 consecutive days; (vi) you do not use Google Pay on the device for 12 consecutive months; and/or (vii) your Payment Method&#39;s issuer or payment network instructs Google to remove the Payment Method from Google Pay. When turned off in Google Pay, a Virtual Card Number that you have previously saved as a &#x201c;card-on-file&#x201d; with a merchant may still be available for that merchant to charge based on the arrangement between your payment issuer and the merchant.</p> </ul> <h3><a name="SafeHtmlFilter_transpm"></a>5. Transacting with Payment Methods</h3> <ul><h4><a name="SafeHtmlFilter_gproperties"></a>(a) On Google properties</h4> <p>Google Pay may allow you to initiate a payment transaction with a <strong>&#39;Seller&#39;</strong>, defined as (i) a Google group company or (ii) any other seller participating in one or more of Google&#39;s marketplaces (as listed <a href="https://support.google.com/paymentscenter/answer/9031403?p%3Dgoogle_marketplaces%26visit_id%3D636785063042510889-22186422%26rd%3D1&amp;sa=D&amp;ust=1603732545524000&amp;usg=AOvVaw0aaytTN3XImTHdbxynfqLq" target="_blank">here</a>) that offers merchandise, goods or services for sale to you, and that requests Google or its affiliates to process payment transactions on its behalf.</p> <p>You acknowledge and agree that your transaction with a Seller (a <strong>&#39;Google Transaction&#39;</strong>) is solely between you and the Seller. Google and its affiliates are not party to your Google Transactions and related purchases, nor a buyer or seller in connection with any Google Transaction, unless expressly designated as such (for example, in the listing or description of the relevant merchandise, good or service on a Google-operated website or interface).</p> <p>When you initiate a Google Transaction, Google may present your available and eligible Payment Methods to you at the time of transaction. Not all Payment Methods are eligible for use for all transactions. After you select the Payment Method that you wish to use, Google may charge that Payment Method, or may share the Payment Method and related details with one of its affiliates, which will then process the transaction on behalf of the Seller. You authorize the charge or debit to your Payment Method as necessary to complete processing of a Google Transaction. You also authorize any crediting to your Payment Method in connection with reversals, refunds or adjustments related to a Google Transaction.</p> <p>For details or terms relating to a specific Google Transaction, including refund or dispute resolution policies, please refer to the terms of service, help center or other support materials provided by the Seller with which you transacted.</p> <p>If there is a problem charging your selected Payment Method, Google may charge any other valid Payment Method that you have saved to Google Pay. Visit the Google Pay payment methods on the <a href="http://wallet.google.com" target="_blank">Google Wallet website</a>, Google settings on your Android device, or Google account to manage your payment options. You also agree that a Seller may resubmit a Google Transaction for a purchase to the payment network for processing one or more times in the event that a prior Google Transaction is declined or returned by the payment network. Google may delay payment processing of suspicious transactions or transactions that may involve fraud, misconduct or violate applicable law, the Terms or other applicable Google policies, as determined at Google&#39;s sole and absolute discretion.</p> <p>If a Seller offers you the ability to pay for subscriptions, your subscription will start when you click &#39;accept and buy&#39; (or an equivalent phrase) on a subscription purchase. This is a recurring billing transaction. Unless otherwise stated, your subscription and the relevant billing authorization will continue indefinitely until cancelled by you. By clicking &#39;accept and buy&#39; (or equivalent), you authorize the Seller to bill your chosen Payment Method each designated billing period for the subscription. The Google Transaction amount is subject to change by the Seller during the subscription period. Unless otherwise stated in the terms and conditions accompanying your subscription purchase, cancellation of a subscription will not become effective until the end of the current billing period, and you will not receive a refund for the current billing period and will continue to be able to access the relevant subscription for the remainder of the current billing period. In the event of a conflict between the terms and conditions you agree to for your subscription purchase and these Terms, the terms and conditions you agree to for your subscription purchase will govern.</p> <h4><a name="SafeHtmlFilter_withthirdp"></a>(b) With third parties</h4> <p>When you initiate a payment using Google Pay with any party other than a Seller (such party is a <strong>&#39;Third Party&#39;</strong> and such transaction is a <strong>&#39;Third-Party Transaction&#39;</strong>), Google may pass details of your eligible Payment Method and related information to the Third Party or its payment processor so that it can charge your Payment Method. Depending on the nature of the Third Party, a Third-Party Transaction may be for the purchase of goods or services or for other purposes, such as charitable donations or gifts. A Third-Party Transaction may be initiated when you: use tap-and-pay in shops using NFC, barcodes or other contactless technology; select &#39;Google Pay&#39; or &#39;Buy with Google Pay&#39; (or comparable language) as a payment option in an online transaction on the Third Party&#39;s website or app; interact or transact with the Third Party on Google Pay; or transact with the Third Party through some other online interface, such as via the Google Assistant. When you initiate an online transaction, Google Pay may also share other information, such as a phone number, billing, delivery or email address saved in your Google Account, where relevant to completing the transaction.</p> <p>In a Third-Party Transaction, after passing the Payment Method and other details to the Third Party or its payment processor, Google will have no further involvement in the transaction (except that the Third Party or its payment processor may pass order information back to Google for display in Google Pay), and you acknowledge and agree that such transaction is solely between you and the Third Party and not with Google or any of its affiliates. You should contact the Third Party or your Payment Method provider (for example, the issuer of your Payment Card) directly regarding any issues with Third-Party Transactions, including refunds and disputes.</p> <h4><a name="SafeHtmlFilter_chormeorandroid"></a>(c) As part of Chrome or Android AutoFill</h4> <p>If you have enabled the &#39;AutoFill&#39; feature on the Google Chrome browser or on your Android device, Google Pay may also present you with the option of automatically filling your saved Payment Method and address information in a Third-Party website&#39;s payment form on the Chrome browser, or in a Third-Party app&#39;s payment form on an Android device. (For more information on how AutoFill works with Google Pay, consult the Chrome Help Center). When you use this feature, Google is not interacting with the Third-Party website or app, and is only completing your request to automatically fill certain selected information in a Third-Party form. Google has no involvement in any transaction that you complete using Chrome or Android AutoFill, and you acknowledge and agree that such transaction is solely between you and the Third Party and not with Google or its affiliates. You should contact the Third Party or your Payment Method issuer directly regarding any issues with a transaction in which you used Chrome or Android AutoFill.</p> <h4><a name="SafeHtmlFilter_forgooglepayments"></a>(d) For Google Payment Services</h4> <p>If you choose to participate in GPC Services, Google may present your available and eligible Payment Methods to you at the time of a transaction and may pass your Payment Method details to Google Payment Corp. for it to charge/debit your Payment Method for the GPC Services, as discussed below in the GPC Services sections of these Terms.</p> <h4><a name="SafeHtmlFilter_googlepayavail"></a>(e) Google Pay Availability</h4> <p>When you visit a participating third party&#39;s website or app, Google may disclose to the third party whether or not you have Google Pay set up on your device, so that the third party knows whether to offer you Google Pay as a payment option. You can opt out of Google making this disclosure in Google Pay <a href="https://pay.google.com/payments/u/0/home?page%3DprivacySettings%23privacySettings:" target="_blank">privacy settings</a>. Opting out could affect your ability to use Google Pay with certain third parties.</p> <h4><a name="SafeHtmlFilter_fraudprevention"></a>(f) Fraud Prevention Services and Risk Scores provided by Google Pay</h4> <p>When you visit a participating third party&#39;s website or app, Google may share fraud risk scores and provide other fraud prevention services to such third parties. Specifically, Google may disclose numeric fraud risk scores and other fraud assessments (which are calculated using historic and current user information collected by Google Pay) to the third party, solely for their fraud and abuse prevention purposes.</p> <p>&#xa0;</p> </ul> </ul> <h2><a name="SafeHtmlFilter_gpaymentcorps"></a>B. Google Payment Corp. Services</h2> <p>Google Payment Corp. (<strong>&#x2018;GPC&#x2019;</strong>), a subsidiary of Google LLC, offers or facilitates various products and services (the <strong>&#x2018;GPC Services&#x2019;</strong>), described in the following sections. The sections of these Terms which relate to specific GPC Services govern your access and use of those GPC Services to the extent you participate in the specific GPC Service discussed in that section. In the event of a conflict between the GPC Services provisions of these Terms and the Google Pay provisions of these Terms or the Google ToS, the GPC Services provisions of these Terms will prevail.</p> <p>These GPC Services Terms are divided into the following parts:</p> <p><a href="#SafeHtmlFilter_gpaymentcorps">B. Google Pay Balance Service</h3> <p><strong>By opening a Google Pay account and accepting these Terms, you agree that this Section titled &#x201c;Google Pay Balance Service&#x201d; applies in the event that you participate in Google Pay Balance-related activity, as described below.</strong></p> <p>You must be eighteen (18) years of age or older, a resident of the United States, and otherwise meet the requirements in these Terms, in order to participate in the Google Pay Balance Service. </p> <ul> <h4><a name="SafeHtmlFilter_gpaybalance"></a>1.1 Google Pay Balance</h4> <p><strong>A Google Pay Balance represents stored value funds maintained by GPC on your behalf in connection with your Google Pay account. This Section of the Terms (titled &#x201c;Google Pay Balance&#x201d;) only applies to you if you request to activate or hold a Google Pay Balance.</strong></p> <p>Unless you activate a Google Pay Balance, funds received and held by us in connection with your Google Pay account do not represent a store of value, and you may not access or use any such funds except to withdraw the funds to your ACH-enabled checking or savings account via the ACH network or checking account using your debit card.</p> <p>If you wish to add any money to or use the funds accumulated for you and held by us to purchase transactions with merchants, you must activate a Google Pay Balance in accordance with these Terms.</p> <ul> <p><strong>(a) Acceptable Use</strong></p> <p>All users of the Google Pay Balance Service agree to the restrictions contained in the <a href="https://pay.google.com/about/policy/" target="_blank">Google Payments User Policies</a>. Any use of the Google Pay Balance Service which violates the requirements of the Google Payments User Policies may result in a user being suspended from using the Google Pay Balance Service and/or other Services. The Google Pay Balance Service may not be used for charitable transactions except in cases where such charities are presented by Google as merchants accepting Google Pay Balance as a Payment Method on Google Pay.</p> <p><strong>(b) Funding</strong></p> <p>You will need to select a Payment Method to be used as your funding account for the Google Pay Balance Service (<strong>&#x2018;Funding Account&#x2019;</strong>) which may be a debit card or ACH-enabled checking or savings account or other Payment Method that we support. <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitA" target="_blank">See Exhibit A, Short Form Disclosure</a> and <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitB" target="_blank">Exhibit B, Long Form Disclosure</a> regarding any applicable fees. The fees specified on those Disclosures apply regardless of whether we have activated a Google Pay Balance for you.</p> <p>You authorize us to confirm that your Funding Account(s) are in good standing with the issuing financial institution, including by submitting a request for a payment authorization to the Funding Account or by saving a Virtual Card Number for your Funding Account instrument. If we utilize a third party service to verify your Funding Account that requires your registration with or requires you to provide information to the third party service, we will provide you with details regarding that service, and we may seek your consent prior to the verification.</p> <p>Some Funding Accounts may not be available for all transactions, such as if you are attempting to purchase goods or services from a merchant that does not accept a given Funding Account.</p> <p><strong>(c) Linking a Funding Account and Verification</strong></p> <p>We may offer you the option of linking a Funding Account through the use of a third party company&#x2019;s service, which Google does not control. You may be required to register and sign-up for such third party service, and accept any terms and conditions or privacy policy that the third party requires. The third party service may require you to provide your login credentials for the financial institution account that you wish to link. In this case, you are authorizing the third party to access your account in order to verify it and for any other purposes which may be identified in the third party&#x2019;s terms and conditions or privacy policy, and to send to us your account number and routing number, along with other verifying information which may include your name, address, and phone number associated with the financial institution account, as well as any other information you have authorized the third party to share with us.</p> <p>You may remove the Funding Account from your Google Pay account to unlink it from Google Pay, and once removed, we will no longer receive your account-related information from the third party.</p> <p><strong>(d) Activating Google Pay Balance and Identifying Information</strong></p> <p>Upon activating a Google Pay account, without activating a Google Pay Balance, you may receive funds from certain sources we may permit from time to time, which you may withdraw to a permitted Payment Method.</p> <p>If you wish to activate a Google Pay Balance or are requested by us to do so, you will be required to submit additional identifying information to us (in addition to that provided to create your Google Pay account), which we must then verify prior to activating your Balance. When we request that you activate a Google Pay Balance, we may ask you to provide identifying information for that activation under certain circumstances, for example to comply with applicable law or regulation.</p> <p>In certain cases, we may require such identifying information and that you activate a Google Pay Balance for you to continue using Google Pay. If you decline to provide such identifying information or we are unable to verify such information, we may decline your attempted transaction or suspend your Google Pay or Google account. If we suspend your Google Pay or Google account, we will provide any held funds to you to the extent permitted by law.</p> <p>To activate a Google Pay Balance, the additional identifying information that you must submit includes your full name, your address, date of birth, and the last four digits of your social security number. If we are unable to verify your information, we may ask you to provide supplemental identifying information, which may include a photo of a qualifying government ID, self-portrait photo, proof of address documentation, the full nine digits of your social security number, or other information or documentary proof of identity that we may request.</p> <p>Even if you submit the required additional identifying information and we are able to verify it, we may not activate a Google Pay Balance for you, in our sole and absolute discretion.</p> <p>Any identifying information, including supplemental identifying information, that you provide to us for purposes of activating your Google Pay Balance will be used by us to verify your identity, and on an ongoing basis to protect you and us from fraud or abuse, including for review of high risk transactions, and to protect against account takeover or compromise of your Google Pay account. We may also use such information, with your additional consent, to help you register for products and services that you request from us or certain third parties.</p> <p><strong>(e) Using Google Pay Balance</strong></p> <p>Once activated, you may access your Google Pay Balance for the activities permitted by us from time-to-time and any funds associated with your Google Pay account will automatically be converted to a Google Pay Balance. </p> <p>You may not &#x201c;split&#x201d; Payment Methods for a single transaction with your Google Pay Balance (for example, you cannot fund part of a transaction with Google Pay Balance and part with a linked ACH-enabled checking or savings account).</p> <p>You may also add funds to your Google Pay Balance using your linked ACH-enabled checking or savings account, debit card or other Funding Accounts then supported for the Google Pay Balance Service. See <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitA" target="_blank">Exhibit A, Short Form Disclosure</a> and <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitB" target="_blank">Exhibit B Long Form Disclosure</a> regarding any applicable fees.</p> <p>You may also use your Google Pay Balance through Google Pay as a Payment Method for purchases of certain goods or services from Google, Google affiliates or participating merchants. When used as a Payment Method, GPC&#x2019;s role is limited to remitting the value of the agreed payment to the merchant. Please refer to the merchant&#x2019;s site or policies for customer service, disputes or refunds regarding the goods or services purchased. </p> <p>You may withdraw your Google Pay Balance to your linked ACH-enabled checking or savings account or debit card. See <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitA" target="_blank">Exhibit A, Short Form Disclosure</a> and <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitB" target="_blank">Exhibit B Long Form Disclosure</a> regarding any applicable fees. The fees specified on those Disclosures apply regardless of whether we have activated a Google Pay Balance for you.</p> <p>Using your Google Pay Balance in order to monetize/maximize any rewards programs offered under the issuer&#39;s terms for your credit or debit card is prohibited under these Terms.</p> <p><strong>(f) Instant Transfer Evaluation for Faster Transfers</strong></p> <p>We may also offer you the ability to qualify for faster transfers (including depositing funds into your Google Pay Balance) from a linked ACH-enabled checking or savings account (<strong>&#x2018;Instant Transfer Evaluation&#x2019;</strong>). Instant Transfer Evaluation enables funds transferred from your Funding Account to be accessible to you for depositing into your Google Pay Balance prior to the final settlement of such funds with us. However, you are ultimately responsible to us for the full and final settlement amount of such funds authorized through Instant Transfer Evaluation. Instant Transfer Evaluation may include your authorization of a third party service to access and provide us with the current balance of your Funding Account in order to make an eligibility determination for each funding transaction using such Funding Account. Instant Transfer Evaluation may be offered as an option for which you must separately consent, or may be included as part of linking a Funding Account in which case you will be required to consent to Instant Transfer Evaluation with the linking of a Funding Account.</p> <p>We do not receive the login credentials for your financial institution account, and do not directly access your account with your financial institution.</p> <p>If you have linked a Funding Account that qualifies for Instant Transfer Evaluation, you agree that faster transfers are not guaranteed for any funding transaction that you initiate, and such qualification depends on factors that may include the then-current balance of your Funding Account, the amount you request to send, and recent Google Pay activity. If a funding transaction does not qualify for faster transfers, we will present you with options which may include to proceed with the Funding Account chosen without faster transfer, to select another Funding Account (if applicable), or to cancel the funding transaction.</p> <p><strong>(g) Closure of Balance</strong></p> <p>If you choose to close your Google Pay Balance, you will no longer be able to make purchases from merchants using your Google Pay Balance. Any funds received for you after closure of your Google Pay Balance will be held by us and may be transferred via an ACH transaction to an ACH-enabled checking or savings account.</p> </ul> <strong><p><a name="SafeHtmlFilter_gpaybalancecard"></a>1.2 Google Pay Balance Card</p></strong> <p><strong>By activating or using a Google Pay Balance Card (&#x201c;GPB Card&#x201d;), you agree that this Section titled &#x201c;Google Pay Balance Card&#x201d; applies to your use of a GPB Card, as described below.</strong></p> <p>You must be eighteen (18) years of age or older, a citizen or resident of the United States and otherwise meet the requirements in these Terms, in order to activate or use a GPB Card. </p> <ul> <strong><p>(a) Description of the GPB Card</p></strong> <p>The GPB Card is issued by Pathward, N.A., Member FDIC, pursuant to a license from Visa U.S.A. Inc. (the &#x201c;Issuer&#x201d;), under an agreement between GPC and the Issuer, and is provided to you as the authorized user of that GPB Card by GPC pursuant to these Terms. The GPB Card is a &#x201c;virtual&#x201d; card issued for your use in digital form, which is linked to your Google Pay Balance in your Google Pay account and permits you to make in-store purchases from U.S. merchants accepting your GPB Card wherever VISA&#xae; and Google Pay are accepted. The GPB Card may also be accepted at participating online merchants (including Google).</p> <p>The GPB Card is not a credit card, and neither GPC nor the Issuer are extending you credit in connection with your use of the GPB Card, even if the merchant allows you to choose debit or credit. The GPB Card is not a gift card or prepaid account and does not store any funds from your Google Pay account, nor may it be used to load or store other funds on the Card. You have been designated by GPC as the authorized user of the GPB Card which is made available to you by GPC for the limited purposes set forth in these Terms. Your possession and use of the GPB Card as an authorized user does not give you any ownership right to, or control over, any funds GPC may maintain with the Issuer to facilitate your use of the GPB Card. The GPB Card is not for resale. The GPB Card will remain the property of the Issuer and must be surrendered upon demand. </p> <p>The GPB Card is designed for your personal, family or household purposes, and we may terminate your use of the GPB Card at any time in our sole discretion, including if we believe that the GPB Card is being used for business purposes. The GPB Card is nontransferable and it may be cancelled, repossessed, or revoked at any time without prior notice, subject to applicable law. We also may &#x201c;freeze&#x201d; your GPB Card, which means you will not be able to use your GPB Card for any transactions while it is frozen, if we suspect irregular, unauthorized or unlawful activities may be involved with your GPB Card, pending an investigation of such suspected activities. If we freeze your GPB Card, we will give you any notice required by law.</p> <p>We may refuse to authorize or process any GPB Card transaction for any reason, including if we believe you do not have a sufficient Google Pay Balance in your Google Pay account to cover the transaction, the transaction would exceed applicable transaction dollar amount, number or velocity limitations, violate sanctions prohibitions, potentially be a suspicious or high risk transaction or otherwise may violate any of the terms and conditions of these Terms. Alternatively, we may in our discretion authorize or process any of the foregoing types of transactions without incurring any obligation to authorize or process the same type of transaction on future occasions.</p> <p>The GPB Card will be activated once you set up the card in your Google Pay account and accept these Terms.</p> <strong><p>(b) Authorized Users</p></strong> <p>Except as otherwise provided in these Terms, you are responsible for all transactions initiated and fees incurred by use of your GPB Card. See <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitA" target="_blank">Exhibit A, Short Form Disclosure</a> and <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitB" target="_blank">Exhibit B, Long Form Disclosure</a> regarding any applicable fees. If you permit another person to have access to your GPB Card or GPB Card number or other identifying information permitting access to your GPB Card, we will treat this as if you have authorized such use and you will be liable for all transactions and fees incurred by those persons. You may not request an additional GPB Card for another person.</p> <strong><p>(c) Personal Identification Number</p></strong> <p>You may select a Personal Identification Number (&#x201c;PIN&#x201d;) for your GPB Card. You can reset your PIN through the Google Pay app. A PIN may be required to complete your transaction with some merchants. Never share your PIN with anyone. When entering your PIN, be sure it cannot be observed by others and do not enter your PIN into any terminal that appears to be modified or suspicious. If you believe that anyone has gained unauthorized access to your PIN, you should advise us immediately following the procedures specified in our <a href="https://wallet.google.com/files/error-resolution.html" target="_blank">Customer Service and Error Resolution Policy</a>. If your PIN is reported lost or stolen, we may restrict or cancel your use of your GPB Card.</p> <strong><p>(d) Using Your GPB Card</p></strong> <p>You may use your GPB Card to make payments for goods or services from a merchant accepting your GPB Card wherever VISA&#xae; and Google Pay are accepted, provided that GPC approves your requested GPB Card transaction. Some transactions may require use of your PIN. Your GPB Card may not be enabled for use with all merchants in all countries. You acknowledge and agree that your ability to make payments using your GPB Card is limited to purchase and other transactions which are approved by GPC. <strong>Approval of a GPB Card transaction by GPC does not mean that you have a sufficient Google Pay Balance in your Google Pay account, to pay for the GPB Card transaction. </strong></p> <p>Each time you use your GPB Card to make a payment to a merchant, you authorize (i) the merchant to complete the transaction with the GPB Card, (ii) GPC to instruct the Issuer to settle the GPB Card transaction with the merchant in the amount of the transaction and any applicable fees, and (iii) GPC to debit the amount of the transaction and any applicable fees from your Google Pay Balance or, if permitted by GPC, your designated Funding Account. See <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitA" target="_blank">Exhibit A, Short Form Disclosure</a> and <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitB" target="_blank">Exhibit B, Long Form Disclosure</a> regarding any applicable fees.</p> <p>You cannot load or reload funds to the GPB Card. Because the GPB Card may only be used to complete purchase transactions using your linked available Google Pay Balance, you need to add funds to your Google Pay Balance in order to make purchases with the GPB Card.</p> <p>Do not provide the GPB Card as a payment method for subscription or other automatic recurring payments. The GPB Card is not enabled for subscription or other automatic recurring payments, and we will not be responsible to you for any losses or damages resulting from the failure of such attempted payments.</p> <p><u>Split Transactions.</u> Some merchants allow cardholders to conduct split transactions where you would use the GPB Card as partial payment for goods and services and pay the remainder of the balance with another form of legal tender. If you wish to conduct a split transaction and the merchant permits it, you must tell the merchant to charge only an exact amount of funds to the GPB Card. You must then arrange to pay the difference using another payment method. Some merchants may require payment for the remaining balance in cash. </p> <p><u>Foreign Transactions.</u> The GPB Card is not enabled for transactions outside the United States. You may only use the GPB Card for transactions occurring within the United States and with U.S. merchants. </p> <p><u>Holds.</u> When we approve a request from a merchant to authorize a transaction you conduct with your GPB Card, we may place a &#x201c;hold&#x201d; for that amount on your Google Pay Balance. This hold reduces your available Google Pay Balance by the amount of the hold; accordingly, your remaining available Google Pay Balance must be sufficient to cover other transactions that post to your Google Pay Balance. In most cases, this hold expires when the transaction posts to your Google Pay Balance or seven days after the request for transaction authorization if there is no corresponding transaction, whichever occurs first. When this hold expires but there is no corresponding transaction, the amount being held is added back to your available Google Pay Balance. </p> <p>With certain types of purchases (such as those made at restaurants, hotels, or similar purchases), GPB Card purchases may be &#x201c;preauthorized&#x201d; for an amount greater than the transaction amount to cover gratuity or incidental expenses. Any preauthorization amount may result in a &#x201c;hold&#x201d; for that amount being placed on your Google Pay Balance until the final purchase amount is relayed by the merchant and received by us. During this time, you will not have access to preauthorized amounts. </p> <p>If your transaction is authorized and then you fail to make a purchase of that item as planned, the authorization may result in a hold for that amount on your Google Pay Balance. We cannot control, and are not responsible for, whether or when a merchant reverses that authorization to release the hold in that instance. </p> <p>Please note that placing holds described in this Section reduces your available Google Pay Balance and removing these holds increases your available Google Pay Balance. We are not responsible for damages or losses of any type, including wrongful dishonor, for any transaction that is not authorized because of a hold.</p> <p><u>Other Restrictions.</u> You do not have the right to stop payment on any purchase or other transaction originated by use of your GPB Card, except as otherwise expressly provided for in these Terms. You may not use your GPB Card for online gambling or any illegal or fraudulent transaction. Display of a Visa, Mastercard or other payment card logo by a merchant does not mean that a transaction with that merchant is legal where you conduct it. </p> <p>Please see the section &#x201c;Transaction And Account Limits&#x201d; in these Terms for transaction and amount limits that apply to your GPB Card. For security or other reasons, we may impose with or without notice to you other limits or restrictions on the amount or number of transactions you can make with your GPB Card. The GPB Card cannot be linked to a non-Google wallet, except as permitted by GPC. </p> <p><strong>(e) Refunds And Returns</strong></p> <p>We do not provide you cash refunds for returns of goods or services purchased using your GPB Card. If you have a problem with a purchase that you made using your GPB Card, or if you have a dispute with the merchant, you must handle it directly with the merchant. Any refunds will be handled by the merchant under its refund policy. You agree that we may process the merchant&#x2019;s refund with a credit to your Google Pay Balance or designated Funding Account. Please note that we have no control over when a merchant credits you for a refund, and the refund may not be available for a number of days after the date the refund transaction occurs.</p> <p><strong>(f) GPB Card Replacement</strong></p> <p>Expired GPB Cards are automatically replaced. The same PIN will continue to apply to any replacement card provided to you with the same card number.</p> <p><strong>(g) Transaction Receipts</strong></p> <p>You should obtain a transaction receipt from the merchant at the time you make a GPB Card transaction in order to verify your transaction with the merchant. You are responsible for retaining, verifying, and reconciling your transactions and receipts. If the receipt and our records conflict, our records will govern.</p> <strong><p>(h) Disclaimer Of Liability For Merchant&#x2019;s Acts Or Omissions</p> </strong><p>We are not responsible or liable to you if any merchant refuses to accept your GPB Card for all or part of a transaction, if the merchant fails to abide by the applicable payment network rules and regulations when accepting your GPB Card, or for any other action or omission of the merchant.</p> <p><strong>(i) Unauthorized GPB Card Transactions Or Other Errors Or Questions</strong></p> <p>You have certain rights under law in the event your GPB Card has been lost or stolen, someone has transferred money from your Google Pay Balance using your GPB Card without your permission, or in the case of other errors or questions about your transactions with the GPB Card. Please see our <a href="https://wallet.google.com/files/error-resolution.html" target="_blank">Customer Service and Error Resolution Policy</a> for further information.</p> <p><strong>(j) Closing your GPB Card</strong></p> <p>You may close your GPB Card at any time by closing your Google Pay account through the &#x201c;Settings&#x201d; tab at payments.google.com. Your request for GPB Card closure will not affect any of our rights or your obligations arising under these Terms prior to our acting upon your request.</p> <p><strong>(k) Miscellaneous Terms Applicable to your GPB Card</strong></p> <p>The GPB Card has been issued by the Issuer to GPC pursuant to an agreement between Issuer and GPC and is provided to you by GPC as an authorized user only for the limited purposes set forth in these Terms. The Issuer is not a party to these Terms and shall have no responsibility or liability to you as an authorized user of the GPB Card. All disputes or issues relating to your use of the GPB Card should be directed to Google Payment Corp. (GPC). Please see our <a href="https://wallet.google.com/files/error-resolution.html" target="_blank">Customer Service and Error Resolution Policy</a> for further information.</p></ul> <h4><a name="SafeHtmlFilter_generalgpaybalance&amp;p2p"></a>1.3 General Terms Applicable to Google Pay Balance and GPB Card</h4> <ul> <p><strong>(a) Withdrawal of Funds </strong></p> <p>You may register an ACH-enabled checking or savings account or a debit card to withdraw funds to the associated bank account from your Google Pay Balance or, if you do not have a Google Pay Balance, which we are holding for you. If you are permitted by GPC to withdraw funds to a bank account or debit card, you must be the named account-holder of both the Google Pay account and the bank account or debit card to which funds are withdrawn. </p> <p>Withdrawals may be processed in part by third parties (such as your account-holding bank). We are not responsible for withdrawn funds once provided to the third party for delivery to you at your request. GPC charges no fees for withdrawals to ACH-enabled checking or savings accounts, but may charge fees for withdrawals via debit card. See <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitA" target="_blank">Exhibit A, Short Form Disclosure</a> and <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitB" target="_blank">Exhibit B, Long Form Disclosure</a> for any applicable fees. The fees specified on those Disclosures apply regardless of whether we have activated a Google Pay Balance for you.</p> <p>You are solely responsible for any fees that may be charged to you by a third party for processing a withdrawal. GPC will not be responsible for withdrawals provided to the wrong party or account, or where you provided incorrect withdrawal account details to GPC.</p> <p><strong>(b) Liability for Failure to Make Transactions</strong></p> <p>We may restrict access to your Google Pay account, Google Pay Balance, or GPB Card temporarily or permanently if we notice potentially suspicious activity in connection with your use of the Service(s), or other potential violations of the <a href="https://pay.google.com/intl/en_in/about/policy/" target="_blank">Google Payment User Policies</a>. We have no liability for restricting such access because of potential suspicious activity. </p> <p>If we do not complete a GPB Card or other payment transaction on time or in the correct amount according to our agreement with you (other than for restrictions because of suspicious activity), we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:</p> <ul> <p>(i) If through no fault of ours, a merchant refuses to accept your GPB Card or honor a transaction using your Google Pay Balance or other Payment Method;</p> <p>(ii) If through no fault of ours, you do not have enough money available in your Google Pay Balance or other Payment Method to make a purchase or GPB Card transaction;</p> <p>(iii) If the terminal or system was not working properly, and you knew about the breakdown when you started the transaction;</p> <p>(iv) If the transaction information supplied by you or a third party is incorrect or untimely;</p> <p>(v) If circumstances beyond our control (such as flood or fire) prevent a transaction, despite reasonable precautions that we have taken;</p> <p>(vi)The merchant authorizes an amount greater than the purchase amount;</p> <p>(vii) If access to or use of your GPB Card has been blocked after you reported your GPB Card PIN lost or stolen;</p> <p>(viii) If there is a hold or your funds are subject to legal process or other encumbrance restricting their use;</p> <p>(ix) If we have reason to believe the requested transaction is unauthorized; or </p> <p>(x) If you are not a U.S. resident, do not create a Google Pay account or do not take any other required actions necessary to complete a transaction.</p> <p>There may be other applicable exceptions as otherwise provided in our agreement with you or by state or federal laws.</p> </ul> <p><strong>(c) Transaction Records, Customer Service and Error Resolution Policy</strong></p> <p>Records of your Google Pay Balance transactions, including those made with your GPB Card, if any, (your <strong>&#x2018;GPC Services Transactions&#x2019;</strong>) will be reflected in your transaction history in your Google Pay account. In addition, you will be provided with a statement of your GPC Services Transactions each month that transaction activity has occurred or quarterly, if no transaction activity has occurred, which can be accessed at payments.google.com. You are responsible for reviewing your statement and transaction activity to determine if there are any errors or unauthorized transactions, and for alerting GPC of such events, in accordance with our <a href="https://wallet.google.com/files/error-resolution.html" target="_blank">Customer Service and Error Resolution Policy</a>. You should review the Customer Service and Error Resolution Policy to understand certain rights you may have as to your GPC Services Transactions.</p> <p>It is your obligation to save or print a copy of your GPC Services Transactions statement. If your access to one or more Services is cancelled or terminated by you or by us for any reason, you will not be permitted to access statements stored by GPC. You may request paper copies of certain electronic records about your account and stored by GPC, subject to the limitations of the Electronic Communications policy, as stated in Section 6.15 below. GPC reserves the right to charge you fees for such paper copies.</p> <p>Your Google Pay account will be deemed inactive if you have not had a Google Pay Balance transaction within the prior six (6) months. Accordingly, you will not be provided with a monthly statement of your GPC Services Transactions until you have had your first GPC Services Transaction through your Google Pay account. You also will not be provided with a periodic statement if six (6) months have passed since your last GPC Services Transaction through your Google Pay account. If your Google Pay account has become inactive because six (6) months have passed since your last GPC Services Transaction and your Google Pay account has not been closed, your Google Pay account will be reactivated and periodic statements of your GPC Services Transactions will again be provided to you following a GPC Services Transaction through your Google Pay account.</p> <p><strong>(d) Transaction and Account Limits</strong></p> <p><strong>Without Activated Google Pay Balance</strong></p> <ul> <li>Withdrawals you make may not exceed two hundred dollars ($200) in the aggregate over seven (7) consecutive days or in any single withdrawal transaction. </li> <li>You may not initiate more than thirty (30) withdrawal transactions over seven (7) consecutive days. </li> <li>You may not exceed more than one thousand dollars ($1,000) associated with your Google Pay account at any time. </li> </ul> <p><strong>With Activated Google Pay Balance</strong></p> <p>Upon activating a Google Pay Balance:</p> <ul> <li>Transactions you make using Google Pay Balance may not exceed five thousand dollars ($5,000) in the aggregate over seven (7) consecutive days. </li> <li>Withdrawals you make may not exceed two hundred dollars ($200) in the aggregate or in any single transaction, over seven (7) consecutive days. </li> <li>You may not initiate more than thirty (30) withdrawal transactions over seven (7) consecutive days. </li> <li>You may not deposit to your Balance over one thousand five hundred dollars ($1,500) from your bank account in the aggregate or over five hundred ($500) from your debit card in the aggregate over seven (7) consecutive days. </li> <li>You may not exceed more than twenty five thousand dollars ($25,000) in your Balance at any time.</li> </ul> <strong><p>GPB Card Transactions</p></strong> <ul> <li>GPB Card transactions may not exceed two thousand five hundred dollars ($2,500) in the aggregate on any day or two thousand dollars ($2,000) in any single transaction</li><li>You may not initiate more than fifteen (15) GPB Card transactions on any day. </li> </ul> <p><strong>Additional/Different Limits</strong></p> <p>GPC may with or without notice to you impose additional or different limitations on the dollar amount or frequency of any transactions or withdrawals permitted.</p> <p>GPC may place additional limits on individual transactions or accounts if we detect potentially high risk or fraudulent activity. Such limits may require that you provide additional identifying information to verify your identity or the transaction or account before you may complete the transaction or use the Service.</p> <p><strong>(e) Confidentiality </strong></p> <p>In addition to other disclosure reasons which may be stated in these Terms and the Google Payments Privacy Notice, we will disclose information to third parties about your Google Pay account, Google Pay Balance, GPB Card or other Google Pay Balance transactions you make: </p> <ul> <p>(i) Where it is necessary for completing the GPB Card or Google Pay Balance transaction; </p> <p>(ii) In order to verify the existence and condition of your Google Pay account, Google Pay Balance, GPB Card for a third party, such as a credit bureau or merchant; </p> <p>(iii) In order to comply with government agency or court orders; or</p> <p>(iv) If you give us your permission.</p> </ul> <p><strong>(f) Your Authorizations </strong></p> <ul> <p>(1) You authorize GPC to initiate any subsequent credit, debit or charge to your Funding Account or to your Google Pay Balance (if applicable to you) in order to process a return, chargeback, reversal, refund, adjustment or rejection.</p> <p>(2) In the event that you sign up for a successor GPC account and your Google Pay Balance is thus closed, you agree that we may, with your consent, debit your successor GPC account for any existing or recurring payments, or initiate any credit, debit or charge to your successor GPC account (as your successor service to the Google Pay Balance) to process any return, chargeback, reversal, refund, adjustment or rejection, to correct an error relating to, or to resubmit any payments initiated before your Google Pay Balance is closed.</p> <p>(3) Your authorizations under this Section remain in effect while you are a user of the Services and for a period of ninety (90) days following termination or cancellation of the Services.</p> </ul> <p><strong>(g) Fees</strong></p> <p>GPC may charge fees in accordance with the then-current fee schedule, as stated herein. See <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitA" target="_blank">Exhibit A, Short Form Disclosure</a>, which provides a summary fee disclosure and <a href="https://payments.google.com/payments/apis-secure/get_legal_document?ldo=0&amp;ldt=googlepaytos&amp;ldr=US#SafeHtmlFilter_ExhibitB" target="_blank">Exhibit B, Long Form Disclosure</a>. Any fees specified on those Disclosures apply regardless of whether we have activated a Google Pay Balance for you.</p> <p>Please review the account terms provided by the issuer of your Funding Account for any fees it may assess on your use of your Funding Account.</p> </ul> </ul> <h3><a name="SafeHtmlFilter_gpaygiftcards"></a>2. Google Play Gift Cards</h3> <p><strong>This Section of the Terms (titled &#x201c;Google Play Gift Cards&#x201d;) only applies to you if you purchase, hold or otherwise use a Google Play Gift Card.</strong></p> <p>The <a href="https://play.google.com/intl/ALL_us/about/card-terms.html" target="_blank">Google Play Gift Card and Prepaid Play Balance Terms of Service</a> apply to Google Play Gift Cards and prepaid Play balances including redeemed Google Play gift cards, credits or gift codes. Please review the Google Play Gift Card and Prepaid Play Balance Terms of Service for terms and conditions which apply to redemption of Play Gift Cards and prepaid Play balances maintained after redemption by GPC. </p> <h3><a name="SafeHtmlFilter_processingservicefor3p"></a>3. Processing Service for Third Parties</h3> <p>When you initiate a payment transaction using a Service where GPC processes the payment on behalf of a Third Party (a &#x201c;Processing Service&#x201d;), GPC will charge your Payment Method on behalf of and as agent of the Third Party. GPC will assist, as agent of the Third Party, in accessing a payment network and processing the payment transaction. Once your Payment Method is authorized, your payment obligation to the Third Party shall be deemed completed and discharged, except for your obligations in the event of a chargeback or other reversal.</p> <p>Depending on the nature of the Third Party, such payment transactions may be for the purchase of goods or services initiated in person at the Third Party&#x2019;s location or through an online transaction such as via the Third Party&#x2019;s website or app. When you initiate a Third Party payment transaction processed by GPC, you authorize the Third Party to charge or debit your Payment Method via the Processing Service as necessary to complete the transaction. </p> <p>You also authorize any crediting to your Payment Method in connection with reversals, refunds or adjustments related to a transaction processed through the Processing Service. You also agree that a Third Party and GPC, acting on behalf of the Third Party, may resubmit a payment transaction to a payment network for processing one or more times in the event that a prior payment transaction via the Processing Service is declined or returned by the payment network.</p> <p>Purchases made through the Processing Service are also subject to your Payment Method issuer&#x2019;s terms and conditions. You are responsible for any charges and related fees that may be imposed under the Payment Method terms and conditions as a result of your use of a Payment Method for a transaction processed by the Processing Service.</p> <p>Google may share information about your Payment Method with GPC for GPC to process your payment through the Processing Service. Google also may share information such as a phone number, billing, delivery or email address saved in your Google Account with GPC for GPC to provide to the Third Party or Google may provide that information directly to the Third Party, where relevant to completing the transaction.</p> <p>You acknowledge and agree that your payments processed through the Processing Service are solely between you and the Third Party, and not with GPC, Google or any of their affiliates. You should contact the Third Party regarding any issues with the goods or services for which payment was processed through the Processing Service. GPC, Google and their affiliates are not a party to your transactions processed through the Processing Service.</p> <p>For details or terms relating to a specific transaction processed through the Processing Service, including refund or dispute resolution policies, please refer to the terms of service, help center or other support materials provided by the Third Party with which you transacted.</p> <h3><a name="SafeHtmlFilter_subscriptionpurchas&amp;recurringpayments"></a>4. Subscription Purchases And Other Recurring Payments</h3> <p><strong>This Section of the Terms (titled &#x201c;Subscription Purchases And Other Recurring Payments&#x201d;) only applies to you if you authorize subscription purchases or other recurring payments. </strong> </p> <h4>Authorization to Charge your Payment Method</h4> <p>By saving a payment method to your Google Account, you authorize GPC and/or the Seller (as applicable) to charge the saved Payment Method (1) for each payment that becomes due with respect to any subscription or other recurring payment obligation for which you have chosen the Payment Method as the primary means of payment and (2) in the event your chosen Payment Method is unable to be charged in full for any subscription or other recurring payment obligation for any reason, any remaining amount due. </p> <p></p> <h4>Authorization of Recurring Payment </h4> <p>In the event that you sign up for a subscription or other recurring payment you have authorized in advance to recur at substantially regular intervals which is processed by GPC (&#x201c;Recurring Payment&#x201d;), your Recurring Payment will start when you click &#x201c;Accept &amp; Buy&#x201d; or equivalent phrase. This will be a recurring billing transaction. Unless otherwise stated, your Recurring Payment authorization will continue indefinitely until you cancel the Recurring Payment.</p> <p>By clicking &#x201c;Accept &amp; Buy&#x201d; or equivalent phrase, you authorize GPC and/or the Seller (as applicable) to automatically bill your chosen Payment Method each designated billing period for the Recurring Payment at the agreed amount. If your chosen Payment Method cannot be charged in full for any reason, you authorize GPC and/or the Seller (as applicable) to charge any backup Payment Method(s) saved to your Google Account for any remaining amount (up to the full amount of the required payment) in any order, at GPC&#x2019;s or the Seller&#x2019;s discretion.</p> <p>The Recurring Payment amount will continue to be charged to your Payment Method, or backup Payment Method(s), each billing period until you cancel your Recurring Payment, unless otherwise stated in the terms and conditions accompanying your Recurring Payment. The billing rate is subject to change during the subscription/recurring period. </p> <p>Your Payment Method, or backup Payment Method(s), will be billed each period on or after the date agreed upon in the terms and conditions accompanying your Recurring Payment.</p> <p>You may cancel a Recurring Payment at any time by following the process described <a href="https://support.google.com/pay/answer/7644008?hl%3Den" target="_blank">here</a> or the terms and conditions accompanying your Recurring Payment. Cancellation may not become effective until the end of the current billing period unless otherwise specified. If you remove all saved payment methods from your Google Account, but do not cancel the underlying Recurring Payment, you may continue to owe any amounts for billing periods in which the Recurring Payment is active, even if we cannot charge your Payment Methods when such amounts become due.</p> <p>If the Recurring Payment may vary in amount, GPC or the Seller (as applicable) will tell you ten (10) days before each payment when the payment will be made and how much it will be. You may choose instead to get this notice only when the payment will differ by more than a certain amount from the previous payment, or when the amount would fall outside certain limits that you set, if we provide that option. We reserve the right to issue refunds or credits of Recurring Payments at our sole discretion. If we issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.</p> <p>You also may stop a Recurring Payment to be charged to your Payment Method that is a debit card or that debits or charges your bank account (automated clearing house payment (ACH)-enabled) or other Payment Method specified in the terms and conditions accompanying your Recurring Payment. Contact us as indicated <a href="https://support.google.com/pay/answer/7644008?hl%3Den" target="_blank">here</a> in time for us to receive your stop payment request three (3) business days or more before the payment you want stopped is scheduled to be made. If you call, we may also require you to put your request in writing and get it to us within fourteen (14) days after you call. If you order us to stop a Recurring Payment three (3) business days or more before the payment is scheduled and we do not do so, we will be liable for your losses or damages.</p> <h3><a name="SafeHtmlFilter_storecredit"></a>5. Store Credit - Eligibility and Redemption</h3> <p><strong>This Section of the Terms (titled &#x201c;Store Credit &#x2013; Eligibility and Redemption&#x201d;) only applies to you if you receive Store Credit.</strong></p> <p>Google Store Credit (&quot;Store Credit&quot;) is valid only for users who are 18 years of age or older, and who are residents of the United States. Store Credit is issued by GPC, unless specified otherwise. To redeem Store Credit, you will need access to the internet, and you will need to create a Google Pay account. Store Credit must be redeemed toward the purchase of eligible products on https://store.google.com. Purchases are deducted from the Store Credit. GPC may provide purchasers with information about the redemption status of their Store Credit; to view visit https://payments.google.com/<wbr>manage/paymentMethods. Store Credit use is subject to the Google Store Terms of Sale for Devices, available at <a href="https://store.google.com/intl/en_us/about/device-terms.html" target="_blank">https://store.google.com/intl/<wbr>en_us/about/device-terms.html</a></p> <ul> <p>5.1 Limitations</p> <p>Store Credit is not redeemable for cash or other cards, is not reloadable or refundable, cannot be combined with other balances in your Google Pay account, and cannot be resold, exchanged or transferred for value, except as required by law. If an order exceeds the Store Credit amount, the transaction will be declined unless another valid Payment Method is selected to complete the transaction. GPC disclaims all express or implied warranties as to the Store Credit and its redemption site.</p> <p>5.2 Fraud</p> <p>Neither GPC nor Google is responsible if Store Credit is lost, stolen, destroyed or used without your permission. GPC and Google will have the right to close customer accounts and bill alternative forms of payment if fraudulently obtained Store Credit is redeemed and/or used to make purchases.</p> </ul> <h3><a name="SafeHtmlFilter_generaltermstoGPCservices"></a>6. General Terms Applicable to GPC Services</h3> <p>The terms in this section (General Terms) are applicable to all GPC Services and apply to users utilizing any of those Services.</p> <ul> <p><strong>6.1 Limitations</strong></p> <p>Notwithstanding any limitations described elsewhere in these Terms, we may establish general practices and limits concerning use of the Services with or without notice to you, including without limitation individual or aggregate transaction limits on the dollar amount or number of transactions during any specified time period(s). </p> <p>We reserve the right to change, suspend or discontinue any aspect of the Services at any time, including hours of operation or availability of the Services or any Service feature, without notice and without liability. We also reserve the right to impose limits on certain Service features or restrict, suspend or terminate your access to some or all of the Services without notice and without liability. We may decline to process any transaction without prior notice to you.</p> <p>GPC reserves the right (but is not obligated) to make funds available to you before GPC receives final settlement of a payment transaction.</p> <p>GPC may delay, hold, cancel or reverse processing of any transaction if: </p> <ul> <p>(a) you make a claim to GPC for a refund or other reversal, or </p> <p>(b) GPC, in its sole discretion, believes that the transaction is invalid, suspicious, involves misconduct or fraud, or otherwise violates applicable law, these Terms or any applicable policy of Google, GPC or their affiliates.</p> <p>GPC reserves the right in its sole discretion to delay transfer of funds or place a hold on funds received via the Google Pay account or Google Pay Balance. Notwithstanding the foregoing, except for instant transfers, GPC will use commercially reasonable efforts to make funds available to you no later than three (3) business days after GPC receives final settlement of a transaction. Except as set forth in the <a href="https://wallet.google.com/files/error-resolution.html" target="_blank">Customer Service and Error Resolution Policy</a>, GPC has no liability to you or any other person for any delay in making funds available to you.</p> </ul> <p>We may limit or suspend your use of one or more Services at any time, in our sole and absolute discretion. If we suspend your use of a Service, we will attempt to notify you by electronic mail. Suspension of your use of a Service will not affect your rights and obligations pursuant to these Terms arising before or after such suspension or with respect to any non-terminated Services.</p> <p><strong>6.2 USA PATRIOT Act Notice</strong></p> <p>To help the government fight the funding of terrorism and money laundering activities, federal law requires all financial institutions to obtain, verify, and record information that identifies each individual or business that opens an account or requests credit.</p> <p><strong>6.3 Processing of Payment Transactions as Agent of Seller </strong> </p> <p>For Services where GPC processes a payment transaction you initiate with a Seller, you acknowledge that GPC processes such payment transaction as an agent of and on behalf of the Seller and your payment obligation to the Seller shall be deemed completed and discharged at that time. You authorize the charge or debit to your Payment Method, by GPC as agent of the Seller, as necessary to complete processing of the Google Transaction. You also authorize any crediting or debiting to your Payment Method, by GPC as agent of the Seller, in connection with reversals, refunds, or adjustments related to a Google Transaction.</p> <p><strong>6.4 No Interest </strong></p> <p>GPC does not pay interest to you on any funds processed or accumulated for you and held by us, on your Google Pay Balance, or on any other funds. You assign to GPC the right to earn interest on funds that GPC holds on your behalf, in consideration of your use of the Service.</p> <p><strong>6.5 Negative Account/Funds Balance </strong></p> <p>If for any reason your Google Pay account, Google Pay Balance or other Service account enters a negative status, we may suspend or deny your use of or registration for one or more Service(s), including your ability to make purchase transactions or activate or maintain a Google Pay Balance. Furthermore, in the case such account becomes negative, you authorize GPC to:</p> <ul> <p>(i) Initiate a debit or charge to your Funding Accounts to bring your account/funds balance to $0;</p> <p>(ii) Use a third party to recover funds from you to bring your account/funds balance to $0.</p> </ul> <p>We may also elect to notify and provide you with the opportunity to bring your applicable account/funds balance to $0.</p> <p>Your authorizations under this Section remain in effect while you are a customer and for a period of ninety (90) days following termination or cancellation of the Services.</p> <p><strong>6.6 Unclaimed Property</strong></p> <p>If GPC is holding funds due to you and GPC is unable to contact you and has no record of your use of the Service for several years, applicable law may require GPC to report these funds to state governments as unclaimed property. If this occurs, GPC will try to locate you at the address shown in our records, but if GPC is unable to locate you, it may be required to deliver any such funds to the applicable state as unclaimed property. GPC reserves the right to deduct a dormancy fee or other administrative charges from such unclaimed funds, as permitted by applicable law.</p> <p><strong>6.7 No Deposit Insurance</strong></p> <p>GPC is not a bank or other chartered depository institution. Funds held by GPC or its service providers (including any banks) in connection with the processing of payment transactions are not deposit obligations of users of the applicable Service and are not insured for the benefit of the user by the Federal Deposit Insurance Corporation or any other governmental agency or private entity.</p> <p><strong>6.8 Fraud</strong></p> <p>If you believe your Google Pay account has been opened or used in an unauthorized manner, please see our <a href="https://wallet.google.com/files/error-resolution.html" target="_blank">Customer Service and Error Resolution Policy</a>. Also, please see our <a href="https://support.google.com/pay/answer/7643925?p%3Ddisputes-TOS%26visit_id%3D636759238402768247-3846300474%26rd%3D1%23report" target="_blank">fraud protection process</a> discussed in the Help Center for more information on how GPC protects you from fraud. <strong>Please note that fraudulent transactions may result in the loss of your money with no recourse.</strong></p> <p><strong>6.9 Consumer Report Authorization</strong></p> <p>You instruct and authorize GPC to obtain consumer reports about you, as the term &quot;consumer reports&quot; is defined under the Fair Credit Reporting Act, and to use the information contained in such consumer reports to evaluate your prospective or ongoing eligibility to use the Services, to detect and prevent fraud, and to create, evaluate, and modify GPC risk management and mitigation tools, and to otherwise improve GPC&#39;s Services.</p> <p><strong>6.10 Termination of Service</strong></p> <p>We may, in our sole and absolute discretion without liability to you or any third party, terminate your use of one or more Services for any reason, including without limitation inactivity or violation of these Terms or other policies we may establish from time-to-time.</p> <p>Upon termination of your use of the Services, you remain liable for all payment transactions and obligations you have incurred under these Terms. Upon termination, we have the right to prohibit your access to the Services, including without limitation by deactivating your username and password, and to refuse future access to the Services by you.</p> <p><strong>6.11 Indemnification</strong></p> <p>Except as otherwise expressly provided in these Terms (including the Google Payment Services Customer Service and Error Resolution Policy), you agree to indemnify, defend and hold harmless GPC, Google, and its and their subsidiaries and other affiliates, and its and their directors, officers, owners, agents, co-branders or other partners, employees information providers,service providers, licensors, licensees, consultants, contractors and other applicable third parties (collectively &quot;Indemnified Parties&quot;) from and against any and all claims, demands, causes of action, debt or liability, including without limitation attorneys&#x2019; fees and costs incurred by the Indemnified Parties arising out of, related to, or which may arise from:</p> <ul> <p>(a) your use of the Services;</p> <p>(b) any breach or non-compliance by you of any provision of these Terms or any Google or GPC policies;</p> <p>(c) any dispute or litigation caused by your actions or omissions; or</p> <p>(d) your negligence or violation or alleged violation of any applicable law or rights of a third party.</p> </ul> <p><strong>6.12 Notice</strong></p> <p>In addition to the electronic communications authorized under the Section entitled, &quot;Electronic Communications&quot;, statements, notices and other communications to you may be made by mail, email, postings on Google company web sites or mobile apps or other reasonable means. We may also provide notices of changes to the Terms or other matters by displaying links to notices on the Google web sites or mobile apps. Notice to GPC and Google may be made by mail to:</p> <p>Google LLC</p> <p>Attn: Google Payments</p> <p>1600 Amphitheatre Parkway</p> <p>Mountain View, CA 94043</p> <p><strong>6.13 Modification of Terms</strong></p> <p>We have the right, in our sole and absolute discretion, to change, modify, or amend any portion of these Terms at any time by posting links to notices on the Google web sites or mobile apps or otherwise communicating the notification to you. The changes will become effective, and shall be deemed accepted by you, after the initial posting or sending of the communication and shall apply on a going-forward basis with respect to transactions initiated after the posting or communication date. In the event that you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Services.</p> <p><strong>6.14 Assignment</strong></p> <p>You may not assign these Terms or any rights or obligations hereunder, by operation of law or otherwise, without our prior written approval and any such attempted assignment shall be void. We reserve the right to freely assign these Terms and the rights and obligations hereunder, to any third party without notice or consent. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties hereto, their successors and permitted assigns.</p> <p><strong>6.15 Electronic Communications</strong></p> <p>GPC may be required to provide certain disclosures, notices and communications (collectively <strong>&#x2018;Communications&#x2019;</strong>) to you in written form. Pursuant to these Terms, we will deliver such Communications to you in electronic form. Your agreement to these Terms confirms your ability and consent to receive such Communications electronically, rather than in paper form.</p> <p>6.15.1 Electronic delivery of communications</p> <p>You agree and consent to receive electronically all Communications provided to you in connection with your Google Pay account and your use of the Services. Communications include:</p> <ul> <p>(a) agreements and policies you must agree to in order to use the Services (e.g., these Terms and the Google Payments Privacy Notice), including updates to those agreements and policies;</p> <p>(b) payment authorizations and transaction receipts or confirmations;</p> <p>(c) account statements and history; and,</p> <p>(d) all other communications or documents related to or about your Google or Google Pay account and your use of the Services.</p> </ul> <p>Electronic Communications shall be deemed to be received by you upon delivery in the following manner:</p> <ul> <p>(a) posting them to your Google Pay account on the Google Wallet website or in an associated mobile application;</p> <p>(b) posting them on or in a website or mobile application associated with Google or the Services;</p> <p>(c) sending them via electronic mail to the email address you used to create your Google and Google Pay account registrations; or</p> <p>(d) otherwise communicating them to you via the Services.</p> </ul> <p>It is your responsibility to open and review Communications that we deliver to you through the methods described above. We may, but are not obligated to under these Terms, provide you with notice of the availability of a Communication that is delivered in one of the methods described above (for example, by informing you of such Communication through a notification sent to your mobile device).</p> <p>You should maintain copies of electronic Communications by printing paper copies or saving electronic copies, as applicable.</p> <p>6.15.2 Hardware and software requirements</p> <p>In order to access and retain electronic Communications, you will need to maintain or have access to the following computer hardware and software at your own expense:</p> <ul> <p>(a) a computer or mobile device;</p> <p>(b) a current web browser that includes 128-bit encryption (e.g. Internet Explorer version 6.0 and above, Firefox version 2.0 and above, Chrome version 3.0 and above, or Safari 3.0 and above) with cookies enabled;</p> <p>(c) the appropriate mobile application, in the case of Communications delivered through such application;</p> <p>(d) software capable of opening documents in PDF format;</p> <p>(e) access to the valid email address you used to create your Google and Google Pay account registrations; and,</p> <p>(f) sufficient storage space to save past Communications or a printer to print them.</p> </ul> <p>By giving your consent to these Terms, you confirm that you are able to meet the above requirements, and that you can receive, open, and print or save any Communications referenced in these Terms for your records.</p> <p>6.15.3 Requesting additional copies and withdrawing consent</p> <p>The following additional terms will apply to such electronic Communications:</p> <ul> <p>(a) you may contact GPC to request another electronic copy of the electronic Communication without a fee;</p> <p>(b) you may request a paper copy of such electronic Communication within ninety days of the original Communication issuance date, and GPC, as applicable, reserves the right to charge a fee to provide such paper copy;</p> <p>(c) you may contact Google to update your registration information used for electronic Communications or to withdraw consent to receive electronic Communications; and</p> <p>(d) GPC reserves the right to terminate your use of the Services if you decline or withdraw consent to receive electronic Communications.</p> </ul> </ul> </ul> <p>You may contact GPC in relation to this Section by logging in to your account at <a href="http://pay.google.com" target="_blank"> pay.google.com </a> or <a href="http://payments.google.com" target="_blank"> payments.google.com </a>, selecting the Help link, and then selecting Contact Us, by calling 1-855-492-5538, or by mail at 1600 Amphitheatre Pkwy., Mountain View, CA.</p> <h3><a name="SafeHtmlFilter_ExhibitA"> </a>Exhibit A.
