Consumer Agreement</h2> <p> Welcome to VerifyPass. By accessing our website, registering an account, or using our services, you agree to be bound by these Terms and Conditions ("Terms"). These Terms govern your access to and use of the identity verification services provided by VerifyPass, which are available to both individual users and businesses (collectively, "Services"). </p> <p class="mb-0 fw-bold">Eligibility</p> <p> The Services are intended solely for users who are eighteen (18) years of age or older, and any registration, use or access to the Services by anyone under 18 is unauthorized, unlicensed, and in violation of these Terms. By using the Services, you represent and warrant that you are 18 or older and that you agree to and abide by all of the terms and conditions of these Terms. </p> <p class="mb-0 fw-bold">Account Registration</p> <p> When you register an account with VerifyPass, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. </p> <p class="mb-0 fw-bold">License to Use</p> <p> VerifyPass grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services strictly in accordance with these Terms. The Services and their original content, features, and functionality are and will remain the exclusive property of VerifyPass and its licensors. </p> <p class="mb-0 fw-bold">Prohibited Usage</p> <p> In addition to other prohibitions as set forth in the Terms, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defraud, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. VerifyPass reserves the right to terminate your use of the Service or any related website for violating any of the prohibited uses. </p> <p class="mb-0 fw-bold">User Responsibility</p> <p> You are solely responsible for your conduct and your data related to the Services. You agree to indemnify, defend, and hold harmless VerifyPass and its suppliers from any and all loss, cost, liability, and expense arising from or related to your data, your use of the Services, or your violation of these terms. </p> <p class="mb-0 fw-bold">Fraud and Abuse</p> <p> Any engagement in fraudulent activity through or in connection with our Services will lead to immediate termination of your account and legal action against you. VerifyPass disclaims all liability from fraud committed by any user and will actively cooperate with law enforcement if fraudulent activity is suspected. </p> <p> These Terms are intended to ensure the effective and secure use of VerifyPass's Services. We reserve the right to update and change these Terms from time to time without notice. Continued use of the Service after any such changes shall constitute your consent to such changes. </p> </div> </div> </section> <section id="privacy-policy" class="wrapper pt-16"> <div class="card"> <div class="card-body p-10"> <h2 class="mb-3">2. Privacy Policy</h2> <p> VerifyPass is committed to protecting your privacy. We do not sell or distribute any personal data to third parties. The only information we provide to businesses for whom our customers have been verified includes the user's name, email, and verification status. Our use of your information is limited to the purposes of providing the services described on our platform and complying with our legal obligations. </p> <p> You may delete your e-mail, name and verified status by visiting My Verifications → Manage Data. Note that in order to comply with anti-fraud requirements, accounts must wait a minimum of 30 days after completing a verification in order to delete their account. </p> </div> </div> </section> <section id="user-policy" class="wrapper pt-16"> <div class="card"> <div class="card-body p-10"> <h2 class="mb-3">3. Business Agreement</h2> <p> This Business Agreement ("Agreement") outlines the terms and conditions under which businesses ("you" or "Business") engage VerifyPass ("we", "us", or "our") to provide identity verification services ("Services"). By registering for and using our Services, you agree to be bound by this Agreement, along with any other terms and conditions that apply to your use of our platform. </p> <p class="mb-0 fw-bold">Service Description</p> <p> VerifyPass provides identity verification services that assist businesses in verifying the identities of individuals ("Users"). These services are intended for various applications, including but not limited to, granting discounts, promotions, and enabling custom implementations as defined by your business needs. </p> <p class="mb-0 fw-bold">No Legal Assurance</p> <p> Our Services are designed to perform identity verification based on the information provided by Users. It is important to understand that while we strive to provide accurate verifications, our Services do not constitute legal assurance that a verified User is indeed who they claim to be. VerifyPass conducts verification based on due diligence and provides results based on available data. You acknowledge that the verifications are not foolproof and should not be solely relied upon for any decision that requires irrefutable identity confirmation. </p> <p class="mb-0 fw-bold">Business Responsibilities</p> <p> As a Business using our Services, you agree to: <ul> <li>Provide accurate and complete information when setting up your verification requirements and to maintain and update that information as necessary.</li> <li>Use the verification results responsibly and in compliance with all applicable laws and regulations, including but not limited to privacy laws and regulations concerning the use of personal information.</li> <li>Determine the suitability of the verification results for your purposes and to conduct any additional due diligence or verification as deemed necessary by your internal policies or industry standards.</li> </ul> </p> <p class="mb-o fw-bold">Verification Limitations</p> <p> You acknowledge that VerifyPass’s verifications may not identify all potential issues or risks associated with a User’s identity. VerifyPass is not responsible for any false, incomplete, or inaccurate information provided by Users that may affect the verification results. </p> <p class="mb-0 fw-bold">Indemnification</p> <p> You agree to indemnify, defend, and hold harmless VerifyPass and its affiliates, officers, agents, employees, and licensors from any claim, demand, loss, damage, cost, or liability (including reasonable attorneys' fees) arising out of or related to: <ul> <li>Your use of the Services;</li> <li>Any fraud or manipulation by a User or third party;</li> <li>Your violation of this Agreement;</li> <li>Your infringement, or infringement by any other user of your account, of any intellectual property or other rights of anyone.</li> </ul> </p> <p class="mb-0 fw-bold">Disclaimer of Warranties</p> <p> VerifyPass provides the Services on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of our Services or the information, content, materials, or products included on our Services. You expressly agree that your use of our Services is at your sole risk. </p> <p class="mb-0 fw-bold">Limitation of Liability</p> <p> VerifyPass will not be liable for any damages of any kind arising from the use of the Services, including, but not limited to direct, indirect, incidental, punitive, and consequential damages. Furthermore, VerifyPass disclaims all liability for any misuse or misrepresentation by Users of their verified status. </p> <p class="mb-0 fw-bold">Fraud and Abuse Investigative Cooperation Policy</p> <p> It is reiterated that any fraudulent or abusive activity by a User is the responsibility of the User. VerifyPass disclaims all liability for such activities and will cooperate with law enforcement or other legal proceedings if fraud is alleged. </p> <p class="mb-0 fw-bold">Termination and Suspension</p> <p> VerifyPass reserves the right to suspend or terminate your access to the Services if you breach this Agreement, if you misuse the Services, or if we reasonably suspect fraudulent, abusive, or illegal activity associated with your account. </p> <p class="mb-0 fw-bold">Changes to Agreement</p> <p> VerifyPass reserves the right to modify this Agreement at any time. Your continued use of the Services after any such changes take effect constitutes your acceptance of the new terms and conditions. </p> <p class="mb-0 fw-bold">Miscellaneous</p> <p> This Agreement constitutes the entire agreement between you and VerifyPass regarding your use of the Services and supersedes any prior agreements between you and VerifyPass regarding your use of the Services. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. </p> <p> By using our Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Business Agreement. This agreement is critical to maintaining a trustworthy and secure environment for all parties involved in the verification process. </p> </div> </div> </section> <section id="account-billing" class="wrapper pt-16"> <div class="card"> <div class="card-body p-10"> <h2 class="mb-3">4. Business Billing</h2> <p> This section of the Terms and Conditions outlines the terms related to business accounts management and billing procedures for businesses using VerifyPass services. By registering for and using our busines services, you agree to these billing terms and conditions as part of your overall business agreement with VerifyPass. </p> <p class="mb-0 fw-bold">Subscription Fees</p> <p> VerifyPass offers a subscription-based service to businesses at a monthly fee of $49. This fee covers basic service access and additional charges may apply based on usage levels and additional services opted by the business. All fees are stated in United States dollars and must be paid in full to maintain service continuity. </p> <p class="mb-0 fw-bold">Payment Methods</p> <p> Payments can be made through Stripe or Shopify Recurring Application Charges. We ensure that all transactions are secure and conform to the highest standards of data protection and security. Your payment details are not stored on our servers but are managed by our trusted payment processing partners. </p> <p class="mb-0 fw-bold">Free Trial</p> <p> A 14-day free trial is available to new users, allowing businesses to assess the services without any initial payment. During the trial, users can conduct up to 49 verifications. If this limit is exceeded, VerifyPass reserves the right to terminate the trial period early and commence billing for services used. </p> <p class="mb-0 fw-bold">Billing Cycle</p> <p> Subscription fees are billed on a monthly basis, beginning on the date your account is initially activated and on each monthly anniversary of that date thereafter. </p> <p class="mb-0 fw-bold">Cancellation Policy</p> <p> You may cancel your subscription at any time. Cancellation will take effect immediately, and any unpaid balance will become due. No refunds are provided for any unused portion of the subscription period. </p> <p class="mb-0 fw-bold">Changes in Fees</p> <p> VerifyPass reserves the right to change the subscription fees upon reasonable prior notice. Changes will be communicated through the registered email or prominently on the service website.
