You agree that (1) Noblenet is not responsible for the conduct of any of the Members or other attendees at such events, (2) Noblenet does not endorse any particular event listed on our Services, (3) Noblenet does not review any of these events, and (4) that you will adhere to these terms and conditions that apply to such events.</li> </ol> <h3 class="wp-block-heading" id="Communication-policies">Communication Policies</h3> <ol class="wp-block-list" style="list-style-type:lower-alpha"> <li><strong>Professional:</strong> Noblenet members should be professional and never dishonest or inappropriate. Members must not share false information or use our Services to shock others, nor share any content which is graphic, obscene, or pornographic.</li> <li><strong>Reality:</strong> Noblenet members must be real people who provide their name and accurate information about themselves. We do not allow profiles which are alias, company-based rather than personal names or those who mask their identity in some way. We strongly discourage, although cannot eliminate, misleading or deceptive information about yourself such as qualifications, work experience etc</li> <li><strong>Safety:</strong> We try to provide a professional community for our Members. Our Services should never be used to harm others, their business prospects, or careers, nor to share personal disputes. Do not harass, abuse, or send other unwelcome content to people (including but not limited to, explicit content, junk mail, spam, chain letters, phishing schemes, hate speech, terrorist propaganda or anything which may offend or hurt or reasonably offend others).</li> <li><strong>Rights and the law.</strong> Before sharing or using copyrighted work, trademarks or private information please ensure you have the legal right to do so. The Services should not be used for illegal activities, promoting illegal products, or violating the rights of others. Do not use the Services to commit fraud or to try to trick others. Also, do not use the Services to intentionally distribute viruses, worms, or other software that can destroy or interrupt others’ data or computer devices.</li> <li><strong>Safeguards:</strong> We have a number of safeguards to maintain the quality of professional communication on Noblenet. These are 1. Members must complete a certain minimum amount of information about themselves before they can view others’ profiles or message any other member. 2. Members can choose not to receive alerts for jobs, events or marketplace to their external email account. 3. Members can block a user from being able to contact them again. 4. Members can report a message received, post made by someone or a member’s profile or conduct generally by contacting us and we shall investigate. </li> <li><strong>Reporting</strong>: While the vast majority of Members respect and adhere to a professional code of conduct there are always those who do not. We therefore ask every member of Noblenet to act responsibly and if you see something that you believe may violate our Terms & Conditions or other policies, please do one of the actions listed above. You can also report it to us using <a href="mailto:support@noblenet.co">support@noblenet.co</a>. After reviewing the reported items, we will remove the content if necessary and suspend or delete the account of the Member in question, depending on it’s perceived severity. It is against our Privacy Policy to share the identity of the person who flags an item so you will remain anonymous. The member raising the issue accepts that complaints are subjective and while we shall consider the issue seriously, our decision on remedial action, if any, is final.</li> <li><strong>Offending Content:</strong> This may appear in many places; for example profiles, posts, comments, conversations, advertisements. Qualifying offensive content would include: spam, inappropriate, and offensive content, inappropriate profile photos, grossly inaccurate or fake profiles, phishing or suspicious messages or your safety concerns. Please use the reporting tools responsibly and only for their intended purposes. Please note a simple difference of opinion with the author is definitely not a reason to report someone.</li> <li><strong>Repercussions:</strong> We reserve the right to limit your use of our Services, including your ability to contact other Members. We reserve the right to restrict, suspend, or terminate your account if you breach this Contract or the law or are misusing the Services. We expressly disclaim on behalf of Noblenet and any party contributing material (to the maximum extent permitted by law) all liability for any damage or loss resulting whatsoever and howsoever from your use of or reliance on the information and material published on Noblenet. Accordingly, to the extent that the law permits, you release the directors, contractors and employees of Noblenet, its owners and any subsidiary or associated companies or legal entities which are governed by legally binding contractual arrangements from all liability arising out of or in connection with Noblenet and the material included here by Members and other third parties.</li> <li>Please note that despite these Terms & Conditions members may provide information, or otherwise behave, in a way that is unreliable, misleading or even illegal. Please also note that some people may not necessarily be who they say they are. Your use of Noblenet is necessarily entirely at your own risk.</li> <li>You will be able to access other websites via links from Noblenet. These sites are not under our control and we are not and cannot be held responsible in any way for any of their contents or eventualities arising out of connecting to these sites from the link to Noblenet.</li> <li>We give no warranties of any kind concerning Noblenet or the material therein. In particular, we do not warrant that Noblenet or any of its content is virus free. You must take precautions in this respect as we accept no responsibility whatsoever for any infection by virus or other communication or by anything which has destructive properties.</li> <li>We will not be liable to you or any third party for any direct, indirect or consequential loss or damage, or for any loss of data, profit, revenue or business, howsoever caused (whether arising out of any negligence or breach of this Agreement or otherwise) as a result of using Noblenet. We will also not be liable for any failure to perform our obligations under this Agreement caused by matters beyond our reasonable control.</li> <li>Without limiting the preceding Clause, during any period of twelve months, the aggregate liability of Noblenet under this Agreement (whether arising out of negligence or otherwise) will not under any circumstances exceed A. Any aggregate fees paid by you to us during the relevant period of twelve months, regardless of the cause or form of action, or B. You may not without the written consent Noblenet assign or dispose of this Agreement.</li> <li>The limitations of liability in this Section are part of the basis of the bargain between you and Noblenet and shall apply to all claims of liability (e.g., warranty, tort, negligence, contract and law) even if Noblenet or its affiliates has been told of the possibility of any such damage, and even if these remedies fail their essential purpose.</li> </ol> <h3 class="wp-block-heading" id="Term-variations">Term Variations</h3> <p>Any changes to these Terms & Conditions will be made available via an announcement on Noblenet at least 7 days in advance of the changes taking effect. You will be deemed to have agreed to these changes, if you do not send an email to us disagreeing with such changes within 7 days of being made “aware” of the changes. “Aware” shall be deemed to have occurred if you access Noblenet at any time after the announcement is made. Should we be unable to resolve the disagreement to your satisfaction, you are at liberty to remove your details and request a refund. Any refund due shall be strictly limited to a refund of subscription fee paid and will be paid in GBP £ pro- rated from the date of joining to date the request of refund occurs.</p> <h3 class="wp-block-heading" id="Force-Majeure">Force Majeure</h3> <p>You acknowledge that your use of Noblenet may be subject to interruption or delay. We do not give you any warranty that Noblenet or the Services offered through it will be error free, without interruption or delay, or free from defects in design or engineering.</p> <h3 class="wp-block-heading" id="Intellectual-property">Intellectual Property</h3> <p>Noblenet reserves all of its intellectual property rights in the Services. Noblenet and “NN” logos, graphics, banners and promotional materials used for our Services are the exclusive intellectual property of Noblenet and protected by trademarks and/or service marks. They may not be reproduced or used without our express permission in any way. Trademarks and logos used in connection with the Services by third parties are the trademarks of their respective owners. </p> <h3 class="wp-block-heading" id="Jurisdiction">Jurisdiction</h3> <p>This agreement and your use of Noblenet shall be interpreted in accordance with the laws of England, and you agree to irrevocably attorn to the exclusive jurisdiction of the courts of England.</p> <h3 class="wp-block-heading" id="No-advice">No Advice</h3> <p>While members may express their opinions about various issues on this site, no opinions shown or any advice given is that of Noblenet and should not be construed as such under any circumstances. Members should not base any decision upon material appearing on this site without independent verification of its validity, accuracy, truth or applicability to their given situation.</p> <h3 class="wp-block-heading" id="Things-not-to-do-on-Noblenet">Things NOT to do on Noblenet</h3> <p><strong><em>You agree that you will not:</em></strong></p> <ol class="wp-block-list" style="list-style-type:lower-alpha"> <li>Create a false identity on Noblenet, misrepresent your identity, create a Member profile for anyone other than yourself or use or attempt to use another’s account;</li> <li>Develop, support or use software, devices, scripts, robots or any other means or processes (including crawlers, browser plugins and add-ons or any other technology) to scrape the Services or otherwise copy profiles and other data from the Services;</li> <li>Override any security feature or bypass or circumvent any access controls or use limits of the Service (such as caps on keyword searches or profile views);</li> <li>Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of Noblenet;</li> <li>Disclose information that you do not have the consent to disclose (such as confidential information of others;</li> <li>Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets or other proprietary rights. For example, do not copy or distribute (except through the available sharing functionality) the posts or other content of others without their permission, which they may give by posting under a Creative Commons license;</li> <li>Violate the intellectual property or other rights of Noblenet, including, without limitation, (i) copying or distributing presentations or other material stored on our Intelligence section, or (ii) copying or distributing our technology, unless it is released under open source licenses; (iii) using the word “Noblenet” or our logos in any business name, email, or URL except as approved in writing by us to a specific request by you.</li> <li>Post anything that contains software viruses, worms, or any other harmful code;</li> <li>Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology that is not open source;</li> <li>Imply or state that you are affiliated with or endorsed by Noblenet without our express consent;</li> <li>Rent, lease, loan, trade, sell/re-sell or otherwise monetise the Services or related data or access to the same, without Noblenet’s consent;</li> <li>Deep-link to our Services for any purpose other than to promote your profile without Noblenet’s consent;</li> <li>Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;</li> <li>Monitor the Services’ availability, performance or functionality for any competitive purpose;</li> <li>Overlay or otherwise modify the Services or their appearance (such as by inserting elements into the Services or removing, covering, or obscuring an advertisement included on the Services);</li> <li>Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms); and/or</li> <li>Violate any of our terms concerning a specific Service that are provided when you sign up for or start using such Service.</li> </ol> <h3 class="wp-block-heading" id="Termination">Termination</h3> <p>We can each end this Contract, but some rights and obligations survive. Both you and Noblenet may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services.
