The purpose of this Code is to provide a description of the minimum ethical standards which Opera expects and requires to be maintained by all suppliers or business partners (“<strong>Suppliers</strong>”) providing goods or services to Opera.</p> <ol> <li> <p><strong>Human Rights.</strong> In performing services or providing goods to Opera, each Supplier shall ensure that both the Supplier and any permitted sub-contractors provide goods and/or perform services in compliance with internationally recognized basic human rights. Such basic human rights shall include, without limitation, those established in the UN Convention on Economic, Social and Cultural Rights from 1966, the UN Convention on Civil and Political Rights from 1966 and the ILO’s core conventions on fundamental rights and principles in working life.</p> </li> <li> <p><strong>Decent Working Conditions.</strong> In performing services or providing goods to Opera, each Supplier shall ensure that both both the Supplier and any permitted sub-contractors: (a) provide a safe and healthy working environment for employees; and (b) comply with all applicable labor and employment laws, including anti-discrimination laws and laws related to freedom of association, privacy and collective bargaining.</p> </li> <li> <p><strong>Environment.</strong> In performing services or providing goods to Opera, each Supplier shall ensure that both the Supplier and any permitted sub-contractors: (a) minimize to the greatest extent reasonably possible adverse impacts to the environment and the communities in which business operations are conducted; (b) strive to conserve resources and reduce waste and emissions through recycling and other energy conservation measures; and (c) comply with all applicable environmental, health and safety laws and regulations.</p> </li> <li> <p><strong>Anti-bribery and Corruption.</strong> In performing services or providing goods to Opera, each Supplier: (a) must comply with all applicable anti-bribery and corruption laws and regulations; (b) shall not provide any form of bribe or kickback, or engage in any other corrupt practices; and (c). shall ensure that gifts or hospitality are never offered or provided under circumstances that create the appearance of impropriety. Suppliers are prohibited from offering or providing cash or cash equivalent gifts (e.g., gift cards, store cards or gambling chips) or lavish hospitality to any Opera employee. Suppliers must ensure that they have adequate procedures in place to prevent bribery and corruption.</p> </li> <li> <p><strong>Monitoring and Enforcement.</strong> Opera is committed to ensuring that its Suppliers comply with the standards set forth in this Code. Opera may monitor Suppliers’ compliance with this Code through audits, document reviews, and other means. Suppliers are expected to cooperate in any audit or review related to compliance with this Code. Suppliers are also expected to promptly report to Opera any known or suspected violations of this Code.
