APPLICATION OF THE GENERAL TERMS OF SALE</strong></p> <p><strong>1.1. Scope of application:</strong> These general terms of sale (hereinafter the "<strong>GTS</strong>") govern, without restriction or reservation, all sales of products and services (hereinafter the "<strong>Products</strong>" and the "<strong>Services</strong>") concluded on the merchant website available at the following URL address: http:// <a href="https://www.concurrences.com/fr/" class="spip_url auto" rel="nofollow">https://www.concurrences.com/fr/</a> (hereinafter the "<strong>Site</strong>") and the mobile application Concurrences Events (hereinafter the "<strong>Application</strong>"), between Institut de droit de la concurrence, SAS with capital of €51,000, headquartered at 19 avenue Jean Aicard - 75011 Paris, France, registered with the Paris Trade and Companies Registry under number 478 703 507, (hereinafter "<strong>Concurrences</strong>") and any customer acting for the needs of its professional activity (hereinafter the "<strong>Professional Customer</strong>") or any customer, natural person acting as a consumer (hereinafter the "<strong>Consumer Customer</strong>") as defined by French law and jurisprudence (hereinafter indistinctly referred to as the "<strong>Customer</strong>").</p> <p><strong>1.2. Modifications to the GTS: </strong>Concurrences reserves the right to unilaterally adapt or modify these GTS at any time and without prior notice. The version of the GTS applicable to sales of Products and Services is that appearing on the Site and the Application on the date the order for Products and/or Services is placed by the Customer.</p> <p><strong>1.3. Acceptance of the GTS:</strong> The present GTS are accessible to Customers and more generally to any Internet user directly by clicking on the "GTS" link on any page of the Site and/or Application. Any order placed on the Site or the Application is subject to the Customer’s prior and unreserved consultation and acceptance of the GTS by checking the box <i>"By checking this box, I have read and accept the general terms and conditions of sale".</i> The Customer’s order of Products or Services therefore implies full and unreserved acceptance of the GTS. No special conditions may take precedence over these General Terms and Conditions.</p> <p><strong>2. DESCRIPTION OF PRODUCTS AND SERVICES</strong></p> <p><strong>2.1. Products </strong>: Concurrences offers for sale on the Site books written in French or English published in the " Concurrences " collection on the subject of competition law and economics. These books are available in paper and/or electronic form.</p> <p><strong>2.2. Services</strong>: Concurrences offers customers access to three other editorial contents.</p> <p><i>2.2.1. </i> "<i>Bulletin e-Competitions":</i> This content offers exclusive online access to commentaries on texts and decisions, and case law summaries written in English by legal professionals to comment on decisions, rulings and texts in competition law worldwide.</p> <p><i>2.2.2. "Revue Concurrences ":</i> This content is a regular publication listing news on competition law, regulation and economics covering European Union law and France.</p> <p><i>2.2.3.</i> " <i>Conferences</i> ": This content offers exclusive online access to PowerPoint presentations, proceedings and summaries, audios and videos, and transcripts of conferences organized by Concurrences on various topical themes.</p> <p>A presentation of Concurrences and the content it offers is available on the Site or Application by clicking on the " Concurrences " tab at the foot of each page.</p> <p><strong>3. PRODUCT AND SERVICE PRICES </strong></p> <p>The prices of the Products and Services invoiced are those shown on the Site or the Application at the time of validation of the order by the Customer, or those shown on the quotation sent by Concurrences. Prices are indicated in euros, either exclusive of tax (HT) or, where applicable, inclusive of tax (TTC). Where applicable, VAT is applied according to the information provided when the order is validated by the Customer. The prices of Products and Services do not constitute offers likely to bind Concurrences beyond the date on which the order was placed. Concurrences reserves the right to modify its prices at any time and without prior notice.</p> <p><strong>4. ORDERS</strong></p> <p><strong>4.1. Placing orders for Products and Services </strong>: Placing an order on the Site or the Application is subject to compliance with the procedure set up by Concurrences, comprising successive stages leading to validation of the order.</p> <p>Concurrences By clicking on the "Subscription" tab in the top right-hand corner of all Site pages, customers can choose from four types of subscription offering more or less extensive access to the content published by Concurrences as specified on this page:</p> <ul class="spip" role="list"><li>The "Essential" subscription can be taken out directly on the Site by clicking on "Subscribe". The Customer will then be redirected to their "Shopping Cart", where they will be able to consult the total price, excluding taxes, of the subscription for one year. By clicking on "Validate my basket", the Customer is invited to connect to his Customer Account on the Site, or to create one by entering his e-mail address. They are then redirected to a page where they are asked to enter the following information: title, first name, surname, e-mail address, job title, category and billing address (name, institution, address, zip code, city, country, telephone number, VAT number).</li><li>Subscription to other subscriptions ("Basic", "Select", "Plus"...) is possible by requesting a quote online. To enable Concurrences to draw up a quotation, customers are asked to provide the following information: title, surname, first name, e-mail address, telephone number, organization name, organization category, number of people in the competition team, position, country, and to write a message if they so wish. The professional customer will be contacted by Concurrences in order to present the commercial offer and, if necessary, finalize the subscription remotely. <br class='autobr' /> Subscriptions are concluded for a period of twelve (12) months, unless otherwise specified to the Customer by Concurrences when the order is placed. At the end of this period, Concurrences will contact the Customer in order to propose a renewal of the subscription and to inform the Customer of the new commercial conditions applicable (if any). If the Customer does not expressly agree to the commercial terms of renewal at the end of this twelve (12)-month period, Concurrences will terminate the Customer’s subscription.</li></ul> <p>In the "Books" tab, customers can also purchase works published in the Concurrences collection, by placing the chosen work in their basket and clicking on "Add to basket". Customers will then be redirected to their "Basket", where they will be able to see the total price of the book, exclusive of tax, and any additional delivery charges. By clicking on "Validate my basket", the Customer is invited to connect to their Customer Account on the Site or Application, or to create one by entering their e-mail address. They are then redirected to a page where the Customer is asked to enter the following information: title, first name, surname, e-mail address, job title, category and billing address (name, institution, address, zip code, town, country, telephone number, VAT number).</p> <p>Concurrences also offers customers the option of purchasing tickets for certain conferences organized by Concurrences in the "Events" tab on the Site and on the Application, by placing the chosen ticket in their basket and clicking on "Order". Customers will then be redirected to their "Shopping Cart", where they can view the total price of the ticket, excluding taxes. By clicking on "Checkout", customers are invited to connect to their Customer Account on the Site or Application, or to create one by entering their e-mail address. They are then redirected to a page where the Customer is asked to enter the following information: title, first name, surname, e-mail address, job title, category and billing address (name, institution, address, zip code, town, country, telephone number, VAT number).</p> <p><strong>4.2. Payment for Products and Services: </strong>Products and Services are payable in euros, in cash when the order is placed on the Site or the Application, or after receipt of the quotation. No order for Products or Services will be issued to the Customer until full payment of the price of the Products or Services has been received by Concurrences, with acknowledgement of receipt of payment for the Products and/or Services.</p> <p>Payment for Services can be made by Visa, Mastercard, American Express via the secure Monetico interface, or via the secure Paypal interface.</p> <p>At no time will the Customer’s bank details be transmitted to a third party. The Customer expressly acknowledges that the communication of his/her bank card number constitutes authorization to debit his/her bank account up to the amount of the invoiced price.</p> <p>At the customer’s request, Concurrences also accepts payment by cheque and bank transfer.</p> <p><strong>4.3. Late payment and non-payment by the professional customer: </strong>In the event of late payment by the professional customer, the latter will be charged, without the need for a reminder letter, penalties equal to three (3) times the interest rate applied by the European Central Bank to its most recent refinancing operation, on the unpaid periods, calculated per month, starting from the first day of delay.<strong> </strong>The professional customer will also owe Concurrences a flat-rate collection indemnity of forty (40) euros per unpaid invoice, without prejudice to Concurrences ’s right to request a higher indemnity, on the basis of justification, if it has incurred greater costs to collect its debt.</p> <p><strong>5. ORDER CONFIRMATION AND CANCELLATION</strong></p> <p><strong>5.1. Order confirmation: </strong>Once payment has been made by the Customer and validated by Concurrences, the latter will send the Customer an order confirmation e-mail summarizing the Products and/or Services ordered, their price, the contact details of Concurrences and the general terms and conditions of sale applicable at the time of sale. The order confirmation summarizes the purpose and terms of the sale. It is proof of the completeness of the order and of the payability of the sums due in execution of the order, and forms the sales agreement between the parties. To access the product(s) and/or service(s) ordered, the Customer must log on to his Customer Account directly on the Site or Application.</p> <p><strong>5.2. Cancellation of order by Concurrences: In </strong>the event of cash payment for Products and/or Services by the Customer, refusal by the Customer’s bank to authorize payment by credit card will result in cancellation of the order for Products and/or Services by Concurrences.</p> <p>Concurrences reserves the right not to confirm an order for Products and/or Services for any reason whatsoever, in particular due to a problem with the order received or the information provided by the Customer. In the event of cancellation of an order, the Customer will be reimbursed for any costs already paid.</p> <p><strong>5.3. Cancellation of the order by the Customer : </strong>No modification or cancellation of the order for Products and/or Services for any reason whatsoever will be accepted after the order has been confirmed by Concurrences, without prejudice to the consumer Customer’s right of withdrawal under the conditions defined below.</p> <p><strong>6. DELIVERY OF PRODUCTS AND SERVICES</strong></p> <p><strong>6.1. Notion of Delivery:</strong> Delivery refers to the accessibility by the Customer of the Product and/or Service online, pursuant to article L.216-1 of the French Consumer Code (hereinafter referred to as <strong>"Delivery")</strong>.</p> <p><strong>6.2. Delivery times:</strong> Online Services are delivered immediately after the order confirmation sent by Concurrences to the Customer. Paper Products are delivered within a maximum of thirty (30) days from receipt of the order confirmation e-mail sent by Concurrences to the Customer.</p> <p><strong>6.3. Conformity of Products delivered to the Consumer Customer: </strong>At the time of Delivery, the Consumer Customer must, as far as possible, check the conformity and condition of his/her order in the presence of the carrier and, if necessary, make any necessary reservations on the delivery note concerning apparent defects (missing product or package, damaged package). In the event of damaged packages (already opened, missing products, etc.), the Consumer Customer undertakes to notify Concurrences, by any means, of any reservations within seventy-two (72) hours of receipt of the Product, without prejudice to the Consumer Customer’s right to exercise his right of withdrawal or to benefit from the legal guarantees under the conditions defined below.</p> <p><strong>6.4. Conformity of the Products delivered to the Professional Customer: </strong>The Professional Customer must check the apparent condition of the Products on delivery and must notify any reservations to the carrier responsible for delivering the Products.</p> <p>The Professional Customer shall have seventy-two (72) hours from the date of delivery and receipt of the Products ordered to send the said reservations to Concurrences at the following e-mail address: customers@concurrences.com. Once this period has expired, the Products will be deemed to have been accepted by the Professional Customer in accordance with article L. 133-3 of the French Commercial Code. Concurrences reserves the right to carry out any necessary inspections and will replace, as soon as possible and at its own expense, any Products delivered whose lack of conformity has been duly proven by the Professional Customer, or will issue a credit note equal to the amount of the Products to be replaced.</p> <p><strong>7. LEGAL WARRANTY </strong></p> <p><strong>7.1. Legal warranty of conformity and warranty against hidden defects applicable to consumer customers</strong></p> <p>The consumer customer has a period of two years from the date of delivery of the goods to invoke the legal warranty of conformity in the event of a lack of conformity. During this period, the consumer is only required to establish the existence of the lack of conformity, and not the date of its appearance.</p> <p>Where the contract for the sale of the good provides for the supply of digital content or a digital service on a continuous basis for a period of more than two years, the legal warranty is applicable to this digital content or digital service throughout the period of supply provided. During this period, the consumer customer is only required to establish the existence of the lack of conformity affecting the digital content or service, and not the date of its appearance.</p> <p>The legal warranty of conformity obliges Concurrences, where applicable, to provide all updates necessary to maintain the conformity of the good.</p> <p>The legal guarantee of conformity entitles the consumer customer to repair or replace the goods within thirty (30) days of his request, free of charge and without any major inconvenience for him.</p> <p>If the good is repaired under the legal warranty of conformity, the consumer customer benefits from a six (6) month extension of the initial warranty.</p> <p>If the consumer customer requests repair of the good, but Concurrences requires replacement, the legal warranty of conformity is renewed for a period of two years from the date of replacement of the good.</p> <p>The consumer customer may obtain a reduction in the purchase price by retaining the goods or terminate the contract by obtaining a full refund against return of the goods, if :</p> <p>1° Concurrences refuses to repair or replace the good;</p> <p>2° The goods are repaired or replaced after a period of thirty (30) days;</p> <p>3° The repair or replacement of the good causes a major inconvenience for the consumer customer, in particular when the consumer customer definitively bears the costs of taking back or removing the non-conforming good, or if he bears the costs of installing the repaired or replacement good;</p> <p>4° The non-conformity of the property persists despite an unsuccessful attempt to bring it into conformity by Concurrences.</p> <p>The consumer customer is also entitled to a reduction in the price of the goods or to rescission of the contract if the lack of conformity is so serious as to justify immediate reduction in the price or rescission of the contract. In this case, the consumer customer is not obliged to request repair or replacement of the goods beforehand.</p> <p>The consumer customer is not entitled to rescind the sale if the lack of conformity is minor.</p> <p>Any period during which the product is immobilized for repair or replacement suspends the remaining warranty period until delivery of the repaired product.</p> <p>The rights mentioned above result from the application of articles L. 217-1 to L. 217-32 of the French Consumer Code.</p> <p>A seller who obstructs the implementation of the legal guarantee of conformity in bad faith is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual sales (article L. 241-5 of the French Consumer Code).</p> <p>The consumer customer also benefits from the legal guarantee against hidden defects in application of articles 1641 to 1649 of the French Civil Code, for a period of two (2) years from the discovery of the defect. This warranty entitles the customer to a price reduction if the good is kept, or to a full refund in exchange for the return of the good.</p> <p><strong>7.2. Legal warranty for the supply of digital content or services applicable to consumer customers</strong></p> <p>The Consumer Customer has a period of two (2) years from the date of supply of the digital content or service to obtain the implementation of the legal warranty of conformity in the event of the appearance of a lack of conformity. During a period of one (1) year from the date of supply, the Consumer Customer is only required to establish the existence of the lack of conformity and not the date of its appearance.</p> <p>The legal warranty of conformity includes the obligation to provide all updates necessary to maintain the conformity of the digital content or service.</p> <p>The legal warranty of conformity entitles the consumer to have the digital content or service brought into conformity without undue delay following his request, at no cost and without any major inconvenience to him.</p> <p>The consumer customer may obtain a price reduction by retaining the digital content or digital service, or he may terminate the contract with a full refund against relinquishment of the digital content or digital service, if :</p> <p>1° Concurrences refuses to bring the digital content or service into compliance;</p> <p>2° The compliance of the digital content or service is unjustifiably delayed;</p> <p>3° The digital content or digital service cannot be brought into conformity at no cost to the consumer customer;</p> <p>4° Bringing the digital content or service into conformity causes major inconvenience to the consumer customer;</p> <p>5° The non-compliance of the digital content or service persists despite the professional’s unsuccessful attempt to bring it into compliance.</p> <p>The consumer customer is also entitled to a price reduction or termination of the contract if the lack of conformity is so serious as to justify an immediate price reduction or termination of the contract. In such cases, the consumer customer is not obliged to ask for the digital content or service to be brought into conformity beforehand.</p> <p>In cases where the lack of conformity is minor, the consumer customer is entitled to cancel the contract only if the contract does not provide for payment of a price.</p> <p>Any period of unavailability of the digital content or service for the purpose of bringing it back into conformity suspends the remaining warranty period until the digital content or service is supplied again in conformity.</p> <p>The rights mentioned above result from the application of articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code.</p> <p>Any professional who obstructs the implementation of the legal guarantee of conformity in bad faith is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual sales (article L. 242-18-1 of the French Consumer Code).</p> <p>The consumer customer also benefits from the legal warranty against hidden defects, in application of articles 1641 to 1649 of the French Civil Code, for a period of two (2) years from the discovery of the defect. This warranty entitles the customer to a price reduction if the digital content or service is retained, or to a full refund in exchange for renunciation of the digital content or service.</p> <p><strong>8. WITHDRAWAL PERIOD APPLICABLE TO CONSUMER CUSTOMERS</strong></p> <p><strong>8.1. Online Services:</strong> The Online Services marketed on the Site and the Application constitute digital content that is independent of any material support and can be used instantaneously. Thus, in accordance with the provisions of article L. 221-28 of the French Consumer Code, the consumer Customer (i) expressly acknowledges and accepts that the performance of the Concurrences service begins as soon as payment has been validated, and (ii) expressly waives his/her right of withdrawal.</p> <p><strong>8.2. Non-digital products:</strong> The consumer customer has a right of withdrawal of fourteen (14) calendar days from delivery of the product, without having to give reasons or pay penalties, in accordance with the provisions of article L. 221-18 of the French Consumer Code. Consumer customers must notify Concurrences of their decision to withdraw from the contract by sending, before the expiry of the aforementioned period, the standard withdrawal form, listed in the appendix to article R221-1 of the French Consumer Code, available at the following link: <a href="https://www.legifrance.gouv.fr/codes/article_lc/LEGIARTI000032887061" class="spip_url spip_out auto" rel="nofollow external">https://www.legifrance.gouv.fr/codes/article_lc/LEGIARTI000032887061</a>, or an unambiguous statement expressing their wish to withdraw.</p> <p><i>8.2.1. Conditions for returning paper Products:</i> The Consumer Customer shall return, at his/her own expense, by post to Concurrences at the address indicated in article 1.1 of these GTS, the Product in good condition and in its original packaging with the original invoice, together with any accessories and documentation, at the latest within fourteen (14) days of informing Concurrences of his/her decision to withdraw under the conditions set out in article L. 221-23 of the French Consumer Code. Any product that is incomplete or damaged by the Customer as a result of handling other than that necessary to establish its nature and characteristics will not be reimbursed. If Concurrences notes any depreciation of the Product returned by the Consumer Customer resulting from handling other than that necessary to establish the nature and characteristics of the Product, Concurrences reserves the right to refuse to refund the Product. In this case, the Product returned by the Consumer Customer will be reshipped to the Consumer Customer by Concurrences, at the Consumer Customer’s expense.</p> <p><i>8.2.2. Reimbursement:</i> If reimbursement is accepted, Concurrences undertakes to reimburse the Consumer Customer for all sums paid by the latter, including delivery costs, within fourteen (14) clear days at the latest from the date on which Concurrences is informed of the Consumer Customer’s decision to withdraw, in accordance with Articles L. 221-19 and L. 221-24 of the French Consumer Code. Nevertheless, Concurrences may defer reimbursement until the Products have been recovered, or until the Customer has provided proof of shipment of the Products, whichever comes first. Orders will be reimbursed by the same means of payment used for payment, at no cost to the Consumer Customer, unless the Consumer Customer expressly agrees to a different means of payment proposed by Concurrences.</p> <p><strong>8.3. Provision of services not involving the supply of digital content: </strong>Pursuant to article L. 211-25 of the French Consumer Code, if the consumer Customer wishes the performance of a service or a contract mentioned in the first paragraph of article L. 221-4 to begin before the end of the withdrawal period mentioned in article L. 221-18, the professional shall receive his/her express request. If the consumer Customer subsequently exercises his right of withdrawal for a service whose performance began, at his express request, before the end of the withdrawal period, the consumer Customer will be required to pay Concurrences an amount corresponding to the service provided until communication of his decision to withdraw. This amount is proportionate to the total price agreed in the contract.</p> <p><strong>9. RESPONSIBILITY</strong></p> <p><strong>9.1. Obligation of means:</strong> Concurrences has only an obligation of means for all stages of access to the Site and the Application, and to the order process, except in the cases of guarantee referred to below.</p> <p><strong>9.2. Exemptions:</strong> Concurrences is responsible for the proper performance of its obligations under the GTS. However, Concurrences may be exempted from all or part of its liability by proving that the non-performance or improper performance of its obligations is attributable to the Customer or to the unforeseeable and insurmountable act of a third party to the contract, or to one of the cases of limitation of liability set out below.</p> <p><i>9.2.1. Editorial content:</i> The editorial content and other data contained in the publications on the Site and/or the Application are provided for information purposes only. They may be subject to error, omission or obsolescence. Under no circumstances may they be assimilated, in any way whatsoever, to advice or decision-making assistance. The customer therefore acknowledges that he/she interprets and/or uses this content and data at his/her own risk and peril. Concurrences cannot be held liable for any direct or indirect damage arising from its use or interpretation.</p> <p><i>9.2.2. Conformity of Products and Services with regulations in force: </i>The Products and/or Services comply with the regulations in force in France.<i> </i> Concurrences cannot be held responsible for the non-conformity of its Products and/or Services with the regulations of any other country, in particular the country of delivery of a Product or of residence of the Customer.</p> <p><i>9.2.3. Force majeure:</i> Concurrences shall not be held liable for any failure to perform its obligations due to force majeure, including, but not limited to, war, riot, insurrection, strike, lock-out, shortage, fire, earthquake, storm, severe weather, flood, breakdown, and generally any event preventing the proper performance of its obligations.</p> <p><i>9.2.4. Customer technical resources - Internet network:</i> Concurrences declines all responsibility for the characteristics and operation of computer or telephone equipment, browsers, telecommunications networks and any other technical resources chosen by the customer to access the Site and/or Application. It is the Customer’s responsibility to ensure that the technical characteristics of his/her equipment enable him/her to access and use the Site and/or the Application.</p> <p>Concurrences makes its best efforts to enable and secure access, consultation and use of the Site and/or its Application. However, the Customer declares that he/she is aware of and accepts responsibility for the characteristics and limitations of the Internet, and therefore acknowledges that Concurrences cannot be held liable in the following cases:</p> <p><span class="spip-puce ltr"><b>–</b></span> Temporary interruptions necessary for development, maintenance, or more generally in the event of updating certain files on the Site and/or the Application;</p> <p><span class="spip-puce ltr"><b>–</b></span> Operating difficulties or temporary interruption of the Site and/or Application beyond the control of Concurrences, in particular in the event of interruption of electricity or telecommunications services.</p> <p><span class="spip-puce ltr"><b>–</b></span> Internet network failures or malfunctions in the transmission of messages or documents.</p> <p><span class="spip-puce ltr"><b>–</b></span> Risks of deletion, impossibility of storage, incorrect or untimely transmission of editorial content appearing on the Site and/or the Application.</p> <p><span class="spip-puce ltr"><b>–</b></span> Poor technical performance and excessive response time to access the Site and/or the Application and/or use the Services.</p> <p><span class="spip-puce ltr"><b>–</b></span> Risks inherent in Internet use (viruses, hacking, etc.).</p> <p><strong>9.3. Limitations with regard to professional customers:</strong> In all cases, Concurrences ’s liability is limited solely to damage caused directly by a breach for which it can be shown to be exclusively responsible. Concurrences is not liable for indirect or unforeseeable damage resulting from its breaches. Indirect damage includes any moral or commercial prejudice, loss of profits, sales, orders, revenue, clientele, loss of data and any action brought against the Professional Customer by a third party, and the consequences thereof. In all cases where the liability of Concurrences is established, to the fullest extent permitted by law, whatever the nature, basis and terms of the action brought against Concurrences (including in the event of action by a third party or an authority), it is expressly understood that (except in the case of gross negligence or wilful misconduct duly proven by the Professional Customer) Concurrences ’s liability under these GTS may never exceed (i) for subscriptions, the subscription price paid by the Professional Customer to Concurrences during the last contractual year preceding the date of occurrence of the breach in question, or (ii) for orders for Products, the amount actually received by Concurrences for the order.</p> <p>The professional customer and Concurrences agree that the present article will survive in the event of termination or cancellation of all or part of the GTS and, where applicable, of the subscription, whatever the cause.</p> <p><strong>10. CONCURRENCES’ INTELLECTUAL PROPERTY</strong></p> <p>The trademarks, logos, documents, studies, domain names, images, videos, texts, know-how and more generally any other information subject to intellectual property rights in connection with the Products and Services are and remain the exclusive property of Concurrences. No transfer of intellectual property rights is made through these GTS.</p> <p>In particular, the Customer acknowledges and accepts that the Products and Services are subject to intellectual property rights.</p> <p>The Customer may not mention or use the trademarks, logos, documents, program supports, methodologies, studies, domain names, images, videos, texts, know-how and any other intellectual property rights belonging to Concurrences without the express, prior written authorization of Concurrences or without complying with the content citation rules specified on the Site and Application. In this respect, Concurrences reserves the right to oppose, stop and seek compensation for any use of its intellectual property rights that it considers to be counterfeit, unfair, constitutive of acts of parasitism or contrary to its image or to rights that it has granted.</p> <p><strong>11. PROTECTION OF PERSONAL DATA </strong></p> <p><strong>11.1. Personal data provisions:</strong> Concurrences processes personal data in accordance with the French Data Protection Act (Loi Informatique et Libertés) and Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation).</p> <p><strong>11.2. </strong> Data <strong>controller:</strong> Concurrences is responsible for processing personal data.</p> <p><strong>11.3. Nature of data processed:</strong> Concurrences may request certain personal data from Customers in order to provide its Products and/or Services. This personal data includes the Customer’s name, e-mail address, billing address, login and account information, password, payment or credit card information.</p> <p>Personal data is collected on the Site and the Application with the consent of the Customer, who provides all his/her identification information when placing an order and paying for the Products and/or Services. This data is necessary for :</p> <p><span class="spip-puce ltr"><b>–</b></span> order management at Concurrences;</p> <p><span class="spip-puce ltr"><b>–</b></span> Concurrences to inform the Customer, if the latter has given his consent, of any commercial operation likely to be of interest to him, his new Products and/or Services (The Customer may freely object to these automatic commercial prospecting mailings by clicking on the "unsubscribe" link appearing in each e-mail received from Concurrences or by registered letter with acknowledgement of receipt sent to the address appearing in article 1.1 of these GTS);</p> <p><span class="spip-puce ltr"><b>–</b></span> to operate, improve and maintain its business and the provision of its Services, for example for accounting, auditing or internal purposes,</p> <p><span class="spip-puce ltr"><b>–</b></span> improve the Customer’s experience and help Concurrences diagnose technical and service problems and administer the Site and Application.</p> <p><strong>11.4. Data sharing:</strong> Concurrences shares customer personal data with its parent company (Institut de droit de la Concurrence) and for the purposes described above, as well as with service providers who process personal data on behalf of Concurrences, for example to process credit cards and payments. When using service providers, Concurrences enters into agreements requiring them to implement appropriate technical and organizational measures to protect customers’ personal data.</p> <p>Concurrences does not engage in international transfers of personal data other than with companies belonging to the same group, which may be located in France, the United Kingdom or the United States. They may only have access to personal data collected by Concurrences in order to provide customers with information about events organized by Concurrences or one of its group companies.</p> <p><strong>11.5. Customer rights:</strong> The Customer has the right to request from Concurrences access and rectification or erasure of personal data or restriction of processing concerning the data subject or to object to processing as well as the right to data portability by sending an email to rgpd@concurrences.com. The customer may also lodge a complaint with the CNIL (Commission Nationale de l’Informatique et des Libertés).</p> <p><strong>12. SETTLEMENT OF DISPUTES AND APPLICABLE LAW</strong></p> <p><strong>12.1. Applicable law and jurisdiction:</strong> All provisions of the GTS, as well as all purchase and sale transactions referred to therein, are subject to French law and the courts of Paris.</p> <p><strong>12.2. Consumer Disputes:</strong> Nothing in this clause shall deprive the Consumer Customer of the mandatory consumer protections provided by the laws of the country in which Concurrences provides its services and where Consumer Customers have their habitual residence. With regard to jurisdiction, the courts of the country to which Concurrences directs its service and where Consumer Customers have their habitual residence shall have jurisdiction for all disputes arising out of or relating to these GTS, or, alternatively, Consumer Customers may choose the competent court in France.</p> <p><strong>12.3. Mediation: </strong>In the event of a dispute relating to the formation, performance, non-performance or termination of sales concluded in application of these GTS, the Parties will attempt to find an amicable solution. Consumer customers may have recourse to a consumer mediator in accordance with Article L612-1 of the French Consumer Code, via the European online dispute resolution platform, available at <a
